Extend the contract term for one (1) additional year, through August 26, 2027. 2. Increase the contract amount by $145,000 to fund the annual Google Workspace Enterprise Plus subscription renewal for the period of August 27, 2026, through August 26, 2027, including a contingency for potential licensing adjustments during the contract term. 3. Incorporate the vendor's Year 2 subscription quote, attached hereto as Attachment A, into the Agreement. Reason for Change: This amendment extends the contract for one (1) additional year to continue Year 2 of the existing three-year Google Workspace Enterprise Plus subscription agreement. The amendment also increases the contract amount to fund the annual subscription renewal and includes a contingency for potential licensing adjustments during the contract term, ensuring uninterrupted service. Term and Termination 1.1 Term. The Second Term of this Agreement is from 08/27/2026 to 08/26/2027 (the "Second Term"), unless terminated earlier in accordance with the terms of this Agreement. 1.2 Termination. This Agreement may be terminated if any of the following conditions are met. 1.2.1 Bankruptcy. Pitkin County/Pitkin 911 may, in its sole discretion, terminate this Agreement in the event Vendor becomes insolvent or undergoes a bankruptcy. 1.2.2 Material Breach. If either Party materially defaults in the performance of any of its obligations under this Agreement or applicable statement of work (SOW). 1.2.3 Termination Due to Lack of Funds or Change in Law. Notwithstanding anything in this Agreement to the contrary, and subject to the limitations set forth below, Pitkin County/Pitkin 911 shall have the right to terminate this Agreement without penalty or liability and without any advance notice as a result of any of the following: (a)the legislature or governor of the State of Colorado fail in the sole opinion of Pitkin County/Pitkin 911 to appropriate funds sufficient to allow Pitkin County/Pitkin 911 to either meet its obligations under this Agreement or to operate as required and to fulfill its obligations under this Agreement; (b)if funds are de-appropriated, reduced, not allocated , or receipt of funds is delayed, or if any funds or revenues needed by Pitkin County/Pitkin 911 (regardless of the source of funding or revenues) to make any payment hereunder are insufficient or unavailable for any other reason as determined byPitkin County/Pitkin 911 in its sole discretion; (c)if Pitkin County/Pitkin 911's authorization to conduct its business or engage in activities or operations related to the subject matter of this Agreement is withdrawn, cancelled, materially altered, or modified; (d)if any event or circumstance occurs that impacts or affects the ability of Pitkin County/Pitkin 911 or any Governmental Entity, to continue to operate , use, maintain or pay for the Implemented System, Services and/or Deliverables (or any part or component thereof); or (e)if there is a decision of any court, administrative law judge or an arbitration panel or any law, rule, regulation or order is enacted, promulgated or issued that materially or adversely affects Pitkin County/Pitkin 911's ability to fulfill any of its obligations under this Agreement or the use, operation or maintenance of the Implemented System, or any portion or component thereof. 2. Effect of Termination Upon termination of this Agreement, unless otherwise specified by Pitkin County/Pitkin 911 in writing, Vendor shall cease to perform the Services and take all necessary or appropriate steps to limit disbursements and minimize costs.
