PROJECT NAME: RENTAL CAR CONCESSION AGREEMENT AMENDMENT SERVICES

The Financial Consulting Services Master Services Agreement, as amended (the “Agreement”) dated
October 1, 2018 between the Board of County Commissioners of Pitkin County (the “County”) and
Ricondo & Associates, Inc., 200 N. LaSalle Street Suite 2900, Chicago, IL 60601 (the “Contractor”), shall
include the following services.
1. Contractor’s Obligations. Contractor shall provide airport business and financial consulting services
to the County in support of Rental Car Concession Agreement Amendment Services associated with
the temporary off-site relocation of rental car operations at Aspen/Pitkin County Airport (the
“Airport”). Specifically, Contractor shall provide technical, financial, and strategic advisory services
to assist the County with the planning, development, coordination, negotiation, review, approval, and
execution of amendments to the Airport’s existing rental car concession agreements necessary to
facilitate the temporary relocation of on-airport rental car operations to an off-site facility.
The agreement amendments shall address modifications to the existing Rental Car License and Use
Agreements, including, but not limited to, revisions to operating areas, customer service facilities,
fleet storage locations, operational requirements, fees and charges, reporting obligations, exhibits,
and other business, financial, and operational provisions necessary to support the temporary
relocation and maintain continuity of rental car services throughout the transition period. Contractor
shall work collaboratively with County staff, Airport rental car operators (the “Concessionaires”),

legal counsel, and other stakeholders, as appropriate, to develop amendment terms that align with the
County’s operational objectives while minimizing disruption to customers and Concessionaire
operations.
Contractor will provide the following tasks in two phases (Tasks 1-4: Phase 1 | Tasks 5: Phase 2) for
the above referenced scope of work:
A. TASK 1: Agreement Amendment Approach and Strategy (Phase 1)
This task will include coordination with County staff to establish the approach and
implementation strategy for the temporary Concessionaire relocation amendment. The
amendment will be developed using the currently executed License and Use Agreement
as the foundational document and will incorporate the modifications necessary to
accommodate the temporary relocation of rental car operations from their existing on-airport
locations. The amendment will clearly define the revised operational
requirements, responsibilities, and conditions associated with the temporary relocation
program.
Potential amendment topics may include:
• Temporary relocation purpose
• Effective dates and duration of relocation
• Amendment term and transition provisions
• Temporary operating rights and privileges
• Description and allocation of off-site facilities
• Modifications to operating area definitions and exhibits
• Customer service and shuttle requirements
• Fleet storage and vehicle maintenance provisions
• Signage, branding, and wayfinding requirements
• Reporting and operational requirements
• Modifications to fees, MAG obligations, CFC administration, and other financial
provisions, as directed by the Airport
• Reversion provisions following completion of construction activities
• Other operational, legal, and administrative provisions necessary to facilitate the
temporary relocation
To support this task, it is anticipated that one virtual coordination meeting will be
conducted with County staff to review the proposed amendment approach, discuss key
operational considerations, and obtain feedback on the draft modifications associated
with the temporary relocation program.
B. TASK 2: Concessionaire Stakeholder Coordination (Phase 1)
Consultant shall support County staff in coordinating with the four existing on-airport
rental car operators regarding the temporary relocation program and associated
agreement amendments.
Services will include:
• Preparation for and participation in Concessionaire coordination meetings
• Development of meeting agendas, discussion materials, and meeting summaries

• Identification and documentation of key business, operational, and facility issues
associated with the temporary relocation
• Coordination with County staff and Concessionaires regarding relocation
requirements, customer service impacts, signage, circulation, and customer access
considerations
• Tracking and management of concessionaire comments, concerns, and requested
modifications
• Preparation and maintenance of a comment and response matrix for initiating the
draft amendment
This task will include the preparation and facilitation of up to two virtual stakeholder
engagement and coordination meetings with Concessionaires to review the proposed
relocation program, gather feedback, and discuss operational considerations. In
addition, the task provides for up to two conference calls with County staff to review
and address Concessionaire comments, evaluate potential revisions, and support the
refinement and finalization of the amendment.
C. TASK 3: Airport Modernization Program (the “Program”) Coordination (Phase 1)
To align with the design, development, and implementation of the temporary off-site
rental car center, the Contractor shall participate in ongoing program coordination
throughout the planning, negotiation, approval, and execution of the Rental Car
Concession Agreement Amendment process. This effort will ensure that amendment
development remains coordinated with facility planning, operational requirements,
stakeholder engagement activities, and key project milestones associated with the
temporary relocation of rental car operations.
Services will include:
• Participation in regular monthly meetings with Airport and Program staff
• Identification of critical decision points and action items
• Coordination with County staff and other stakeholders, as needed
To support this task, it is anticipated that attendance and participation in six one-hour virtual
monthly meetings with the Program team will be needed.
D. TASK 4: Document Production (Phase 1)
Contractor shall prepare and coordinate up to two Rental Car Agreement Amendment
review drafts for County staff and a final execution version for each Concessionaire.
Each draft will include development and update of exhibits required to support the
amendment documents. Contractor shall support finalization of amendment documents
and implementation planning.
Services will include:
• Develop one draft and one final Rental Car Agreement Amendment
• Incorporation of final comments
• Preparation of execution-ready amendment packages for each Concessionaires
• Assistance with coordinating final signature versions
• Support development of amendment implementation schedule and key milestone tracking.
This task includes Ricondo’s participation in up to three conference call meetings with

County staff and other stakeholders to review the draft Rental Car Concession
Agreement Amendments, discuss comments and revisions, and support the resolution
of outstanding issues. In addition, Ricondo will assist with the review and coordination
of any related documentation necessary to facilitate the execution and distribution of
the final Concessionaire amendment package for signature.

E. TASK 5: Board of County Commissioners (BOCC) Coordination & Approval Support
(Phase 2)
Because the existing agreements require modification of material terms through
approval by Resolution of the BOCC, Contractor shall assist the County staff in
obtaining necessary approvals.
Services will include:
i. Resolution Development
a) Preparation of draft BOCC resolution approving the amendments
b) Incorporation of County staff comments
c) Preparation of final BOCC resolution package
ii. Presentation Materials
a) Preparation of Agenda Item Summary
b) Development of BOCC presentation materials summarizing:
• Operational impacts
• Amendment terms
• Customer service considerations
• Financial considerations
• Schedule and implementation plan
iii. Meeting Preparation Support
a) Coordination with Airport staff regarding BOCC agenda scheduling
b) Virtual attendance and support during BOCC meeting
c) Support in responding to Commissioner questions
This task will include up to three coordination meetings (one in-person and two virtual)
to support County staff in the preparation, review, and delivery of information,
analyses, and supporting documentation required for presentation to the BOCC. These
meetings will facilitate the coordination of materials, address stakeholder questions,
and ensure County staff are equipped with the information necessary to support BOCC
consideration and decision-making related to the amendment.

2. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate
Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1
of this Task Order. It is expressly understood and agreed that in no event will the total compensation
and reimbursement to be paid hereunder exceed the sum of Seventy-one thousand four hundred dollars
and Zero cents ($71,400.00) for all services rendered. By Task Order or Task Order Amendment, the
County and Contractor may reallocate the budget among project tasks if the total budget amount
remains unchanged. Contractor shall invoice for the project monthly based on hours worked, with
payment expected within thirty (30) days of invoice, but any payment by the County may be offset by
any amount the Contractor owes the County for any reason.
Any invoices not sent in the following manner may have payment delayed. All invoices for this Task
Order shall reference Task Order 110.18 Q-1 and Rental Car Concession Agreement Amendment
Services. Invoices shall be sent electronically in PDF format to diane.jackson@aspenairport.com.
3. Pitkin County’s Obligations. Pitkin County shall administer this contract through a County
Representative. Diane Jackson, Airport Director will manage the project as the County’s
Representative. The services provided and products delivered by the Contractor under this contract
will be subject to review by the County’s Representatives, or a designee, for compliance with
Contractor’s obligations prior to final payment.
4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the
Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the
avoidance of doubt this Task Order consists of the terms set out in the Agreement. In all other respects
the Agreement is in full force and effect and remains unchanged by this Task Order.

Getting paper or electronic copies
