(Conveyance of Portion of Thomas
Estate Property to Aspen Valley
Hospital District)
WHEREAS, this Board has previously agreed in principle
with the Aspen Valley Hospital District, a hospital district
formed under the laws of the State of Colorado, that the
County of Pitkin, State of Colorado, will, under certain
conditions, convey unto the Aspen Valley Hospital District
the following described real property, situate in the County
of Pitkin, State of Colorado, to be utilized by the Aspen
Valley Hospital District for the construction of a hospital:
(SEE EXHIBIT A ATTACHED HERETO AND BY THIS
REFERENCE MADE A PART HEREOF)
and
WHEREAS, the conveyance of said property to the Aspen
Valley Hospital District is necessary in order to provide a
site for the proposed new hospital facility to be constructed
in order to serve the residents of and visitors to Pitkin
County, the present hospital facility being wilfully inadequate,
and
WHEREAS, the members of this Board, the members of
the Board of the Aspen Valley Hospital District, and their
respective counsels, have negotiated the form which said
conveyance is to take, a copy of which form is attached hereto
as Exhibit A, and have determined that said form and the rights
and obligations of the parties as contained therein is in the
best interests of the general public, and
WHEREAS, the said respective boards have negotiated an
ancillary contract reciting the rights and obligations of the
Aspen Valley Hospital District and County of Pitkin, State of
Colorado, respecting continuing support of a public hospital
facility in Pitkin County, Colorado, all as allowed by law,
NOW, THEREFORE, BE IT RESOLVED that the Chairman of
this Board be authorized to execute and deliver the form of
deed attached hereto as Exhibit A to the Aspen Valley Hospital
District conveying the property herein described to it, and
the Secretary of this Board attest his signature thereon.
