Term of Agreement. The term ofthis Agreement is from July 1, 2005 to June 30, 2006. 2. Contractor's Obligations. Contractor shall: a. Strictly adhere to all applicable federal, state, and local laws or regulations that have been or may hereafter be established. b. Hold and maintain for the term hereof the necessary licensees) as specified under State law, which permits the performance of the service(s) to be provided herein. c. Subject any subcontracts to the requirements of the Grant as listed here, and the Contractor is responsible for the performance of any subcontractor. d. Abide by all applicable provisions of the Title Vi and VII of the Federal Civil Rights Act of 1964, Section 504 of the Rehabilitation Act of 1973, and Title XX of the Social Security Act of 1975 as revised. e. Provide services outlined in the Scope of Work. f. Maintain program service records, fiscal records, documentation and other records relevant to this Grant for the duration of the grant plus three years. The above shall be subject at all reasonable times to inspections, review or audit by Federal, State or County personnel, and other persons authorized in writing by the County. g. Provide quarterly Financial Reports and status reports. These reports will reflect the attached Scope of Work agreement. The first report is due September 30,2005. Subsequent reports for each quarter will be due on December 31, 2005, March 31, 2006 and the final report will be due within 30 days after end of contract. A current Financial Report and Status report shall be submitted with execution of this Agreement. 3. Scope of Work. a) Produce a guidebook/resource guide that provides the information needed by employers to evaluate the type of housing programs that best suits their needs. It will include the following: I. General information about employer housing benefit programs. 2. Program development questionnaires for employer 3. Templates oftypes of employer housing programs i. Detailed information on the legal, financial and administrative issues an employer needs to consider before implementing each type of program 11. Financial models for each type of program 111. Questionnaires an employer will use to create a customized housing benefit program. 4. Financing Information and Options 5. Housing Market information 6. Resources, locally, regionally and nationally b) EducationIW orkshops 1. Workshops presented by Contractor in conjunction with local, regional and state associations such as chambers of commerce for employers to introduce guidebook and address housing benefit issues. }- c) Distribution: I. Direct Mail 2. Availability through business associations, housing offices, lending sources and at workshops. d) Custodian of Guidebook 1. Determination of a group or organization to act as custodian of information and to update the information. e) Quarterly Status reports will include a narrative of progress of project, fundraising progress and the extent of collaboration with other housing groups. The final status report will include statistics in regard to number of guidebooks produced and number distributed. f) Quarterly Financial reports will show the overall proj ect budget including revenues and expenditures, itemizations for each portion of the work, and actual revenues and expenditures to date. 4. Pitkin Countv's Obligations. County shall: a. Grant $10,000.00 in funding to Contractor as follows: 1. $3500.00 paid to Contractor after execution ofthe agreement. 11. Payment to NWCCOG directly for services related to this project. Estimate of fees attached ($2028 - $2652). Should the county choose to use its $1000 annual in kind credit with NWCCOG for this project, that amount will still be charged against the grant to Contractor. 111. 12 of balance of grant after NWCCOG payment upon completion of final draft of guidebook paid to contractor. IV. Remainder of balance of grant paid to contractor after workshop related to this project is held in Pitkin County. 5. General Provisions a. The Parties to this Grant intend that the relationship between them contemplated by the Grant is that of independent agency. Contractor will be solely and entirely responsible for its acts and the act of its agents, employees, servants and subcontractors during the performance of the Grant. b. Payment pursuant to this Grant, ifin County, State, or Federal funds, whether in whole or in part, is subject to and contingent upon the continuing availability and appropriation of County funds for the purpose thereof. c. This Grant constitutes the full and complete agreement of the parties and supersedes or incorporates any prior written and oral agreements of the parties. In addition, agency understands that no County official or employee, other than the Board of County Commissioners acting as a body at a Board meeting, has authority to enter into a grant or modify the terms ofthis grant on behalf of the County. Any such grant or modification to this grant must be in writing and be executed by the parties hereto. 6. Default/Cancellation. If Contractor shall default in the performance of the Contractor's Obligations pursuant to the terms of this Agreement, and/or fails to provide an accounting for use or appropriation of monies granted in the manner in which such accounting was represented to the County, Agency shall have the right to cure said default after written notice by the County ofthe default to Contractor. If Contractor fails to cure such default within sixty (60) days after written notice is given from the County to Contractor specifying the nature of such default (or if such default cannot be cured with the aforesaid period of time, if the Contractor shall fail to promptly commence to cure the same and to thereafter diligently proceed with such cure), County shall reserve the right to cancel this Agreement and make a demand for the return of all monies that County determines, at its sole discretion, were not appropriated in accordance with this Agreement. Entire Agreement. This Agreement constitutes the full and complete Agreement of the parties hereto and shall not be modified except by written agreement signed by the parties.
