HEALTH AND HUMAN SERVICES
ANNUAL GRANT AWARD
ASPEN YOUTH EXPERIENCE, 2006
This Grant is made as or the: date last below signed between Pitkin County. he:rein referred to as
"County", and Aspen Youth Experience:. hereafter refeITed to as "Agency", Whereas, Aspen
Youth Experience a non-profit agency, is providing experiential programs for at-risk young
people to hclp them achieve their potential, and whereas Pitkin County wishes to award a grant tor
provision oflhese services:
1, Te:ml of Agreement. The term of this Agreement is from January 1,2006 to December

2, Agencv'::;Obligations. Agency shall:
a) Strictly adhere to all applicable federal, state, and local laws or regulations (including
County Procurement Code) that have been or may hereafter be established,
b) Hold and maintain for the term hereof the necessary license(s) as specified under State:
law which pennits the pert01l11anCe of the scrvice(s) to be provided herein,
c) Shall maintain a sliding-scale tee schedule for its services in order to accommodate 100v-
income individuals,
d) Subcontracts utilized by the Agency shall be subject to the requirements of the Grant as
listed here, and the Agency is responsible tor the pcrtlmnance of any subcontractor,
e) Abide by all applicable provisions of the Title VI and vn of the Fcderal Civil Rights
Act of 1964, Section 504 of the Rehabilitation Act of 1973, and Title XX of the Social
Sccurity Act of 1975 as revised.
f) Maintain written require:ments for safeguarding client intormation and comply with the
same,
g) Maintain service program records, fiscal records, documentation and other records
relevant to this Grant the duration of the grant plus six years. The: above shall be subject
at all reasonable times to inspections, review or audit by Federal, State or County
personnel. and other persons authorized in writing by the County,
h) Provide the se:rvices at the location as shown as the address of the Agency or wherever
is appropriate tl)r that service within Pitkin County.
i) Provide the service(s) described herein at a cost not greater than charged to other
persons,
j) Provide semi-annual Perlomlance Measure rep01is and Financial RepOlis, These
reports will include the number of un duplicated clients who live and/or work in Pitkin
County served by your programs. The first report is due August 15,2006 tor the first six
months of the grant year. The second repOli will be due January 31, 2007 for the entire
pe:riod of the grant year. The reports will include your annual goals and your actual
results year-to-date, as well as an explanation of any variances observed and the steps
you are taking to address those variances,
], Pitkin County's Obligations. Pitkin County shall:
a) County agrees to grant $6,500 to Aspen Youth Experience as approved in thc
Countis 2006 budget, which was approved by the Board of County Commissioners
on Dcccmber 2 I, 2005, The grant is to support Aspen Youth Experience's work
with Latino and at-risk teenagers who reside in the Roaring Fork Valley.
b) The total amount of this one-time grant shall not exceed $6,500 cash maximum in
2006. The County will pay Agency the total amount of this onc-timc grant on or
before the last day of March 2006, Annual payment is contingent upon the County's
receipt of satisfact01)' semi-annual reports. The return of a completed contract is
required in order to receive payment.
4. General Provisions
a) The Parties to this Grant intend that the relationship betvveen them contemplated by
the Grant is that of independent agency. No agent, employee, or servant of Agency
shall bc deemed to be an employee, agent, or servant of County. Agency will be
solely and entirely responsible for its acts and the act of its agents. cmployces.
servants and subcontractors during the performance of the Grant.
b) Payment pursuant to this Grant. if in County, State. or Federal funds. whether in
whole or in part, is subject to and contingent upon the continuing availability and
appropriation of County tlll1ds for the purpose thereof.
c) This grant constitutes the full and complete agreement of the parties and supersedes or
incorporates any prior written and oral agreements of the parties, In addition, agency
understands that no County o11icial or employee. other than the Board of County
Commissioners acting as a body at a Board meeting, has authority to enter into a grant
or to modify the terms ofthis grant on behalf of the County, Any such grant or
moditication to this grant must be in writing and be executed by the parties hereto,
5. Default/Cancellation. If Agency shall default in the performancc of Ageney's Obligations
pursuant to the terms of this Agrecment, and/or fails to provide an accounting for use or
appropriation of monies granted in the manner in which such accounting was represented
to the County, Agency shall have the right to cure said default alter written notice by the
County of the default to Agency, If Agency fails to cure such default within sixty (60)
days aller written notice is given from the County to Agency specifying the nature of such
default (or if such debult cannot be cured within the aforesaid period of time, if the
Agency shall fail to promptly commence to cure the same and to thereafter diligently
proceed with such cure), County shall reserve the right to cancel this Agreement and
make a demand for the return of all monies that County determines, at its sole discretion,
were not appropriated in accordance with this Agreement. Written notice of default and
cancellation shall be made to Agency by first class mail, postage prepaid and by certitied
mail, return receipt requested to the following address:

In the event this Agreement becomes subject to Default/Cancellation, the County, at its
sole discretion, may determine that Agt:ney is ineligible to apply for future awards from
Pitkin County,
6. Entire Agreement. This Agrt:ement constitutes the full and complete Agreement or the
paliies hereto and shall not be modified except by a written agreement signed by the
parties,
