ANNeAL GRANT AWARD

This Grant is made as of the date last below signed between Pitkin County, herein referred to as
"County", and The Right Door, hereafter refeITed to as "Agcncy". Whcreas, The Right Door, a
non-profit agency, is providing an alternative detoxification program and case management for
clients with substance abuse issues, and whereas Pitkin County wishes to award a grant for
provision of these services:
1. Term of Agreement. The term of this Agreement is from January 1, 2006 to December
31,2006.
2. Agency's Obligations. Agency sha1l:
a) Strictly adhere to all applicable federal, state, and local laws or rcgulations (including
County Procurement Code) that have been or may hereafter be established.
b) Hold and maintain for the term hereof the necessary license(s) as specified under State
law which pcrmits thc pcrlormancc ofthc scrvicc(s) to be provided herein,
c) Shall maintain a sliding-scale fee schedule for its services in order to accommodate low-
income individuals.
d) Subcontracts utilizcd by the Agcncy shall be subject to the requirements of the Grant as
listed here, and the Agency is responsible for the perfornlance of any subcontractor.
e) Abide by all applicable provisions ofthe Title VI and VII of the federal Civil Rights
Act of 1964, Section 504 of the Rehabilitation Act of 1973, and Title XX of the Social
Security Act of 1975 as revised.
f) Maintain written requirements for safeguarding client information and comply with the
same.
g) Maintain service program records, fiscal records, documentation and other records
relevant to this Grant the duration of the grant plus six years. The above shall be subject
at all rcasonablc timcs to inspcctions, rcvicw or audit by Fedcral, Statc or County
personnel, and other persons authorized in wliting by the County.
h) Provide the services at the location as shown as the address of the Agency or wherever
is appropriate for that service within Pitkin County,
i) Provide the service(s) described herein at a cost not greater than charged to other
persons.
j) Provide semi-arillual Pcrlormancc \1casurc rcports and Financial Reports. These
reports will include the number of un duplicated clients who live and/or work in Pitkin
County served by your programs. The first report is due August 15,2006 for the first six
months ofthc grant ycar. Thc sccond rcport will be due January 31,2007 for the entire
period of the grant year. The reports will include your annual goals and your actual
rcsults ycar-to-datc, as wcll as an explanation of any variances observed and the steps
you are taking to address those variances.
3. Pitkin Countv's Obligations. Pitkin County shall:
a) County agrees to grant $20,000 to Thc Right Door as approved in the County's 2006
budget, which was approved by the Board of County Commissioners on December
21,2005. The grant is to support the general operating costs of providing on-call
outreach to individuals in crisis with drugs and alcohol, including transportation
to detox and other agencies/providers, coordinated support and follow-up, and
linkage and referrals to individuals and their families.
h) The total amount of this one-time grant shall not excced $20,000 cash maximum in
2006. The County will pay Agency the total amount of this one-time grant on or before
thc last day of March 2006. Annual payment is contingent upon the County's receipt of
satisfactory semi-annual rep011s. The return of a completed contract is rcquircd in
order to receive payment.
4. General Provisions
a) Thc Partics to this Grant intend that the relationship between them contemplated by
the Grant is that of independent agency. No agcnt, cmployee, or servant of Agency
shall be deemed to be an employee, agent, or servant of County. Agency will bc
solely and entirely responsible for its acts and the act of its agents, employees,
servants and subcontractors during the performancc 0 f the Grant.
b) Payment pursuant to this Grant, if in County, State, or Federal funds, whether in
wholc or in part, is subject to and contingent upon the continuing availability and
appropriation of County funds for thc purpose thereof.
c) This grant constitutes the full and complete agreement of the parties and supersedcs or
incorporatcs any prior written and oral agreements of the parties. In addition, agency
understands that no County official or cmploycc, other than the Board of County
Commissioners acting as a body at a Board meeting, has authority to entcr into a grant
or to modify the terms of this grant on behalf of the County. Any such grant or
modification to this grant must be in writing and be executed by the parties hereto.
5. Default/Cancellation. If Agency shall default in the pcrformance of Agency's Obligations
pursuant to the terms of this Agreement, and/or fails to provide an accounting lor usc or
appropriation of monics f,'Tanted in the manner in \vhich such accounting was represented
to the County, Agency shall have the right to curc said default after written notice by the
County of the default to Agency. If Agency fails to cure such default within sixty (60)
days after written notice is givcn from the County to Agency specifying the nature of such
default (or if such default cannot be cured within thc aforesaid period of time, if the
Agcncy shall fail to promptly commence to cure the same and to thereafter dijigcntly
proceed with such cure), County shall rcscrve the right to cancel this Agreement and
make a dcmand for the return of alimonies that County detemlines, at its sole discrction,
were not appropriated in accordancc with this Agreement Written notice of default and
cancellation shall be made to Agency by first class mail, postagc prcpaid and by certified
mail, return receipt requcstcd to the following address:

In thc cvcnt this Agrccmcnt becomes subject to Default/Cancellation, the County, at its
sole discretion, may detemline that Agency is ineligible to apply tor futurc awards Crom
Pitkin County.
6. Entire Agreement. This Agreement constitutes the full and completc Agrccmcnt oCthe
parties hereto and shall not be modified except by a written agreement signed by the
parties.
