Whereas, Access Roaring Fork, a non-profit agency, is providing programs which empower local youth and ellcouragc civic p3liicipation through the teaching of digital media skills, and whereas Pitkin County wishes to award a grant for provision ofthcsc services: 1. Term of Al!;reement. The tern1 of this Agreement is from January 1,2006 to Decemher 31,2006. ) Agencv's Obligations. Agency shall: a) Strictly adhere to all applicable federal, state, and local laws or regulations (including County Procurement Code) that have been or may hereafter be established. b) Hold and maintain lor the term hereof the necess31Y licensc(s) as specified under State law which pernlits the performance of the service(s) to be provided hcrcin. c) Shall maintain a sliding-scale fee schedulc lor its services in order to accommodatc low- income individuals. d) Subcontracts utilized by the Agcncy shall be subject to the requirements orthe Grant as listed hcre, and the Agency is responsible for the performance of any subcontractor. e) ^bide by all applicable provisions of the Title VI and VII of the Federal Civil Rights Act of 1964, Section 504 of thc Rehabilitation Act of 1973, and Title XX of the Social Security Act of 1975 as revised. f) Maintain written rcquirements for safeguarding client inlormation and comply with the same. g) \i[aintain service program records, fiscal records, documentation and other rccords relevant to this Grant for the duration of the grant plus six years. The above shall be subject at all reasonable times to inspections, review or audit by Fedcral, State or County pcrsonnel, and other persons authorizcd in writing by the County. h) Provide the services at thc location as shown as the address orthe Agency or wherever is appropriate for that service within Pitkin County. i) Provide the servicc(s) described herein at a cost not f,'Teater than charged to other persons. j) Providc semi-annual Perf01111ance Measure reports and financial Reports. These repOl1S will include the number of un duplicated clients who live and/or work in Pitkin County served by your programs. The first report is due August 15,2006 for the first six months of the grant year. The second report will be due Janu31Y 3 1,2007 for the entire period of the grant ycar. The reports will include your annual goals and your actual rcsults year-to-date, as well as an cxplanation of any variances obscrved and the steps you are taking to address those variances. 3. Pitkin Countv's Obligations. Pitkin County shal]: a) County agrees to grant $5,000 to Access Roaring fork as approved in the Coumy's 2006 budget, which was approved by the Board of County Commissioners on December 21,2005. The grant is to support after-school programs, which use digital media to assist youth in developing their own creative, voice and encourage civic participation. b) The total amount of this one-timc grant shall not exceed 55,000 cash maximum in 2006. The County will pay Agency the total amount of this one-~ime grant on or beforc the last day of March 2006. Annual payment is comingent upon the County's receipt of satisfactory semi-annual reports. The return of a completed contract is rcquired in ordcr to receive payment. 4. General Provisions a) The Parties to this Grant intend that the relationship between them comemplated by the Grant is that of independent agency. No agent, employee, or servar:t of Agcncy shall be deemed to be an employee, agent, or servant of County. Agency wi Il be solely and entirely rcsponsible for its acts and the act of its agcnts, employees, servants and subcontractors during the performance of the Grant. b) Payment pursuant to this Grant, ifin County, Statc, or Federal funds, whether in whole or in part, is subject to and contingent upon the continuing c.vailability and appropriation of County funds for the purpose thereof c) This grant constitutes the full and complete agreement of the parties and supersedes or incorporates any prior writtcn and oral agreements of the parties. In addition, agency understands that no County official or employee, other than the Board of County Commissioners acting as a body at a Hoard mceting, has authority to enter into a grant or to modify the tcrms of this grant on behalf of the County. Any such grant or modification to this grant must be in writing and be executed by the partics hcrelo. 5. DcDlLdt/Cancel!ation. If Agency shall default in the performance of Agency's Obligations pursuant to the tcrms of this Agreement, and/or fails to provide an accounting for use or appropriation of monies granted in the manner in which such accounting was represented to thc County, Agency shall have the right to cure said default after written notice by the County oftbe default to Agency. If Agency fails to cure SU61 default withn sixty (60) days after written notice is givcn from the County to Agency spcci [ying the nature of such default (or ifsuch default cannot be cured wiThin the aforesaid period of time, irthe Agency shall fail to promptly commence to cure fTe same and to thereafter di ligently proceed with such cure), County shall reserve the right to cancel this Agreement and make a demand for the return of all monies that County determines, at its sole discrction, wcre not appropriated in accordance with this Agreement. Entire Agreement. This Agreement constitutes the full and complete Agreement ofthc partics hcreto and shall not be modified except by a written agreement signed by the parties.
