(J2i~?OlJf PITKIl\' COL'NTY COl\fMlJNITY RELA nONS ANNUAL GRANT AWARD ANDY ZANCA YOUTH EMPOWER"fENT PROGRA,M, 2006 This Grant is made as of the date last below signed between Pitkin County, herein refeITed to as "County", and Andy Zanca Youth Empowernlent Program, hereafter referred to as "Agency". Whereas, Andy Zanca Youth Empowernlent Program, a non-profit agency, is providing opportunities for teens in media arts, and whereas Pitkin County wishes to award a grant for provision of these serviccs: 1. Tern] of A~reement. The term of this Agreement is from January 1, 2006 to December 31, 2006. 2. Agency's Ob1i~ations. Agency shall: a) Strictly adhcrc to all applicable federal, state, and localla\vs or regulations (including County Procurement Code) that have been or may hereafter be establishcd. b) Hold and maintain for the term hereof the necessary license(s) as speci tied under State law which permits the pcr[ormance of the service(s) to be provided herein, c) Shall maintain a sliding-scale fee schedule for its serviccs in ordcr to accommodate low- income individuals. d) Subcontracts utilized by thc Agency shall be subject to the requirements of the Grant as listed here, and the Agency is responsible for the performancc of any subcontractor. e) Abide by all applicable provisions of the Title VI and VII of the Federal Civil Rights Act of 1 964, Section 504 ofthc Rchabilitation Act of 1973, and Title XX of the Social Security Act of 1975 as revised. f) Maintain written requirements for safeguarding client infomlation and comply with the same. g) Maintain service program records, fiscal records, documentation and other records relevant to this Grant for the duration of the grant plus six years. The above shall be subject at all reasonable times to inspcctions, review or audit by Federal, State or County personnel, and other persons authorized in writing by the County. h) Providc the services at the location as ShO\\l1 as the address ofthe Agency or \vherever is appropriate for that service within Pitkin County. i) Provide the service(s) described herein at a cost not greater than charged to other persons. j) Provide semi -annual Perfonnance reports and financial Reports. These reports will incIudc the number of un duplicated clients who live and/or work in Pitkin County served by your programs. Thc first report is due August 15,2006 for the first six months of the grant year. The second report will be due January 31,2007 for the entire period of the grant ycar. 3. Pitkin COLmtv's Obligations, Pitkin County shall: a) County agrccs to 6'Tant $2,000 to Andy Zanca Youth Empowennent Program as approved in the County's 2006 budget, which was approved by the Board of County Commissioners on December 21, 2005. The grant is to provide gencl'al support to the program which provides opportunities for youth to develop the skills and confidence to establish community conncctions and to transmit ideas, values, and culture through mcdia and the arts. b) The total amount of this one-time grant shall not exceed 52,000 cash maximum in 2006. The County will pay Agcncy the total amount of this one-time grant on or before thc last day of March 2006. Annual payment is contingent upon the County's receipt of satisfactory semi-armuaJ reports. The return of a completcd contract is required in order to receive payment. 4, General Provisions a) Thc Parties to this Grant intend that the relationship between them contemplated by the Grant is that of independent agency. No agent, employee, or servant of Agency shall be deemed to be an employee, agent, or servant of County. Agency will be solely and entirely responsible for its acts and thc act of its agents, employees, servants and subcontractors during the perfomlance of the Grant. b) Payment pursuant to this Grant, if in County, State, or Federal funds, whethcr in whole or in part, is subject to and contingcnt upon the continuing availability and appropriation of County funds for the purpose thereof. c) This grant constitutes the full and complete agreement of the parties and supcrscdes or incorporatcs any prior written and oral agreements of the parties, In addition, agency understands that no County official or employee, other than thc Board of County Commissioners acting as a body at a Board meeting, has authority to entcr into a s'Tant or to modify the terms of this grant on behalf ofthc County, Any such grant or modification to this grant must be in writing and bc executcd by the parties hereto. 5. Default/Cancellation. If Agency shall default in the performance of Agcncy's Obligations pursuant to the terms of this Agreement, and/or fails to provide an accounting for usc or appropliation ofmonics 6'Tanted in the manner in which such accounting was reprcsented to the County, Agency shall have the right to cure said default after writtcn notice by the County of the default to Agency. If Agency fails to cure such default within sixty (60) days after written notice is gi ven from the County to Agency specifying the nature of such default (or ifsuch default cannot be cured vvithin the aforesaid period oftimc, ifthe Agency shaIJ fail to promptly commence to cure thc same and to thereafter diligently proceed vvith such cure), County shall reserve the right to cancel this Agreement and make a demand for the retum of all monies that County detemlines, at its sole discretion, were not appropriated in accordance with this Agreement.
