Whereas, Computers for Kids Foundation, a non-profit agency, is providing access to computer technology and the Internet to low-income students and their families, and whereas Pitkin County wishes to award a grant for provision of these services: I. Term of Al':reement. The term of this Agreement is from January 1,2006, to December 31,2006, 2. Agency's Obligations. Agency shall: a) Strictly adhere to all applicable federal, state, and local laws or regulations (including County Procurement Code) that have been or may hereafter be established. b) Hold and maintain for the term hereof the necessary Iicense(s) as specified under State law which penllits the perfonllance of the service(s) to be provided herein. c) Shall maintain a sliding-scale fee schedule for its services in order to accommodate low- incomc individuals. d) Subcontracts utilized hy the Agency shall be subject to the requirements of the Grant as listed here, and the Agency is responsible for the perfornlance of any subcontractor. e) Abide by all applicable provisions of the Tille VI and VII of the Federal Civil Rights Act of 1964, Section 504 of the Rehabilitation Act of 1973, and Title XX of the Social Security Act of 1975 as revised. 1) Maintain writtcn requircmcms for safeguarding client information and comply with the same. g) Maintain service program records, fiscal records, documentation and other records relevant to this Grant the duration ofthc grant plus six years. The above shall be subject at all reasonable times to inspections, review or audit by Federal, State or County personnel, and other persons authorized in writing by the County. h) Provide the scrviccs at thc location as shown as the address of the Agency or wherever is appropriate for that service within Pitkin County. i) Provide the service(s) described herein at a cost not greater than charged to other persons. j) Provide semi-annual Perfonllance Measure reports and Financial Reports. Thcsc reports will include the Illlmber of un duplicated clients who live and/or work in Pitkin County served by your programs. Thc first rcport is due August 15, 2006 for the first six months of the grant year. The second report will be due January 31,2007 for the cntirc period of the grant ycar. The reports will include your annual goals and your actual results year-to-date, as well as an explanation of any variances obscrvcd and thc stcps you arc taking to address those variances. 1 3. Pitkin County's Obligations. Pitkin County shall: a) County agrccs to grant S4,000 to Computers for Kids foundation as approved in the County's 2006 budget, which was approved by the Board of County Commissioners on December 21,2005. The grant is to provide a refurbished computer, reduced cost Internet access and training to 20 low-income students at Aspen High School and 20 low-income students at Aspen Middle School. h) The total amount of this one-time grant shall not exceed $4,000 cash maximum in 2006. The County will pay Agency the total amount of this one-time grant on or bclore the last day of March 2006. Annual payment is contingent lIpon the County's receipt of satisfactory semi-annual reports. The rctum ofa completed contract is required in order to receive paymcnt. 4. General Provisions a) Thc Parties to this Grant intend that the relationship between thcm contemplated by the Grant is that of independent agency. No agent, employee, or servant of Agency shall be deemed to be an employee, agent, or scrvant of County. Agency will bc solely and entirely responsible for its acts and the act of its agents, employees, servants and subcontractors during the performance of the Grant. b) Payment pursuant to this Grant, if in County, State, or Federal funds, whether in whole or in part, is subject to and contingent upon the continuing availability and appropriation of County funds for the purpose thereof. c) This grant constitutes the full and complete agreement of the parties and supcrsedes or incorporates any prior written and oral agreements of the parties. In addition, agency understands that no County official or cmployee, other tban the Board of County Commissioners acting as a body at a BoaTd mecting, has authority to enter into a grant or to modify the tenns of this grant on behalf of the County. Any such grant or modification to this grant must be in writing and be executed by the parties hereto. 5. Default/Canccl1ation. If Agency shall default in the perfomlance of Agency's Obligations pursuant to the terms of this Ai,,'Teement, and/or fails to provide an accounting ror use or appropriation of monies granted in the manner in which such accounting was represented to the County, Agency shall have the right to cure said default after wrillen notice by the County of the default to Agency. If Agency fails to cure such default within sixty (60) days after written notice is given irom the County to Agcncy specifying the nature of such default (or ifsuch default cannot be cured within the aforesaid period oi'time, if the Agency shall fail to promptly commence to cure the same and to thereafter di!igcntly proceed with such cure), County shall reserve the right to cancel this Agreement and make a demand for the rctum of all monies that County determines, at its sole discretion, were not appropriated in accordance with this Ai,,'Teement. Entire Agreemcnt. This Agreement constitutes the full and complete Agrcement of the parties hereto and shall not be modified except by a written agreement signed by the parties. ,., .)
