This Grant is made as of the date last below signed between Pitkin County, hcrcin rcrcrrcd to as
"County", and Mpower, hereafter refeITed to as "Agency". Whereas, Mpower, a non-profit
agency, is providing opportunitics lor studcnts to develop effective voices for self-expression
and whereas Pitkin County wishes to award a grant for provision of these services:
I, Term of AQreemcnt. Thc tcrm of this Agreement is from January 1,2006, to December
31, 2006.
2. Agency's Obligations. Agency shall:
a) Strictly adhere to all applicable federal, state, and local laws or regulations (including
County Procurement Code) that have been or may hereafter be established.
b) Hold and maintain for the tenn hereof the neccssary liccnsc(s) as specified under State
law which pem1its the perfonnance ofthe service(s) to be provided herein.
c) Shall maintain a sliding-scale fee schedule for its services in order to accommodate low-
income individuals,
d) Subcontracts utilized by the Agency shall be subject to the requirements of the Grant as
Iistcd here, and the Agency is responsible for the performance of any subcontractor.
e) Abide by all applicable provisions ofthc Titlc VI and VII of the Federal Civil Rights
Act of 1964, Section 504 ofthe Rehabilitation Act of 1 (n3, and Title XX ofthe Social
Security Act of 1975 as rcvised.
f) Maintain wlitten requirements for safeguarding client information and comply with the
same.
g) Maintain scrvicc program records, fiscal records, documentation and other records
relevant to this Grant for the duration ofthc grant plus six years. The above shall be
subject at all reasonable times to inspections, review or audit by Federal, State or
County personnel, and othcr persons authorized in writing by the County.
h) Provide the services at the location as shown as thc address of the Agency or wherever
is appropriate for that service within Pitkin County.
i) Provide the service(s) dcscribcd hcrcin at a cost not greater than charged to other
persons.
j) Providc semi-annual Performance reports and Financial Reports, These reports will
include the number of un duplicated clients who live and/or work in Pitkin County
served by your programs. The first report is due August 15, 2006 lor the first six
months ofthc !j'Tant year. The second report will be due January 31,2007 for the entirc
period of the grant year.
3. Pitkin County's Obligations. Pitkin County shall:
a) County agrees to grant $3,000 to Ylpower as approved in the County's 2006 budget,
which was approved by the Board of County Commissioners on December 21, 2005.
The grant is to support the Media Empowerment Program at Basalt High
School, a prevention and media education program designed to prevent youth
from engaging in high-risk behaviors.
b) The total amount of this one-time grant shall not exceed $3,000 cash maximum in
2006. The County will pay Agency the total amount of this one-time grant on or bc10rc
the last day of March 2006. Armual payment is contingent upon the County's receipt of
satisfactory semi-annual reports. The retum of a complctcd contract is required in
order to receive payment.
4. General Provisions
a) The Parties to this Grant intend that thc rclationship between them contemplated by
the Grant is that of independent agency. No agent, employce, or servant of Agency
shall be deemcd to be an employee, agent, or servant of County. Agency wi]] bc
solely and entirely responsible for its acts and the act of its agents, employees,
servants and subcontractors during the performance of the Grant.
h) Payment pursuant to this Grant, ifin County, State, or Federal funds, whether in
whole or in part, is subject to and contingent upon the continuing availability and
appropriation of County funds for the purpose thercoL
c) This grant constitutcs the full and complete agreement of the parties and supcrscdes or
incorporates any prior written and oral agrccments of the parties. In addition, agency
undcrstands that no County official or employee, other than thc Board of County
Commissioners acting as a body at a Board meeting, has authOlity to enter into a grant
or to modify the tenllS of this grant on behalf of the County. Any such grant or
modification to this grant must be in writing and be executcd by the parties hereto.
5. Default/Cancellation, If Agency shall default in the performance of Agency's Obligations
pursuant to the terms of this Agreement, and/or fails to provide an accounting for use or
appropriation of monies granted in the manner in which such accounting was represented
to the County, Agency shall have the right to cure said default after written notice by the
County of the default to Agcncy. If Agency fails to cure such default within sixty (60)
days after written notice is given from the County to Agency specifying the nature of such
default (or ifsuch default cannot be cured within the aforesaid pcriod of time, if the
Agency shall fail to promptly commcnce to eure the same and to thereafter di1igcnt1y
procccd with such cure), County shall reserve thc right to eancel this Agreement and
make a demand for the return of all monies that County deternlines, at its sole discretion,
were not appropriated in accordance with this Agrccment. Written notice of default and
cancellation shall be madc to Agency by first class mail, postage prcpaid and by certified
mail, retum receipt requested to the following address:

In the event this Agreement hecomes subject to Default/Canccllation, the County, at its
sole discrction, may determine that Agency is ineligible to apply for future awards from
Pitkin County.
6. Entirc Agrccmenl. This Agreement constitutes the full and complete Agreement of the
p31ties hereto and shall not be rnodificd cxcept by a written agreement signed by the
parties.
