Whereas, Roaring Fork Conservancy, a non-profit agency, is addressing environmental concerns of the Roaring Fork River through education, land conservation, water conscrvation and water quality monitoring, and whereas Pitkin County wishcs to award a grant tor provision of these services: I. Term of Agreement The term of this Agreement is from January 1,2006 to Deccmbcr 31,2006. 2. Agen~y's Obligations. Agency shall: a) Strictly adhcrc to all applicablc fcdcral, statc, and local laws or rcgulations (including County Procurement Code) that have been or may hereafter be established, b) Hold and maintain for the term hereof the necessary license(s) as specified under State law which pcrmits the performance of the service(s) to be provided herein. c) Shall maintain a sliding-scale fee schedule for its services in order to accommodatc low- income individuals. d) Subcontracts utilized by thc Agcncy shall be subject to the requirements of the Grant as listed here, and the Agency is responsible for the perfornlance of any subcontractor. e) Abide by all applicable provisions of the Title VI and VII of the federal Civil Rights Act of 1964, Section 504 of the Rehabilitation Act of 1973, and Title XX of the Social Security Act of 1975 as revised. f) Maintain written requirements for safeguarding client information and comply with the same. g) Maintain service program records, fiscal records, documentation and other records relevant to this Grant lor the duration ofthe grant plus six years. The above shall be subject at all reasonable times to inspections, review or audit by Federal, Statc or County personnel, and other persons authOlized in writing hy the County. h) Provide the services at the location as shown as the address of the Agency or wherever is appropriate for that service within Pitkin County. i) Provide the service(s) described herein at a cost not greater than charged to other pcrsons. j) Provide semi-annual Perfomlance rep011s and Financial Reports. These reports will include the number of un duplicated clients who live and/or work in Pitkin County scrved by your programs. Thc first rcport is due August 15,2006 for the first six months of the grant year. The second rep011 will be due January 31,2007 lor thc cntirc period 0 I' the grant year. k) The Board of County Commissioners encourages Roaring Fork Conscrvancy to make cvcry effort to include the Town of Snowmass Village in the Brush Creek water study funded by this grant, and it is a condition of this grant that Roaring Fork Conservancy dcmonstrate to Pitkin County Contract Management the efforts made to achieve that goal, even if Roaring Fork Conscrvancy's efforts are not successful. 3. Pitkin Countv's Obligations. Pitkin County shall: a) County agrees to grant $4,000 to Roaring Fork Conservancy as approved in the County's 2006 budget, which was approved by the Board olTounty Commissioners on December 21,2005. The grant is to support a water quality study of Brush Creek, which would establish an accurate baseline for Brush Creek, dctcrmine the extent and causc of high pH found in Brush Creek, and provide an understanding of appropriate managcmcnt of open space parcels with regard to riparian habitat. b) The total amount of this one-time grant shall not exceed 54,000 cash maximum in 2006. The County will pay Agency the total amount ofthis one-time grant on or before the last day of March 2006, Annual paymcnt is contingent upon the County's receipt of satisfactory semi-annual reports. The return of a completed contract is required in order to receive paymcnt. 4. General Provisions a) The Parties to this Grant intend that the relationship bctween them contemplated by thc Grant is that of independent agency. No agent, employee, or servant of Agcncy shall be deemed to bc an cmployee, agent, or servant of County. Agency will be solely and entirely responsible for its acts and the act of its agents, employees, scrvants and subcontractors during the perf0l111anCe of the Grant. h) Payment pursuant to this Grant, ifin County, State, or Federal funds, whether in whole or in part, is subject to and contingent upon the continuing availability and appropriation of County funds for the purpose thereof. c) This grant constitutes the full and complete agreement of the parties and supersedes or incorporates any prior written and oral agreemcnts orthe parties. In addition, agency undcrstands that no County official or employee, other than thc Board of County Commissioners acting as a body at a Board meeting, has authority to enter into a grant or to modify the tenllS of this grant on behalf orthe County. Any such grant or modification to this grant must be in writing and he executed by the partics hereto. 5. Default/Cancellation. If Agency shall default in the performancc of Agency's Obligations pursuant to the ternlS of this Agreemcnt, and/or fails to provide an accounting for llse or appropriation of monies granted in the manner in which such accounting was represented to the County, Agcncy shall havc the right to curc said default after writtcn notice by thc County of the default to Agency, If Agency l'ails to cure such default within sixty (60) days after written noticc is given from the County to Agency specifying thc nature of such default (or ifsuch default cannot be cured within the aforesaid period of time, if the Agency sha1l l'ail to promptly commence to cure the same and to thcreafter diligently procecd with such cure), County shall reserve the right to cancel this Agreement and 2 makc a demand (or the return of all monies that County dete1111ines, at its sole discrction, were not appropriated in accordancc with this Agreement. In addition to Pitkin County, we are seeking funding and support from other entities in the valley that have a connection to Brush Creek. Our goal is to include the Town of Snowmass Village, Snowmass Water and Sanitation District, and the Aspen Skiing Company as partners in the study: To date we have receivel~ $1,000 from the Ruedi Water and Power Authority toward the study. A formal funding request of $4,000was submitted to the Town of Snowmass Village at a December commi~sioners meeting. The funding request was denied, but the Town did. register its support of the study. The Town, like Pitkin County, also encouraged the Conservancy to solicit support from other entities associated with Brush Creek. A formal funding request of $4,000 was submitted to the Aspen Skiing Company late last week. In addition, the , Conservancy will contact the Snowmass Water and Sanitation District seeking support in the coming week. - We feel that we have included all pertinent partners in the study, and that we have made the appropriate requests for funding and support.
