COMMUNITY RELATIONS
PARTNERSHIP GRANT AWARD
ASPEN INSTITUTE, 2006
This Grant is made as of the date last below signed between Pitkin County, hcrcin refeITed to as
"County", and The Aspen Institute, hereafter refeITed to as "Agency". Whereas, The Aspen
Institute, a non-profit agency, is providing lectures, seminars and events to Roaring Fork Valley
residents and visitors and whereas Pitkin County wishes to award a grant for provision of these
servIces:
1. Term of Agreement. The tern1 of this Agreement is from January 1, 2006 to December
31, 2006.
2. Agency's Obligations. Agency shall:
a) Strictly adhere to all applicable federal, state, and local laws or regulations (including
County Procurement Code) that have becn or may hereafter be established.
b) Hold and maintain for the ternl hereof the necessary licensee s) as spcci lied under State
law, which permits the performance of the service(s) to be provided herein.
c) Shall maintain a sliding-scale fec schedule for its services in order to accommodate low-
income individuals.
d) Subcontracts utilized by the Agency shall be subject to the requirements of the Grant as
listed here, and the Agency is responsiblc for the performance of any subcontractor.
e) Abide by all applicable provisions of the Title VI and VII ofthc Fcderal Civil Rights
Act of 1964, Section 504 of the Rehabilitation Act of 1973, and Title XX of the Social
Security Act of 1975 as revised.
/) Maintain written requirements for safeguarding client information and comply with the
same.
g) Maintain service program records, fiscal records, documentation and other records
relevant to this Grant for the duration ofthe grant plus six years. Thc above shall be
subject at all reasonablc times to inspections, review or audit hy Federal, State or
County personnel, and other persons authorized in writing by the County.
h) Provide the services at the location as shown as the address ofthc Agency or wherever
is appropriate for that service within Pitkin County.
i) Provide the service(s) desclibed herein at a cost not greater than charged to other
pcrsons.
j) Provide semi-annual Pcrlormance reports and Financial Reports. These reports will
include the number of un duplicated clients who livc and/or work in Pitkin County
served by your prot,'fams. The first report is due August 15,2006 for the first six months
of the grant year. The sccond report will be due January 31,2007 for the entire pcriod
of the grant year. The reports will include your annual goals and your actual results
year-to-date, as wcII as an explanation of any variances observed and the stcps you are
taking to address those variances,

3. Pitkin County's Obligations. Pitkin County shall:
a) County agrccs to grant $1,500 to The Aspen Institute as approved in the County's
2006 budget, which was approved by the Board of County Commissioners on
December 21,2005. The grant is to support the general operating costs of The
Aspen Institute's Roaring Fork Valley Community Outreach Programs,
including the Great Ideas Seminar, High School Great Ideas Seminars, The
Aspen Institute Dialogue, Free Summer Speaker Series and the Community
Forum.
b) The total amount of this one-time grant shall not exceed $1,500 cash maximum in
2006. The County will pay Agency the total amount of this one-time grant on or before
the last day of March 2006. Annual payment is contingent upon thc County's receipt of
satisfactory semi-annual reports. The return of a completed contract is required in
order to receive paymcnt.
c) The 2005-2006 Partnership agreement ends with this 2006 grant payment. Grantee
wi II be eligible to re-apply for future funding (either Partnership or annual support) in
August 2006. Funding for future years is subject to budgct appropriation, compliance
with contractual obligations, and Board of County Commissioners approval each year.
4. General Provisions
a) The Parties to this Grant intcnd that the relationship between them contemplated hy
the Grant is that of independent agency. No agent, cmployee, or servant of Agency
shall bc dcemed to be an employee, agent, or servant of County. Agency wi]] be
solely and entirely responsiblc for its acts and the act of its agents, employees,
servants and subcontractors during the performancc ofthc Grant.
b) Payment pursuant to this Grant, ifin County, State, or Federal funds, whethcr in
whole or in p311, is subject to and contingent upon the continuing availability and
appropriation of County funds for the purpose thereof
c) This grant constitutes the full and complete agreement of the p311ies and superscdcs or
incorporates any prior writtcn and oral agreements of the parties. In addition, agency
understands that no County official or employee, other than thc Board of County
Commissioncrs acting as a body at a Board meeting, has authOlity to enter into a grant
or to modify the tenllS of this grant on behalf of the County. Any such grant or
modification to this grant must he in writing and be exccutcd by the parties hereto.
5. Default/Cancellation. lf Agency shall default in the performance of Agency's Obligations
pursuant to the terms of this Agreement, and/or fails to providc an accounting for use or
appropriation of monics granted in the manner in which such accounting was represented
to the County, Agency shall have the right to cure said default after written notice by the
County of the default to Agcncy. If Agency fails to cure such default within sixty (60)
days after written notice is given from the County to Agency specifying the nature of such
default (or ifsuch default cannot be cured within the aforesaid period oftimc, if the
Agency shall fail to promptly commcncc to cure the same and to thereafter diligently

proceed with such cure), County shall reserve the right to cancel this Agreement and
make a demand for the retUn1 of all monies that County determines, at its sole discretion,
were not appropriated in accordance with this Agrccmcnt. Written notice of default and
cancellation shall be made to Agency by first class mail, postage prepaid and by ce11ified
mail, return reccipt rcqucstcd to the following address:

Tn the event this Agreement bccomcs subject to Default/Cancellation, the County, at its
sole discretion, may deternline that Agency is ineligible to apply lor futme awards from
Pitkin County.
6. Entire Agreement. This Agreement constitutes the full and complctc Agrccment of the
partics hereto and shall not be modified except by a written agreement signed by the
parties.
