Whereas, Aspen Valley Ski & Snowboard Club, a non-profit agency, is providing opportunities lor Roaring Fork Valley youth the engage and excel in winter sports, and whereas Pitkin County wishes to award a !j'Tant for provision of these services: 1. TenD_of Agreement. The term of this Agreement is from January 1, 2006 to December 31, 2006. 2. Agency's Ohligations. Agency shall: a) Strictly adhere to al1 applicable federal, state, and local laws or regulations (including County Procuremcnt Code) that have been or may hereafter be establishcd, b) Hold and maintain for the term hcrcofthe necessary license(s) as specitled under Statc law, which pernlits the perf01111ance of the servicc(s) to be provided herein. c) Shall maintain a sliding-scale fee schedule for its services in ordcr to accommodate low- income individuals. d) Subcontracts utilized by the Agency shall be subject to the requirements of the Grant as listed here, and the Agency is responsible for the perfo1111ance of any subcontractor. e) Abide by all applicable provisions of the Title VI and Vll of the Federal Civil Rights Act of 1964, Section 504 of the Rehabilitation Act of 1973, and Title XX of the Social SecUlity Act of 1975 as revised. f) \1aintain written requirements for safeguarding client info1111ation and comply with thc same, g) Maintain scrvicc program records, fiscal records, documentation and other records relevant to this Grant for the duration oCthe b'Tant plus six years. The above shall bc subject at all reasonable times to inspections, review or audit by Federal, State or County personnel, and other persons authorized in wliting by the County. h) Provide the services at the location as shown as the address of the Agency or whcrcver is appropriate for that service within Pitkin County. i) Provide the service(s) described herein at a cost not greater than charged to other persons. j) Providc semi-annual Perfo1111ance reports and Financial Reports. These reports will include the number of un duplicated clients who live and/or work in Pitkin County served by your programs. The first report is due August 15,2006 for the first six months of the b'Tant year. The second rep011 will be due January 31,2007 for the entire period of the grant year. The reports will include your annual goals and your actual results ycar-to-date, as well as an explanation of any variances observed and the steps you are taking to address those variances. 1 3. Pitkin County's Obligations. Pitkin County shall: a) County agrees to grant $4,000 to Aspen Valley Ski & Snowhoard Club as approved in the County's 2006 budget, which was approved by thc Board of County Commissioncrs on December 21,2005, The grant is to support the general operating costs of introductory and competitive ski and snowboard programs for ages 3 'h through high school and beyond. b) The total amount of this one-time grant shall not exceed $4,000 cash maximum in 2006. The County will pay Agency the total amount of this one-time grant on or before the last day ol'March 2006. Annual payment is contingent upon the County's receipt of satisfactory semi-annual rcports. The return of a completed contract is requircd in order to receive payment. c) The 2005-2006 Partnership agrcement ends with this 2006 grant payment. Grantee will be eligible to re-apply for future funding (either Partnership or annual SUpp0l1) in August 2006. Funding for future years is subject to budget appropriation, compliance with contractual obligations, and Board of County Commissioners approval cach year. 4. General Provisions a) The Parties to this Grant intend that the relationship between them contemplated by the Grant is that of independent agency, No agent, employce, or servant of Agency shall be deemed to be an employcc, agent, or servant of County. Agency will be solely and entirely responsible for its acts and the act of its agents, employees, servants and subcontractors during the perfomlance of the Grant. b) Payment pursuant to this Grant, if in County, State, or Federal funds, whether in whole or in part, is subject to and contingent upon the continuing availability and appropriation of County funds for the purpose thereof. c) This grant constitutes the full and complcte agreement of the parties and superscdcs or incorporates any prior written and oral agreements of the parties. In addition, agency understands that no County official or employee, other than the Board of County Commissioners acting as a body at a Board meeting, has authority to entcr into a grant or to modify the terms of this grant on behalfofthe County. Any such grant or modification to this grant must be in writing and he executed by thc parties hereto. 5. Default/Cancellation. If Agency shall default in the perfomlance of Agency's Obligations pursuant to the terms of this Agreement, and/or fails to provide an accounting for usc or appropriation of monies granted in the manner in which such accounting was represented to the County, Agency shall have thc right to cure said default after written notice by the County of the dcCault to Agency. If Agency fails to cure such default within sixty (60) days after written notice is given from the County to Agency specifying thc nature of such default (or ifsuch default cannot be cured within the aforesaid period of time, if the Agency shall fail to promptly commence to cure the same and to thereafter diligently procecd with such cure), County shall rescrve [he right to cancel this Agrecmcnt and 2 IN WITNESS WHEREOF, the parties hereto havc caused this Agreement to be executed as of the latest date written below.
