This Grant is made as of the date last below signed between Pitkin County, herein refelTed to as "County", and Independence Pass Foundation, hereafter referred to as "Agency". Whereas, Independence Pass Foundation, a non-profit agency, promotes and proteets the geologieal, biological and historical integrity of the Independence Pass corridor for the safety and enjoyment of all who use the Pass, and whereas Pitkin County wishes to award a grant for provision of these servIces: 1. Tem1 of Ai.;reement. The term of this Agreement is from January 1,2006 to December 31, 2006. 2. Agency's Oblii.;ations. Ageney shall: a) Strictly adhere to all applicable federal, state, and local laws or regulations (including County Proeurement Code) that have been or may hereafter be established. b) Hold and maintain for the tern1 hereof the necessary Iieense(s) as speeified under State law, which permits the perforn1ance ofthe service(s) to be provided herein. c) Shall maintain a sliding-seale fee sehedule for its services in order to accommodate low- income individuals. d) Subeontracts utilized by the Agency shall be subjeet to the requirements of the Grant as listed here, and the Ageney is responsible for the performance of any subcontractor. e) Abide by all applicable provisions of the Title VI and VII of the Federal Civil Rights Act of 1964, Section 504 of the Rehabilitation Act of 1973, and Title XX ofthc Social Security Act of 1 <n5 as revised. f) Maintain written requirements for safeguarding client information and eomply with the same. g) Maintain serviee program reeords, fiscal records, documentation and other records relevant to this Grant for the duration of the grant plus six years. The above shall be subjeet at all reasonable times to inspections, review or audit by Federal, State or County personnel, and other persons authorized in writing by the County. h) Provide the services at the location as shown as the address of the Agency or wherever is appropriate for that serviee within Pitkin County. i) Provide the service(s) described herein at a cost not greater than charged to other persons. j) Provide semi-annual Performance Measure rep0l1s and Financial Reports. These reports will include the number ofunduplieated elients who live and/or work in Pitkin County served by your programs. The first repOlt is due August 15,2006 for the first six months of the grant year. The second report will be due January 31,2007 for the cntire period of the grant year. The rep0l1s will jnelude your annual goals and your actual results year-to-date, as well as an explanation of any varianees observed and the stcps you are taking to address those variances. 3. Pitkin County's Obligations. Pitkin County shall: a) County agrees to grant $15,240 to Independence Pass Foundation as approvcd in the County's 2006 budget, whieh was approved by the Board of County Commissioners on December 21,2005. The grant is to support the general operating costs of restoring the ecological integrity and natural bcauty of the slopes, embankments and vegetation zones of the Pass, which were damaged by thc creation of Highway 82, and ecological cducation programs for Roaring Fork Valley students b) The total amount of this grant shall not exceed $15,240.00 eash maximum in 2006. The County will pay Ageney the total amount of this grant on or before the last day of March 2006. Payment is contingent upon the County's receipt of satisfactorily semi-annual reports. The return of a completed contract is requircd in order to receive payment. c) The 2005-2006 Partnership agreement ends with this 2006 grant payment. Grantee will be eligible to re-apply for future funding (either Partnership or annual support) in August 2006. Funding for future years is subject to budget appropriation, compliance with contractual ohligations, and Board of County Commissioners approval eaeb year. 4. General Provisions a) The Parties to this Grant intend that the relationship between them contemplated by the Grant is that of independent agency. No agent, employee, or servant of Agency shall be deemed to be an employee, agent, or servant of County. ^gency will be solely and entirely responsible for its acts and the act of its agents, employees, servants and subcontraetors during the performance of the Grant. b) Payment pursuant to this Grant, if in County, State, or federal funds, whether in whole or in part, is subject to and contingent upon the continuing availability and appropriation of County funds for the purpose thereof. c) This grant constitutes the full and eomplete agreement of the parties and supersedes or incorporates any prior written and oral agreements of the parties. In addition, agcncy understands that no County official or employee, other than the Board ofTounty Commissioners acting as a body at a Board meeting, has authority to enter into a grant or to modi fy the terms of this grant on behalf of the County. Any such grant or modification to this grant must be in writing and be executed by the parties hereto. 5. Default/Cancellation. If Agency shall default in the performance of Agency's Obligations pursuant to the tem1S of this Agreement, and/or fails to provide an aecounting for use or appropriation of monies granted in the manner in whieh such accounting was represented to the County, Agency shall have the right to cure said default after written notice by the County of the default to Agency. If Agency fails to cure sueh default within sixty (60) days after written notice is given from the County to Ageney specifying the nature of sueb default (or if such default cannot be cured within the aforesaid period of time, if the Agency shall fail to promptly commence to cure the same and to thereafter diligently proceed with such eurc), County shall reserve the right to caneel this Agreement and Illake a demand for the retUl11 of all monies that County detern1ines, at its sole diseretion, were not appropriated in aceordance with this Agreement. Entire Agreement.
