PARTNERSHIP GRANT A WARD
RESPONSE: HELP FOR BATTERED WOMEN, 2006
This Grant, is made as of the date last below signed between Pitkin County herein referred to as
"County", and RESPONSE: Help for Battered Women, hereafter referred to as "Agency".
Whereas, RESPONSE: Help for Battered Women, a non-profit agency, providing education,
prevention, and serviees relating to domestic violence:
1. Tern1 of Ai.;reement. The tel111 of this Agreement is from January 1,2006 to
December 31, 2006.
2. Agenev's Oblii.;ations. Agency shall:
a) Strictly adhere to all applieable federal, state, and local laws or regulations (including
County Procurement Code) that have been or may hereafter be established.
b) Hold and maintain for the tern1 hereof the neeessary licensc(s) as specified under State
law, whieh permits the performance of the service(s) to be provided herein.
c) Shall maintain a sliding fee seale sehedule for its services in order to accommodate low-
income individuals.
d) Subcontracts utilized by the Agency shall be subject to the requirements of the Grant as
listed here, and the Agency is responsible lor the performance of any subcontractor.
c) Abide by all applicable provisions ofthe Title VI and VII orthe Federal Civil Rights
Act of 1 %4, Section 504 of the Rehabilitation Act of 1973, and Title XX orthe Social
Security Act of 1975 as revised.
f) Maintain written requirements for safeguarding client information and comply with the
same.
g) Maintain service program records, fiseal records, doeumentation and other records
relevant to this Grant the duration of the grant plus six years. The above shall be subject
at all reasonable times to inspeetions, review or audit by Federal, State or County
personnel, and other persons authOlized in writing by the County.
h) Provide the services at the location as shown as the address of the Agency or wherever
is appropriate for that serviec within Pitkin County.
i) Provide the serviee(s) described herein at a eost not greater than charged to other
persons.
j) Provide semi-annual Performanee Measure reports and Financial Reports. These
reports will include the number ofunduplieated elients who live and/or work in Pitkin
County served by your programs. The first report is due August 15,2006 for the first six
months of the grant year. The second report will be due January 31,2007 for the entire
period of the grant year. The reports will include your annual goals and your actual
results year-to-date, as well as an explanation of any variances observed and the steps
YOLl are taking to address those varianees.

3. Pitkin County's Obligations. County shall:
a) County agrees to grant $9,885 to RESPONSE: Help for Battered Women as approved
in the County's 2006 budget, which was approved by the Board of County
Commissioners on December 21,2005. The grant is to support the general
operating costs of providing services related to domestic violence and rape crisis
including subsidizing volunteer training, workshops, and provision of safe houses.
b) The total amount of this Contract shall not exeeed S9,885 cash maximum in 2006. The
County will pay Agency the total amount of this eontraet on or before the last day of
March 2006. Payment is contingent upon the County's receipt of satisfactorily semi-
annual reports. The return of a completed contract is required in order to receive
payment.
c) The 2004-2006 Partnership agreement ends with this 2006 grant payment. Grantee will
be eligible to re-apply for future funding (either Partnership or annual support) in
August 2006. Funding for future years is subject to budget appropriation, compliance
with eontraetual obligations, and Board of County Commissioners approval each year.
4. General Provisions
a) The Parties to this Grant intend that the relationship between them contemplated by the
Grant is that of independent ageney. No agent, employee, or servant Agency will be
solely and entirely responsible for its acts and the act of its' agents, employees, servants
and subcontractors during the performance of the Grant.
b) Payment pursuant to this Grant, ifin County, State, or Federal funds, whether in whole
or in part, is subject to and contingent upon the eontinuing availability and appropriation
of County funds for the purpose thereof.
e) This grant constitutes the full and complete agreement of the parties and supersedes or
incorporates any prior written and oral agreemcnts of the parties. In addition, agency
understands that no County official or employee, other than the Board of County
Commissioners acting as a body at a Board meeting, has authority to enter into a grant
or to modify the terms of this grant on behalf of the County. Any such grant or
modification to this grant must be in writing and be executed by the parties hereto.
5. Default/Cancellation. If Agency shall default in the performance of Agency's Obligations
pursuant to the temlS of this Agreement, and/or fails to provide an accounting for use or
appropriation of monies granted in the manner in which such aceounting was representcd
to the County, Ageney shall have the right to cure said default after written notice by the
County of the default to Ageney. If Agency fails to cure such default within sixty (60)
days after written notice is given from the County to Agency specifying the nature of such
default (or ifsuch default cannot be cured within the aforesaid period of time, if the
Agency shall fail to promptly commence to cure the same and to thereaiier diligently
proceed with sueh curc), County shall reserve the right to eancel this Agreement and
make a demand for the retum of all monies that County determines, at its sole discretion,

were not appropriated in aeeordance with this Agreement. Written notice of default and
cancellation shall be made to Agency by first class mail, postage prepaid and by eertified
mail, return receipt requested to the following address:

In the event this Agreement beeomes subject to Default/Cancellation, the County, at its
sole discretion, may detern1ine that Ageney is ineligible to apply for future awards from
Pitkin County.
6. Entire Agreement. This Agreement constitutes the fllll and eomplete Agreement of the
parties hereto and shall not be modified except by a written agreement signed by the
parties.
