PARTNERSHIP GRANT AWARD
V ALLEY PARTNERSHIP FOR DRUG PREVENTION, 2006
This Grant is made as of the date last below signed between Pitkin County herein referred to as
"County", and Valley Partnership for Dlllg Prevention hereafter referred to as "Agency". Whereas,
Valley Partnership for Dlllg Prevention, a non-profit ageney, is promoting healthy lifestyles through
the prevention and reduetion of substance abuse in the R031ing Fork Valley, and whereas Pitkin
County wishes to award a grant for provision orthese services:
1. Tenn of Agreement. The term of this Agreement is from January 1,2006 to
Deeember 3 I, 2006.
2. Agency's Obligations. Agency shall:
a) Strietly adhere to all applicable federal, state, and local laws or regulations (including
County Procurement Code) that have been or may hereafter be established.
b) Hold and maintain for the term hereofthe necessary license(s) as specified under State
law, which pernlits the performanee of the serviee(s) to be provided herein.
c) Shall maintain a sliding fee scale schedule for its serviees in order to accommodate low-
income individuals.
d) Subcontracts utilized by the Agency shall be subject to the requirements of the Grant as
listed here, and the Agency is responsible for the performance of any subcontractor.
e) Abide by all applicable provisions of the Title VI and VIT of the Federal Civil Rights
Act of 1964, Section 504 of the Rehabilitation Act of 1973, and Title XX of the Social
Security Act of 1975 as revised.
f) Maintain written requirements for safeguarding client infornlation and comply with the
same.
g) Maintain serviee program records, fiscal records, doeumentation and other records
relevant to this Grant for the duration of the grant plus six years. The above shall be
subject at all reasonable times to inspeetions, review or audit by Federal, State or
County personnel, and other persons authorized in writing by the County.
h) Provide the services at the loeation as shown as the address of the Ageney or whercver
is appropriate for that service within Pitkin County.
i) Provide the service(s) described herein at a cost not greater than eharged to other
persons.
j) Provide semi-annual Perforn1ance Measure reports and Financial Reports. These
reports will include the number of un duplicated clients who live and/or work in Pitkin
County served by your programs. The first report is due August 15, 2006 for the first six
months of the i,,'yant year. The second report will be due January 31, 2007 for the enti re
period of the grant year. The reports will include your annual goals and your actual
results year-to-date, as well as an explanation of any variances observed and the steps
you are taking to address those variances.

3. Pitkin County's Obligations. Pitkin County shall:
a) County agrees to grant $12,368 to Valley Partnership for Dmg Prevention as
approved in the County's 2006 budget, which was approved by the Board of County
Commissioners on Deeember 21,2005. The grant is to support the general
operations of Valley Partnership for Drug Prevention to provide educational
services relating to substance abuse awareness and welllless.
b) The total amount of this Grant shall not exceed $12,368 cash maximum in 2006. The
County will pay Agency the total amount of this grant on or before the last day of
March 2006. Payment is eontingent upon the County's receipt of satisfactorily semi-
annual reports. The return of a completed eontraet is required in order to receive
payment.
e) The 2004-2006 Partnership agreement ends with this 2006 grant payment. Grantee
will be eligible to re-apply for future funding (either Pm1nership or annual support) in
August 2006. Funding for future years is subject to budget appropriation, compliance
with contractual obligations, and Board of County Commissioners approval each year.
4. General Provisions
a) The Par1ies to this Grant intend that the relationship between them contemplated by the
Grant is that of independent ageney. No agent, employee, or servant Agency will be
solely and entirely responsible for its acts and thc act of its' agents, employees, servants
arld subeontractors during the performance of the Grant.
b) Payment pursuant to this Grant, iCin County, State, or Federal funds, whether in whole
or in part, is subject to and contingent upon the continuing availability and appropriation
of County funds for the purpose thereof.
c) This grant constitutes the full and eomplete agreement of the pm1ies and supersedes or
incorporates any prior wlitten and oral agreements of the parties. In addition, agency
understands that no County official or employee, other than the Board of County
Commissioners acting as a body at a Board meeting, has authority to enter into a !:,'Tant
or to modify the terms of this grant on behalfoCthe County. Any such grant or
modifieation to this grant must be in writing and be exeeuted by the parties hereto.
5. Default/Cancellation. If Ageney shall default in the perforn1ance of Ageney's Obligations
pursuant to thc terms of this Agreement, and/or fails to provide an accounting for use or
appropriation of monies granted in the manner in which such aeeounting was represented
to the County, Agency shall have the right to eure said default after written notiee by the
County of the default to Agency. If Agency fails to eure sueh default within sixty (60)
days after written notice is given from the County to Agency specifying the nature of such
default (or if such default cannot be cured within the aforesaid period of time, if the
Agency shall fail to promptly eommence to cure the same and to thereaftcr diligently
proceed with such cure), County shall reserve the right to cancel this Agreement and

make a demand for the return of all monies that County determines, at its sole diseretion,
were not appropriated in aceordanec with this Agreement. Written notiee of default and
caneellation shall be made to Agency by first class mail, postage prepaid and by certified
mail, return receipt requested to the following address:

In the event this Agreement becomes subject to Default/Cancellation, the County, at its
sole diseretion, may determine that Agency is ineligible to apply for future awards from
Pitkin County.
6. Entire Agreement. This Agreement constitutes the full and complete Agreement of the
parties hereto and shall not be modified except by a written agreement signed by the
parties.
