Note: Clerk's Office will keep original documents in compliance with Colorado State Archives retain age schedule. tJ63-~} PITKIN COUNTY HEAL TH AND HUMAN SERVICES PARTNERSHIP GRANT AWARD YOLTHZONE ASPEN AND BASALT OFFICES, 2006 This Grant is made as of the date last below signed between Pitkin County herein refelTed to as "County", and YouthZone Aspen and Basalt Offiees, hereafter referred to as "Agency". Whereas, Y outhZone Aspen and Basalt Offices, a private non-profit ageney, is providing services to troubled youth including a diversion program with the District Attorney's office and whereas Pitkin County wishes to contract for provision of these serviees for its resident youth. 1. Term of A\.l:reement. The term of this Agreement is from January 1,2006 to December 3 I , 2006. 2. A\.l:encv's Obligations. Agency shall: a) Strictly adhere to all applicable federal, state, and local laws or regulations (including County Procurement Code) that have been or may hereafter be established. b) Hold and maintain for the term hereof the necessary license(s) as specified under State law, which pennits the performance orthe service(s) to be provided herein. c) Shall maintain a sliding fee scale schedule for its serviees in order to aceommodate low- income individuals. d) Subcontracts uti lized by the Agency shall be subject to the requirements of the Grant as listed here, and the Agency is responsible for the performanee of any subcontractor. e) Abide by all applicable provisions of the Title VI and VTI of the Federal Civil Rights Act of 1964, Seetion 504 of the Rehabilitation Aet of 1973, and Title XX of the Social Security Act of 1975 as revised. f) Maintain written requirements for safeguarding client infonnation and comply with the same. g) Maintain service program records, fiscal records, doeumentation and other records relevant to this Grant for the duration ofthe grant plus six years. The above shall be subject at all reasonable times to inspeetions, review or audit by Federal, State or County personnel, and other persons authorized in writing by the County. h) Provide the serviees at the location as shown as the address of the Agency or wherevcr is appropriate for that service within Pitkin County. i) Provide the service(s) described herein at a cost not greater than eharged to othcr persons. j) Provide semi-annual Perfol111anee Measure reports and Finaneial Reports. These reports will inelude the number of unduplicated clients who live and/or work in Pitkin County served by your programs. The first report is due August 15, 2006 for the first six months of the grant year. The second report will be due January 31,2007 for the entire period of the grant year. The reports will include your annual goals and your actual results year-to-date, as well as an explanation of any variances observed and the steps you are taking to address those variances. - 1 - 3. Pitkin County's Oblii.;ations. Pitkin County shall: a) County agrees to grant $30,000 to Y outhZone, Aspen and Basalt as approved in the County's 2006 budget, whieh was approved by the Board of County Commissioners on Deeember 21,2005. The grant is to support the general operations of Y outhZone Aspen and Basalt, which provides counseling, case management and diversion services, including placement in counseling, community service and/or restitution as established by the District Attorney's Office. b) The total amount of this Grant shall not exceed $30,000 cash maximum in 2006. The County will pay the Agency in semi-annual payments on or before the last day of March and September 2006. Semi-annual payments are contingent upon the County's reeeipt of satisfactorily semi-annual reports as described in Point 2 above. The return of a eompleted eontract is required in order to reeeive paymcnt. c) The 2004-2006 Partnership agreement ends with this 2006 grant payment. Grantee will be eligible to re-apply for future funding (either Partnership or annual support) in August 2006. Funding for future years is suhject to hudget appropriation, compliance with eontractual obligations, and Board of County Commissioners approval each year. 4. General Provisions a) The Parties to this Grant intend that the relationship between them contcmplated by the Grant is that of independent agency. No agent, employee, or servant Ageney will be solely and entirely rcsponsible for its aets and the act of its' agents, employees, servants and subcontractors dUling the perfonnance of the Grant. b) Payment pursuant to this Grant, ifin County, State, or Federal funds, whether in whole or in part, is subject to and contingent upon the continuing availability and appropriation of County funds for the purpose thercof e) This ~'fant eonstitutes the full and complete agreement of the parties and supersedes or incorporates any prior written and oral agreements of the parties. In addition, agency understands that no County official or employee, other than the Board of County Commissioners aeting as a body at a Board meeting, has auth01ity to enter into a grant or to modify the tenns ofthis grant on behalfofthe County. Any such grant or modification to this grant must he in writing and be exeeuted by the partics hereto. 5. Default/Cancellation. If Agency shall default in the performanee of Agency's Obligations pursuant to the terms of this Agreement, and/or fails to provide an aecounting for use or appropriation of monies granted in the manner in whieh such accounting was represented to the County, Agency shall have the right to cure said default after written notice by the County of the default to Agency. If Agency fails to cure such default within sixty (60) days after written notiee is given from the County to Agency specifying the nature of sueh default (or ifsuch default eannot be cured within the aforesaid period of time, if the ^gency shall fail to promptly commence to cure the same and to thereafter diligently proceed with such cure), County shall reserve the right to caned this Agreement and - 2 - make a demand for the return of all monies that County detennines, at its sole discretion, were not appropriated in aceordance with this Agreement. In the event this Agreement becomes subject to DetilUlt/Caneellation, thc County, at its sole diseretion, may determine that Agency is ineligible to apply for future awards from Pitkin County. 6. Entire Agreement. This Agreement constitutes the full and complete Agreement of the parties hereto and shall not be modified exeept by a written agreement signed by the parties.
