CONTRACT FOR PROVISION OF SERVICES

THIS CONTRACT is made and entered by and between the Pitkin County Board
of County Commissioners ("County") and Golder Associates, Inc. 44 Union Blvd, Suite
300, Lakewood, CO 80228 (hereinafter "Contractor").
1. Term. The term of this contract is from January 1. 2006 to December 31. 2009.
At the expiration of the initial term, the contract may be extended for an additional term
of up to five (5) years by the express written consent of both parties.
2. Contractor's Obligations. At the end of each calendar year in the contract term,
the contractor shall provide a scope of services and cost estimate to be approved and
accepted by the Solid Waste Manager. The scope will include those items that the Solid
Waste Manager has requested for upcoming year. Work will progress each year
according to the scope developed by Golder at the Solid Waste Managers request. At no
time shall costs for services exceed the estimate in a given project task or calendar year
without consent ofthe Solid Waste Manager. The agreed upon scope and estimate for
calendar year 2006 is attached as exhibit A ofthese contract documents.
3. Compensation and Expenses, Invoicing, Payment and Offset. The County shall
compensate Contractor for its services in accordance with the Project Budget and
Schedule set out in Paragraph 2. It is expressly understood and agreed that in no event
will the total compensation and reimbursement to be paid hereunder exceed the accepted
estimate provided by Golder for project tasks or a calendar year for all services rendered.
By contract or amendment, the County and Contractor may reallocate the budget among
project tasks if the total budget amount remains unchanged. Contractor shall invoice for
the project monthly based on hours worked, with payment expected within thirty (30)
days of invoice, but any payment by the County may be offset by any amount the
Contractor owes the County for any reason.
4. County'S Exclusive Ownership of Work Product. Drawings, specifications,
guidelines and other documents prepared by Contractor in connection with this contract
shall be the property of the County. However, Contractor shall have the right to utilize
such documents in the course of its marketing, professional presentations, and for other

business purposes. Contractor assigns to County the copyrights to all work prepared,
developed, or created pursuant to this contract, including the right to: 1) reproduce the
work; 2) prepare derivative works; 3) distribute copies to the public; 4) perform the
works publicly; and 5) to display the work publicly. Contractor shall have right to use
materials produced in the course ofthis contract for marketing purposes and professional
presentations, articles, speeches and other business purposes.
5. Pitkin County'S Obligations. Pitkin County shall administer this contract through
a County Representative. Chris Hoofnagle will manage the project as the County's
Representative. In the event that Chris Hoofnagle is not available, Brian Pettet shall
assume the County Representative's duties. The services provided and products
delivered by the Contractor under this contract will be subject to review by the County's
Representatives, or a designee, for compliance with Contractor's obligations prior to final
payment.
6. Termination Prior to Expiration of Contract Term. The County has the right to
terminate this contract, with or without cause, by giving written notice to the Contractor
of such termination and specifying the effective date thereof. Such notice shall be given
at least ten (10) days before the effective date of such termination. In such event all
finished or unfinished documents, data, studies and reports prepared by the Contractor
pursuant to this contract shall become the County's property. Contractor shall be entitled
to receive compensation in accordance with the contract for any satisfactory work
completed pursuant to the terms ofthis contract prior to the date oftermination. Not
withstanding the above, Contractor shall not be relieved ofliability to the County for
damages sustained by the County by virtue of any breach of the contract by the
Contractor.
7. Independent Contractor Status.
A. The parties to this contract intend that the relationship between them
contemplated by the contract is that of independent Contractor. Contractor, and any
agent, employee, or servant of Contractor shall not be deemed to be an employee, agent,
or servant of Pitkin County.
B. Contractor is not required to offer his services exclusively to Pitkin
County under this contract. Contractor may choose to work for other individuals or
entities during the term ofthis contract, provided that the basic services and deliverable
products required under this contract are submitted in the manner and on the schedule
defined under this contract.
C. Contractor will conduct all work in a manner that all work produced will
conform to all applicable industry standard of care, skill and diligence in the performance
of Contractor's obligations under this contract.
D. Contractor shall not attempt to oversee or supervise the work or actions of
any Pitkin County employee, servant or agent in the course of completing work under
this contract.

E. Contractor is not entitled to any Workers' Compensation benefits through
Pitkin County and is responsible for payment of any federal, state, FICA and other
income taxes.
8 Assil!Ilability. This contract is not assignable by either party. Any use of
subcontractors by the Contractor for performance of this contract must be accepted in
writing by the County.
9. Binding Arbitration. Any disputes arising out ofthis contract shall be subject to
binding arbitration. The parties agree that any disputes concerning the terms and
conditions of this contract shall be submitted and finally settled by arbitration.
Arbitration shall be conducted pursuant to the rules of the American Arbitration
Association and shall be presided over by the Pitkin County Hearing Officer appointed to
arbitrate Pitkin County contract disputes. Costs of the arbitration shall be awarded to the
substantially prevailing party.
10. Severability. In the event that any provision ofthis contract shall be held to be
invalid or unenforceable, the remaining provisions of this contract shall remain valid and
binding upon the parties hereto
11. Integration and Modification.
A. This contract represents the entire and integrated contract between the
County and the Contractor and supersedes all prior negotiations, representations, or contract,
either written or oral. This contract may be amended only by written contract signed by
both the County and the Contractor.
B. The County may, from time to time, request changes in the scope of
services of the Contractor to be performed hereunder. Such changes, including the
increase or decrease in the amount ofthe Contractor's compensation, which are mutually
agreed upon between the County and the Contractor, shall be in writing and upon
execution shall become part of this contract.
12. Indemnity.
The Contractor (including, by definition here and hereinafter, its officials, employees, agents
and representatives, subcontractors and suppliers), shall and hereby does release, discharge,
indemnify and hold harmless the County of Pitkin and its officials, employees, agents and
representatives from and against liability for any claim, demand, loss, damages, penalty,
judgment, expenses, costs (including costs of investigation and defense), fees (including
reasonable attorney and expert witness fees) or compensation in any form or kind
whatsoever for any bodily injury, death, personal injury or property damage arising out of or
in connection with any negligent act, intentional act, error or omission by the Contractor,
and for any consequential liability alleged to accrue against the County on account of the
Contractor's acts, errors or omissions; provided, however, that such indemnity shall not be
construed as an indemnity for bodily injury or property damage arising from the negligence
of the County or its employees.

The Contractor further shall investigate process, respond to, adjust, provide defense for and
defend, payor settle all claims, demands, or lawsuits related to any negligent act, error or
omissions by the contractor at its sole expense and shall bear all other costs and expenses
related thereto, even if the claim, demand or lawsuit is groundless, false or fraudulent.
County agrees to limit the liability of the Contractor, its employees, officers, directors,
agents, consultants, and subcontractors to Contractor, its employees, officers, directors,
agents, consultants, and subcontractors, whether in contract or tort, which arises directly
or indirectly from the Contractor's acts, errors, or omissions, such that the total aggregate
liability of Contractor to all those named shall not exceed the limits and conditions of the
applicable insurance as specified in the agreement, $1,000,000.00 per claim and
$3,000,000.00 aggregated for professional errors and omissions. Should the required
insurance company deny coverage for any claim, Contractor will remain liable for claims
to the extent limited by this contract.
13. Insurance.
A. In whole or in part, the Contractor shall secure and maintain for the term
of its contractual relationship with the County such insurance policies, from companies
licensed in the State of Colorado, as will protect itself, the County and others as specified
from claims for bodily injuries, death, personal injury or property damage, which may
arise out of or result from the Contractor's acts, errors or omissions. The following insur-
ance coverage, at or above the limits indicated and including such endorsements as are
indicated by an "X", are required:

B. Proof of Insurance:
1. To provide evidence ofthe required insurance coverage, copies of
Certificates of Insurance in a form acceptable to the County shall be filed with the
County through the representative identified in Paragraph 5, no later than ten (10)
calendar days prior to commencement of operations affecting the County. Failure
to file or maintain acceptable Certificates of Insurance with the County is agreed
to be a material breach of any contract. These Certificates of Insurance shall
contain a provision that coverage afforded under the policies will not be canceled
or materially altered unless at least thirty (30) calendar days prior written notice
by certified mail, return receipt requested (effective upon proper mailing), has
been sent to the County (through the County's Risk Department). (For purposes
of this provision, "materially altered" shall mean a change affecting the
coverage's required herein, including a change to policy limits as set out in the
then-current policy declarations page).
Simultaneously with the Certificates of Insurance, the Contractor shall file
with the County's Risk Department (and promptly update, as necessary) a certified
statement as to claims pending against the required coverage, reserves established on
account of such claims, defense costs expended and amounts remaining on policy
limits.
2. In addition, these Certificates of Insurance shall contain the
following clauses:
a. The clause "other insurance provisions," in a policy in which
the County of Pitkin holds a Certificate, shall not apply to the County of
Pitkin.
b. The insurance companies issuing the policy or policies
hereunder shall have no recourse against the County of Pitkin for payment of
any premiums or for assessments under any form of policy.
c. Any and all deductibles in the above-described insurance
policies shall be assumed by and be for the amount of, and at the sole
expense of the Contractor.
d. Location of operations shall be: "all operations and locations
at which work for the referenced Project is being done."

3. Certificates of Insurance for all renewal policies shall be delivered to
the County's Representative at least fifteen (15) days prior to a policy's expiration
date except for any policy expiring on the expiration date of this contract or there-
after.
4. The County reserves the right to request and receive a copy of any
policy and any policy endorsement at any time during the term of this contract.
14. Exemptions and Preferences. All purchases of construction or building or any
other materials for this contract shall not include Federal Excise Taxes or Colorado State
or local sales or use taxes. Pitkin County is exempt from such taxes under registration
numbers 98-02624 and 84-78000-5K.
15. Records. The Contractor shall maintain comprehensive, complete and accurate
books, records, and documents concerning its performance relating to this contract for a
period ofthree (3) years after final payment under the contract and the County shall have
the right within the three (3) year period to inspect and audit these books, records and
documents, upon demand, in a reasonable manner and at reasonable times, for the
purpose of determining, by accepted accounting and auditing standards, compliance with
all provisions of the contract and applicable law.
16. Contract Made in Colorado. The parties agree that this contract was made in
accordance with the laws of the State of Colorado and shall be so construed. Venue is
agreed to be exclusively in the courts of Pitkin County, Colorado.
17. Attorney's Fees. In the event that legal action is necessary to enforce any of the
provisions of this contract beyond the arbitration described in Paragraph 9, the substantially
prevailing party shall be entitled to its costs and reasonable attorney's fees.
18. Governmental Immunity. Contractor agrees and understands that Pitkin County is
relying on and does not waive, by any provision ofthis contract, the monetary limitations
or terms (presently $150,000.00 per person and $600,000 per occurrence) or any other
rights, immunities, and protections provided by the Colorado Governmental Immunity
Act, 24-10-101, et. Seq., C.R.S., as from time to time amended, or otherwise available to
Pitkin County or any of its officers, agents or employees. Further, nothing in this contract
shall be construed or interpreted to require or provide for indemnification of the Contractor
by the County for any injury to any person or any property damage whatsoever which is
caused by the negligence or other misconduct ofthe County or its agent or employees.
19. Current Vear Obligations. The parties acknowledge and agree that any payments
provided for hereunder or requirements for future appropriations shall constitute only
currently budgeted expenditures of Pitkin County. Pitkin County's obligations under this
contract are subject to Pitkin County's annual right to budget and appropriate the sums
necessary to provide the services set forth herein. No provisions of the contract shall
constitute a mandatory charge or requirement in any ensuing fiscal year beyond the then
current fiscal year of Pitkin County. No provision of the contract shall be construed or

interpreted as creating a multiple-fiscal year direct or indirect debt or other financial
obligation of Pitkin County within the meaning of any constitutional or statutory debt
limitation. This contract shall not directly or indirectly obligate Pitkin County to make
any payments beyond those appropriated for Pitkin County's then current fiscal year. No
provisions of this contract shall be construed to pledge or create a lien on any class or
source of Pitkin County's moneys, nor shall any provision ofthis contract restrict the
future issuance of Pitkin County's bonds or any obligations payable from any class or
source of Pitkin County's money.
20. Standard of Care Services performed by Contractor will be conducted in a
manner consistent with that level of care and skill ordinarily exercised by other members
of the engineering and science professions currently practicing under similar conditions
subject to the time limits and financial, physical or any other constraints applicable to the
Services. No warranty, express or implied is made.
21. Notice. Any written notice required by this contract shall be deemed delivered
through any of the following: (1) hand delivery to the person at the address below; (2)
delivery by facsimile with confirmation of receipt to the fax number below; or (3) within
three (3) days of being sent certified first class mail, postage prepaid, return receipt
requested addressed as follows:

RE: SCOPE OF WORK FOR CONTINUING HYDROGEOLOGIC AND
ENGINEERING SERVICES DURING 2006 FOR THE PITKIN COUNTY SOLID
WASTE CENTER
Dear Chris:
At your request, Golder is providing a scope and cost estimate for hydrogeologic and
engineering consulting services for 2006. Please note that Golder's existing general
services agreement with Pitkin County (the County) is only valid through December 31,
2005. Consequently, Golder understands that the County will modify the agreement term
and issue a revised agreement for Golder to review and sign. Golder will continue to use
the current Project Number, 013-2298, for the 2006 work.
1.0 HYDROGEOLOGIC SERVICES SCOPE OF WORK
The following tasks are envisioned for hydrogeologic services. Costs associated with each
task are presented in Table 1A and are based on 2006 rates.
Task 1.1 - Landfill Gas Monitoring and Compliance Support
Anticipated services for this task include continued assistance with landfill gas (LFG)
monitoring activities. The specific task activities are as follows.
. Golder will address comments from the Colorado Department of Public
Health and Environment (CDPHE) regarding any landfill gas (LFG)
measurements, submit 2006 gas monitoring data to CDPHE, and continue to
assist the County with equipment needs/problems which may occur in 2006.
. If required by CDPHE, Golder will assist the County with any LFG sampling
and analysis, data evaluation, and reporting. Because these activities may
not be necessary and are not anticipated, they are costed separately in Table
IA and include costs for laboratory analysis similar to that performed in
2004.
The level of effort for addressing CDPHE comments and assisting the County with
equipment needs/problems is difficult to estimate accurately at this time. Costs for installing
additional gas probes, should this be required by CDPHE, are not included. It is assumed
that any reporting associated with this task will be included in the annual evaluation of the
effectiveness of corrective measures report described in Task 1.4, below. The estimates for

this task will be adjusted, if necessary, with the concurrence of the County should additional
work be required as the year progresses.
Task 1.2 - Database Maintenance and Environmental Statistics
This is an ongoing task and will include the following activities in 2006:
. validation of the laboratory reports;
. entry of the analytical results in the water quality database;
. management of the water quality database;
· furnishing copies of the laboratory reports and database to CDPHE and the
County;
. performing comparative statistical analysis; and
· preparing semi-annual reports summarizing the results of the statistical
analysis.
A draft copy of each report will be submitted to the County for review. Once the comments
are received, Golder will finalize the report and issue one copy directly to CDPHE and two
copies to the County. Because the fourth quarter laboratory reports are generally not
received by Golder until late in the year, work on the second semi-annual report will likely
carry over into 2007.
Task 1.3 - Groundwater Monitoring Support
Anticipated services for this task include continued assistance with groundwater sampling
activities. These consist of:
. sampling schedules and bottle orders;
. resolving laboratory and analytical issues;
. assisting the County with equipment needs/problems;
. performing a monitoring audit (optional); and
. assisting the County with environmental sampling training and the
preparation of a training manual (optional).
The level of effort for 2006 is difficult to estimate accurately at this time but is generally
based on time actually spent for this task in 2005. The monitoring audit and environmental
sampling training and training manual are regarded as optional items; these activities are
casted separately in Table IA. Cost estimates for Task 1.3 will be adjusted, if necessary,
with the concurrence of the County should additional work be required as the year
progresses.

Task 1.4 - Miscellaneous Consulting
The activities presently anticipated for this task in 2006 include:
. preparation of the annual evaluation of the effectiveness of corrective
measures report (to be completed in early 2007);
. meetings with County personnel to discuss 2006 activities; and
. other hydrogeological support work that may be requested by the County in
2006 but has not yet been defined (optional).
The 2005 annual evaluation of the effectiveness of corrective measures report will be
completed in early 2006; the budget for this report was presented in the 2005 cost estimate.
Costs for the 2006 annual evaluation of the effectiveness of correction measures report, to
be completed in early 2007, are presented in Table lA.
Presently, the County is scheduled to meet with Golder, at Golder's office, on January 5,
2006 to review current and future projects at the Solid Waste Center. Estimates costs for
these meetings are presented as a separate item in Task 1.4 of Table 1A.
Since it is uncertain at this time whether the County will require any work activities other
than the 2006 annual report and January meetings, the level of effort for the optional
hydrogeologic support activities is difficult to estimate accurately at this time. Thus, these
activities are costed separately in Table 1A and this budget will only be used if needed. The
costs associates with this task can be adjusted, if necessary, with the concurrence of the
County should additional work outside the original scope be required as the year progresses.
2.0 Engineering Services Scope of Work
The following tasks are envisioned for engineering services. Costs associated with each task
are presented in Table 1B and are based on 2006 rates. Golder's 2006 Rate Schedule for
Soils Laboratory Testing and Equipment are included in Attachment 1 for reference,
should the County wish to submit potential final cover soil or other samples for testing in
2006. Thus, no soil testing costs are included in the 2006 proposal.
Task 2.1 - Update Closure/Post-closure Cost Estimates
This task will consist of:
. Updating the landfill closure and post-closure cost estimates based on
applicable inflation factors for annual submittal to CDPHE; and
. Re-evaluating unit costs for major line items in the cost estimates to
more accurately reflect actual rates from local contractors.
Task 2.2 - North Perimeter Berm Raise 1 Construction
Consultation Services
The County envisions that the first "raise" (5-foot high lift) of the north perimeter berm
will be constructed in 2006. This work will be conducted in accordance with the
following documents:

. "SECTION 02210 GENERAL STRUCTURAL FILL AND COMPACTION, "
Golder, November 4,2005.
As allowed under the plans approved by CDPHE, it is currently assumed that the landfill
contractor will construct the first lift ofthe berm and that the County will observe,
inspect, test (non-acid generating demonstration), and document that the requirements of
drawings and specifications have been met. Golder will assemble the results of the
County oversight into a Construction Quality Assurance Report that will include a
certification to be signed and stamped by the County. Services to be provided by Golder
and our assumptions associated with this work are listed below:
. The County and/or Contractor may have questions regarding the drawings
and specifications during project implementation. Golder has included 10
hours in the project budget to respond to questions.
· Following completion of the first lift of the north perimeter berm, Golder will
prepare a fmal construction report. The report will include a brief summary
of the construction activity, an overview of the field quality assurance
provided by the County, a certification statement for signature by the Pitkin
County Engineer, and an appendix with the Record Drawings prepared by
the licensed surveyor retained by the County. A draft report will be prepared
for review by the County. Following the review and incorporation of the
County's comments, we will prepare the final report and transmit 5 copies to
the County. The County Engineer will be the CertifYing Engineer and will
sign and stamp the certification statement. The County will place a copy of
the signed report in the landfill's operating record, and transmit a copy to
CDPHE. Golder has assumed that CDPHE will not require any response to
comments or revisions to the report.
Task 2.3 - Redesign of Household Hazardous Waste (HHW)
Storage Facility
In 2004, the County relocated the impound lot to a location near the shooting range,
installed a double-wide office trailer to replace the previous office trailer, regraded the

parking area, and constructed a portion of a drainage diversion to alleviate run-on
problems in the entrance facility area. The remaining portion of the re-designed entrance
facility was not constructed in 2004. In 2005, the County initiated additional preliminary
work on the reconfiguration of the entrance facility. On May 20, 2005 Golder provided
the County with a draft drawing entitled "Figure 1 Redesign of Facilities Area ". The
scope of work for this task involves finalizing Figure 1. To facilitate finalizing the
figure, Golder will meet with the County to obtain onsite input related to issues,
concerns, and possible changes to the configuration of the entrance area. Following the
site visit, a revised draft drawing will be submitted to the County for final review. Five
prints of the final version of Figure 1 will be transmitted to the County upon completion.
Task 2.4 - CQA Services for the Stormwater Pond Liner
The County will construct the expanded storm water pond in the summer of 2006. Golder
with provide construction quality assurance (CQA) services as described in the
"Construction Quality Assurance Planfor Stormwater Pond Liner Construction at Pitkin
County Landfill," Golder, November, 2005. The CQA services include an onsite CQA
Monitor to provide observation and documentation ofliner installation and the
preparation of a CQA Certification Report signed and stamped by a Colorado-registered
Professional Engineer. Golder will submit one copy of the report to CDPHE and three
copies to the County for placement into the operating record. In conjunction with this
work, Golder had assumed:
. The CQA Monitor will be onsite two days;
. The liner installation contractor will provide Golder the documentation listed
in Section 2.6 of the CQAP and an electronic copy of the record drawing set;
· The Certifying Engineer will not be required to be onsite during liner
installation; however he/she will coordinate with the CQA Monitor via
telephone; and
. CDPHE will accept the certification report without comment.
Golder has also included scope in this task to revise Drawing 1 Site Map of the
"Stormwater Management Plan Pitkin County Landfill, Pitkin County, Colorado, "
Golder, December 27,2004. Drawing 1 will be revised to incorporate the recent
revisions to storm water management at the site, e.g. channel reconfiguration and
stormwater pond enlargement. Five prints of the drawing will be transmitted to the
County and 1 copy to CDPHE for incorporation into their copy of the plan.
Task 2.5 Conceptual Grading Plans for Relocation of the
Aggregate Recovery Operations
Pitkin County is considering relocation ofthe Aggregate Recovery Operations currently
located in the north central portion of the landfill. To assist the County in selecting a new
location Golder will perform the following.
. Obtain data from the County regarding present operations and any future
plans regarding expansion or contraction of aggregate recovery operations.

· Develop conceptual grading plans for two alternative locations for the
operations on the landfill. The grading plans will be prepared using
topographic mapping by Wertz Digital Mapping, July 6, 200S or more recent
mapping if available. The plans will be drafted at a 1" = ISO' scale.
· Utilize the conceptual grading plans to estimate fill quantities to achieve
cover subgrade elevations.
· Transmit S copies of each grading alternative to the County.
3.0 RATES
We have adjusted the rates to reflect our proposed year 2006 rate schedule. The table
below provides current and proposed labor-billing rates for individuals and for general
professional categories likely to be involved in the project during the coming year. The
rates may be revised after a period of one year to reflect normal adjustments.

4.0 COSTS
Costs for Hydrogeologic and Engineering Services are provided in Tables 1A and 18,
respectively. Further, a communication/reproduction fee ofS percent of Golder labor
charges will be assessed on each invoice. Subcontractor charges, if any, will also include
a 5 percent handling mark-up. These charges are reflected on the attached tables.
Although total annual costs are not to exceed an estimated $SO,OOO per year in
accordance with the attached Agreement (see Attachment 2), current estimates for 2006
services surpass this limit. If all of the anticipated activities specified in the scope of
work are initiated in 2006, Golder will request a written acknowledgment from the

County before exceeding the $50,000 limit. To authorize this scope of work, simply sign
below and return one copy (FAX return is acceptable) for our records.
