PITKIN COUNTY CONSTRUCTION CONTRACT
THIS CONTRACT, made this 25th day of April 2007, by and between the Board
of County Commissioners of Pitkin County, Colorado, (hereinafter called the "County")
and Douglass Roofing Co. (hereinafter called the "Contractor") to perform the following
work: Pitkin County Health and Human Service Building Roof Replacement ("Project").
I. Term of Contract. The term of this contract is from April 30. 2007 to Julv 30.
2007. [At the expiration of the initial term, the contract may be extended for an additional
term of.fui!:!y (30) days by the express written consent of both parties]
II. Scope of Work and Work Schedule.
A. Provide Construction for the Health and Human Services Building Roof
Replacement - EPDM Roofing Systems and Eco Star. Specifications and
Drawings are detailed in the attached:
Exhibit A: Project Manual Dated July 9, 2006
Exhibit B: Drawings Dated July 9, 2006
Exhibit C: Request For Proposal Dated March 19,2007
Contractor will provide a Two Year Warranty on all labor and
workmanship. All materials will be installed according to the
manufacturer's specifications and Contractor will ensure all of
manufacturer's warranties are in place at the conclusion of the project.
Copies ofthe Manufacturers' warranty will be provided to the County.
B. All work performed under this Contract shall be done according to the
following work schedule:
It is the County's intent to complete this project within 90 days from
Notice to Proceed. A finalized construction scheduled will be agreed upon
prior to that Notice. Liquidated damages of $100.00 per calendar day will
be accrued if project is not completed by that deadline.
III. Payment. The County agrees to pay, and the Contractor agrees to accept, in full
payment for the performance of this Contract, the total price of Two Hundred F ortv Four
Thousand Four Hundred Twenty Dollars ($244.420.00) plus unforeseen costs for roof
deck repair @ $2.75 per Square Foot, in accordance with this Contract, subject to in-

crease or decrease in accordance with the provisions of this Contract; but any payment by
the County may be offset by any amount the Contractor owes the County for any reason.
A. Payment Procedures.
I. Contractor shall submit applications for payment every month for
work done to date.
2. Progress payments.
a. County shall make progress payments, within thirty (30)
days of County's approval of Contractor's pay request.
b. If Contractor is satisfactorily performing this Contract,
progress payments shall be in an amount equal to ninety percent (90%) of
the calculated value of any Project work completed, less the aggregate of
payments previously made until fifty percent (50%) of the Project work
required by this Contract has been performed. Thereafter, County shall
pay all remaining progress payments and maintain only existing retainage
if, in the opinion of the Procurement Officer and County, satisfactory
progress is being made on the Project. If, in the opinion of the
Procurement Officer and County, satisfactory progress is not being made
on the Project, or if claims are filed under Section 38-26-107, Colorado
Revised Statutes, as amended, County may retain such additional amounts
as County may deem necessary to assure completion of the Project or to
pay such claims and any Procurement Officer's and attorney's fees
reasonably incurred or to be incurred by County in defending or handling
such claims. The withheld percentage of the Contract Price shall be
retained until the Project is completed satisfactorily and finally accepted
by County in accordance with the provisions of this Contract. Progress
payments shall not constitute final acceptance of the Project.
B. County shall make final payment, including release of retainage, to
Contractor in accordance with this Contract and Section 38-26-107, C.R.S. and Section
24-91-103, C.R.S., as amended.
IV. Contractor's Obligations.
A. Supervision and Superintendence.
1. The Contractor shall supervise and direct the Project competently
and efficiently devoting such attention thereto and applying such skills and
expertise as may be necessary to perform the Project in accordance with this
Contract. The Contractor shall be solely responsible for the means, methods,
techniques, sequences and procedures of construction. The Contractor shall be
responsible to see that the finished Project complies accurately with this Contract.

2. The Contractor shall appoint and identify to the County and
Procurement Officer, a competent on-site superintendent to be kept on the Project
at all times during its progress and who shall not be replaced without written
notice to the County and the Procurement Officer except under extraordinary
circumstances. The superintendent will be the Contractor's representative at the
site and shall have authority to act on behalf of the Contractor. All
communications given to the superintendent shall be as binding as if given to the
Contractor.
B. Subcontractors, Suppliers and Others.
I. The Contractor shall not employ any subcontractor, supplier or
other person or organization (including those acceptable to the County and the
Procurement Officer, whether initially or as a substitute) against whom the
County or the Procurement Officer may have reasonable objection.
2. The identity of subcontractors, suppliers or other persons or
organizations including those who are to furnish the principal items of materials
and equipment must be submitted to the County in advance of any work
performed or materials supplied under this Contract for acceptance by the County
and the Procurement Officer. No acceptance by the County or the Procurement
Officer of any such subcontractor, supplier or other person or organization shall
constitute a waiver of any right of the County or the Procurement Officer to reject
defective Project work.
3. The Contractor shall be fully responsible to the County and the
Procurement Officer for all acts and omissions of the subcontractors, suppliers
and other persons and organizations performing or furnishing any of the Project
work under a direct or indirect Contract with Contractor just as Contractor is
responsible for Contractor's own acts and omissions. Nothing in this Contract
shall create any Contractual relationship between the County or the Procurement
Officer and any such subcontractor, supplier or other person or organization, nor
shall it create any obligation on the part ofthe County or the Procurement Officer
to payor to see to the payment of any moneys due any such subcontractor,
supplier or other person or organization except as may otherwise be required by
laws and regulations.
4. All Project work performed for Contractor by a subcontractor will
be pursuant to an appropriate Contract between the Contractor and the
subcontractor which specifically binds the subcontractor to the applicable terms
and conditions of this Contract for the benefit of the County and the Procurement
Officer.
C. Patent Fees and Royalties. The Contractor shall pay all license fees and
royalties and assume all costs incident to their use in the performance of the Project or the

incorporation in the Project of any invention, design, process, product or device which is
the subject of patent rights or copyrights held by others. Contractor shall indemnify and
hold harmless the County and the Procurement Officer and anyone directly or indirectly
employed by either of them from and against all claims, damages, losses and expenses
(including attorney's fees and court costS) arising out of any infringement of patent rights
or copyrights incidental to the use in the performance of the Project or resulting from the
product or device not specified in this Contract, and shall defend all such claims in
connection with any alleged infringement of ~uch rights.
D. Permits. Unless otherwise provided in this Contract, the Contractor shall
obtain and pay for all construction permits and licenses. The County shall assist the
Contractor, when necessary, in obtaining such permits and licenses. The Contractor shall
pay all governmental charges and inspection fees necessary for the prosecution of the
Project. The Contractor shall pay all charges of utilities for connections to the Project,
and the County shall pay all charges of such utility owners for capital costs related
thereto such as plant investment fees.
E. Laws and Regulations. The Contractor shall be familiar with and shall
comply with all federal, state, and local laws, ordinances, rules, and regulations
applicable to furnishing and performance of the Project including rules, regulations, and
ordinances the County promulgates at any time. Except where otherwise expressly
required by applicable laws and regulations, neither the County nor the Procurement
Officer shall be responsible for monitoring the Contractor's compliance with any Laws or
Regulations.
F. Taxes. The Contractor shall pay all existing and future applicable federal,
state and local sales, consumer, use and other similar taxes whether direct or indirect.
Federal excise tax may not apply to materials purchased by the County. The Contract
price shall include all other federal, state, and/or local direct or indirect taxes, which do
apply. The Contract price shall include the cost of compliance with all other Federal
Laws and Regulations at no additional cost to the County (except as provided in this
Contract). The Co'ntractor shall not be reimbursed separately for any taxes, which may
apply except as provided in this Contract, and the Contractor shall be responsible for all
taxes, which may apply. The County is tax exempt from Federal Excise Tax and
Colorado State or local sales or use taxes. The Contractor and its subcontractors shall
apply to the Colorado Department of Revenue for a Certificate of Exemption indicating
that the Contractor or subcontractor's purchase of construction material or building
materials is for use in a building, structure, or other public work owned and used by the
County.
G. Use of Premises.
1. The Contractor shall confine construction equipment, the storage
of materials and equipment and the operations of workers to the Project site and
land and areas permitted by this Contract, law, ordinances, and permits. The
Contractor shall assume full responsibility for any damage to any such land or

area, or to the County or occupant thereof or of any land or areas contiguous
thereto, resulting from the performance of the Project. Should any claim be made
against the County or the Procurement Officer by any such owner or occupant
because of the performance of the Project, Contractor shall promptly settle with
such other party. The Contractor shall, to the fullest extent permitted by Laws
and Regulations, indemnify and hold the County harmless from and against all
claims, damages, losses and expenses (including, but not limited to, fees of
engineers, architects, attorneys and other professionals and court costs) arising
directly, indirectly or consequentially out of any action, legal or equitable,
brought by any such other party against the County or the Procurement Officer to
the extent based on a claim arising out of the Contractor's performance of the
Project.
2. During the progress of the Project, the Contractor shall keep the
premises free from accumulations of waste materials, rubbish and other debris
resulting from the Project. At the completion of the Project, the Contractor shall
remove all waste materials, rubbish and debris from and about the premises as
well as all tools, appliances, construction equipment and machinery, temporary
structures, stumps or portions of trees, and surplus materials, and shall leave the
site clean and ready for occupancy by the County. The Contractor shall restore to
original condition all property not designated for alteration by this Contract.
3. The Contractor shall not load or permit any part of any structure to
be loaded in any manner that will endanger the structure, nor shall the Contractor
subject any part of the Project or adjacent property to stresses or pressures that
will endanger it.
H. Safety and Protection.
1. The Contractor shall be solely responsible for initiating,
maintaining and supervising all safety precautions and programs in connection
with the Project. The Contractor shall take all necessary precautions for the safety
of, and shall provide the necessary protection to prevent damage, injury or loss to:
a. All employees in the Project area and other persons and
organizations who may be affected thereby;
b. All the Project materials and equipment to be incorporated
therein, whether in storage on or off the site; and
c. Other property at the site or adjacent thereto, including
trees, shrubs, lawns, walks, pavements, road-ways, structures, utilities and
underground facilities not designated for removal, relocation or
replacement in the course of construction.

The Contractor shall be required to assume sole and complete
responsibility for job site conditions during the course of construction of the
Project, including the safety of all persons who may enter on the job site for any
reason and the security of all property located on the job site. This requirement
shall apply at all times during the courses of the Contract and not only to normal
Project work hours.
2. The Contractor shall at all times conduct the Project in such
manner as will incur the least practicable interference with traffic and existing
utility systems. No section of any road shall be closed to the public, nor any
utility system put out of service except after permission has been granted by the
Procurement Officer. Each item of the Project shall be prosecuted to completion
without delay and in no instance will the Contractor be permitted to transfer its
forces from an uncompleted Project to a new Project without prior written
notification of the Contractor to the Procurement Officer.
Unless this Contract specifically provides for the closing to traffic of any
local road or highway while construction is in progress, such road or highway
shall be kept open to all traffic by the Contractor. The Contractor shall also
provide and maintain in a safe condition temporary approaches, crossings, or
intersections with roads and highways. The Contractor shall bear all expense of
maintaining traffic over the section of road affected by the Project to be done
under this Contract, and of constructing and maintaining such approaches,
crossing, intersections and any necessary features without direct compensation,
except as otherwise provided.
The Contractor shall provide, erect and maintain all necessary barricades,
signs, danger signals and lights to protect the Project and the safety ofthe public.
The Contractor's responsibility for necessary barricades, signs, and lights shall
not cease until the Project has been accepted.
I. Shop Drawings and Samples.
I. After checking and verifying all field measurements and after
complying with applicable procedures specified in this Contract, the Contractor
shall submit to the Procurement Officer for review and approval in accordance
with the approved schedule of shop drawing submissions, three (3) copies (unless
otherwise specified) of all shop drawings, which will bear a stamp or specific
written indication that the Contractor has satisfied the Contractor's responsibilities
under this Contract with respect to the review of the submission. All submissions
will be identified as the Procurement Officer may require. The data shown on the
shop drawings will be complete with respect to quantities, dimensions, specified
performance and design criteria, materials and similar data to enable the
Procurement Officer to review the information as required.

2. The Contractor shall also submit to the Procurement Officer for
review and approval with such promptness as to cause no delay in Project, all
samples required by this Contract. All samples will have been checked by and
accompanied by a specific written indication that the Contractor has satisfied the
Contractor's responsibilities under this Contract with respect to the review of the
submission and will be identified clearly as to material, supplier, pertinent data
such as catalog numbers and the use for which intended.
3. Before submission of each shop drawing or sample, the Contractor
shall have determined and verified all quantities, dimensions, specified
performance criteria, installation requirements, materials, catalog numbers and
similar data with respect thereto; and reviewed or coordinated each shop drawing
or sample with other shop drawings and samples and with the requirements of the
Project and this Contract.
4. At the time of each submission, the Contractor shall give the
Procurement Officer specific written notice of each variation that the shop
drawings or samples may have from the requirements of this Contract, and, in
addition, shall cause a specific notation to be made on each shop drawing
submitted to the Procurement Officer for review and approval of each such
variation.
5. Where a shop drawing or sample is required by the specifications,
no related Project work shall be commenced prior to the Procurement Officer's
review and approval of the shop drawing or samples.
6. The cost of furnishing all shop drawings and samples shall be
borne by Contractor.
V. Performance and Pavment Bond.
A. Contractor shall furnish a performance and payment bond in the amount of
one half of the total Contract value for all Contracts over $50,000, as required by C.R.S.
9 38-26-101, et seq. All Bonds shall be in the form acceptable to the County. All Bonds
signed by an agent must be accompanied by a certified copy of the authority to act.
B. If the surety on any Bond furnished by Contractor is declared bankrupt or
becomes insolvent or its right to do business is terminated in any state or it ceases to meet
the requirements of paragraph A of this Section, Contractor shall within five (5) days
thereafter substitute another Bond and Surety, both of which must be acceptable to the
County.
VI. Indemnity. The Contractor (including, by definition here and hereinafter, its
officials, employees, agents and representatives, subcontractors and suppliers), shall and
hereby does release, discharge, indemnify and hold harmless the County of Pitkin and its
officials, employees, agents and representatives from and against liability for any claim,

demand, loss, damages, penalty, judgment, expenses, costs (including costs of investigation
and defense), fees (including reasonable attorney and expert witness fees) or compensation
in any form or kind whatsoever for any bodily injury, death, personal injury or property
damage arising out of or in connection with any negligent act, intentional act, error or
omission by the Contractor, and for any consequential liability alleged to accrue against the
County on account of the Contractor's acts, errors or omissions; provided, however, that
such indemnity shall not be construed as an indemnity for bodily injury or property damage
arising from the sole negligence of the County or its employees.
The Contractor further shall investigate, process, respond to, adjust, provide defense
for and defend, payor settle all claims, demands, or lawsuits related hereto at its sole
expense and shall bear all other costs and expenses related thereto, even if the claim,
demand or lawsuit is groundless, false or fraudulent.
VII. Insurance. The Contractor agrees to procure and maintain, at its own expense, a
policy or policies of insurance as specified in this section. The Contractor shall cause any
subcontractor of the Contractor to procure and maintain, the minimum insurance coverages
as specified in this section.
A. In whole or in part, the Contractor shall secure and maintain for the term
of its Contractual relationship with the County such insurance policies, from companies
licensed in the State of Colorado, as will protect itself, the County and others as specified,
from claims for bodily injuries, death, personal injury or property damage, which may
arise out of or result from the Contractor's acts, errors or omissions. The following insur-
ance coverage, at or above the limits indicated and including such endorsements as are
indicated by an "X", are required:

Certificates of Insurance in a form acceptable to the County shall be filed with the
County through the Procurement Officer, no later than ten (10) calendar days
prior to commencement. of operations affecting the County. Failure to file or
maintain acceptable Certificates of Insurance with the County is agreed to be a
material breach of any Contract. These Certificates of Insurance shall contain a
provision that coverage afforded under the policies will not be canceled or
materially altered unless at least thirty (30) calendar days prior written notice by
certified mail, return receipt requested (effective upon proper mailing), has been
sent to the County (through the County's Risk Department). (For purposes of this
provision, "materially altered" shall mean a change affecting the coverage's
required herein, including a change to policy limits as set out in the then-current
policy declarations page).
Simultaneously with the Certificates of Insurance, the Contractor shall file with the
County, through the Procurement Officer (and promptly update, as necessary), a
certified statement as to claims pending against the required coverages, reserves
established on account of such claims, defense costs expended and amounts
remaining on policy limits.
2, In addition, these Certificates of Insurance shall contain the
following clauses:
a. The clause "other insurance provisions," in a policy in which
the County of Pitkin holds a Certificate, shall not apply to the County of
Pitkin.

b. The insurance companies issuing the policy or policies
hereunder shall have no recourse against the County of Pitkin for payment of
any premiums or for assessments under any form of policy.
c. Any and all deductibles in the above-described insurance
policies shall be assumed by and be for the amount of, and at the sole
expense of the Contractor.
d. Location of operations shall be: "all operations and locations
at which work for the referenced Project is being done."
3. Certificates ofInsurance for all renewal policies shall be delivered to
the County's Representative at least fifteen (15) days prior to a policy's expiration
date except for any policy expiring on the expiration date of this Contract or there-
after.
4. The County reserves the right to request and receive a copy of any
policy and any policy endorsement at any time during the term of this Contract.
VIII. Exemptions and Preferences.
A. All purchases of construction or building or any other materials for any
Contract shall not include Federal Excise Taxes or Colorado State or local sales or use
taxes. Pitkin County is exempt from such taxes under registration numbers 98-02624 and
84-78000-5K.
B. Pursuant to state statute and to the extent permitted by law, Colorado labor
shall be employed to perform the Project to the extent of not less than eighty percent
(80%) of each type or class of labor employed on such project; except for highway
construction, which is subject to C.R.S. 43-2-208, which provides that all laborers shall
be bona fide residents of Colorado with a preference to residents of the County where the
Project is performed.
IX. Protection and Restoration of Propertv and Landscape: Hazardous Materials.
A. Protection and Restoration of Property and Landscape.
I. The Contractor shall be responsible for the preservation of all
public and private property and shall carefully protect from disturbance or
damage all land and property, as well as any monuments and property marks until
the Procurement Officer has witnessed or otherwise referenced their location and
shall not remove them until directed.
2. The Contractor shall be responsible for all damage or injury to
property of any character, during the prosecution of the Project, resulting from
any act, omission, neglect, or. misconduct in its manner or method of executing

the Project, or at any time due to defective Project work or materials, and said
responsibility shall not be released until the project shall have been completed and
accepted.
3. When or where any direct or indirect damage or injury is done to
public or private property by or on account of any act, omission, neglect, or
misconduct by the Contractor in the execution of the Project, or in consequence of
the non-execution thereof by the Contractor, it shall restore, at its own expense,
such property to a condition similar or equal to that existing before such damage
or injury was done, by repairing, rebuilding, or otherwise restoring as may be
directed, or it shall make good such damage or injury in an acceptable manner.
4. Materials storage, equipment parking, vehicle parking and stockpiling
excavated materials shall be allowed only in those areas designated by the
Procurement Officer.
5. If the Contractor disturbs any of the landscape not called for
removal, it shall restore those areas as directed by the Procurement Officer at the
Contractor's expense.
B. Hazardous Materials
I. The County shall not be responsible for the cost of and the removal
or clean up of Hazardous Materials found in any materials brought to the Project
site, after the Project site is turned over to the Contractor.
2. The Contractor shall provide the Procurement Officer with a
written certification each time materials or equipment is brought onto the Project
site that such materials or equipment do not contain Hazardous Materials.
X. Countv Work at the Proiect Site.
A. The County may perform other work related to the Project at the site by
the County's own forces, have other work performed by utility owners or let other direct
contracts therefor which shall contain terms similar to these. The Contractor shall
perform and coordinate its activities with other contractors to avoid conflict and minimize
disruptions.
B The Contractor shall afford each utility owner and other contractor who is
a party to such a direct contract (or the County if the County is performing the additional
work with the County's employees) proper and safe access to the site and a reasonable
opportunity for the introduction and storage of materials and equipment and the execution
of such work, and shall properly connect and coordinate the work with theirs. The
Contractor shall do all cutting, fitting and patching of the Project that may be required to
make its several parts come together properly and integrate with such other work. The
Contractor shall not endanger any work of others by cutting, excavating or otherwise

altering their work and will only cut or alter their work with the written consent of
Procurement Officer and the others whose work will be affected. The duties and
responsibilities of Contractor under this paragraph are for the benefit of such utility
owners and other contractors to the extent that there are comparable provisions for the
benefit of the Contractor in said direct contracts between the County and such utility
owners and other contractors.
C. If any part of the Contractor's Project depends for proper execution or
results upon the work of any such other contractor or utility owner (or the County), the
Contractor shall inspect and promptly report to the Procurement Officer in writing any
delays, defects or deficiencies in such work that render it unavailable or unsuitable for
such proper execution and results. The Contractor's failure to report such conditions will
constitute an acceptance of the other work as fit and proper for integration with the
Contractor's Project except for latent or non-apparent defects and deficiencies in the other
work.
XI. Changes in the Proiect and Use of Change Orders.
A. The County may, from time to time, request changes in the scope of
services of the Contractor to be performed hereunder.
1. The Procurement Officer shall issue a notice informing the
Contractor of a planned change in the Project and requesting the Contractor's
detailed price proposal and adjusted schedule of work. The Contractor shall
submit a priced proposal for performing the proposed change in the Project within
five (5) days of notice or such other time acceptable to both parties. When the
Contractor and the County reach agreement on the adjustments to the Contract
price and/or Contract time, and changes in the Project, such adjustments shall be
promptly recorded in an executed Change Order.
B. All Contractor initiated change requests shall be submitted to the County
and the Procurement Officer in a letter or written notice with the reference notation
"Contractor Change Request". If the Contractor: (i) receives any oral or written
instructions, directives or interpretations of Contract Documents, or determinations from
the Procurement Officer or, (ii) identifies what it believes are design errors or omissions
in the Contract Drawings or Specifications. or (iii) encounters a differing site condition;
or, (iv) is delayed in the progress of the Project; or, (v) becomes aware of any other
matter or circumstance which it believes would require a change in the Contract Price or
Contract Time, the Contractor shall give the Procurement Officer prompt written notice
of such matters.
I. All Contractor change requests shall be dated, numbered
sequentially, and shall describe the action or event which the Contractor believes
may require an extension in time, price or other modification. The Contractor
shall also provide descriptions of possible Contractor actions or solutions to
minimize the cost of the Contractor change request and, provide an estimate of the

adjustment in the Contract price and/or Contract time, which it believes is
appropriate.
2. Contractor Time Requirements.
a. With respect to orders, instructions, directives,
interpretations, determinations, or the discovery of any errors or omissions
in this Contract, a Contractor change request shall be submitted before the
Contractor acts on them, but in no event more than ten (10) consecutive
calendar days after they were received or discovered.
b. With respect to any differing site conditions, a Contractor
change request shall be submitted before the conditions are disturbed, but
in no event more than ten (10) consecutive calendar days after the
conditions are first discovered.
c. With respect to delays, a Contractor change request shall be
submitted as soon as the Contractor has knowledge of the delay, but in no
event more than ten (10) consecutive calendar days therefrom.
d. With respect to any matters or circumstance which the
Contractor believes would require a change, including delays, a Contractor
change request shall be submitted as soon as the Contractor has
knowledge of the matter or circumstance, but in no event more than ten
(10) consecutive calendar_days after the Contractor becomes aware of such
circumstance or matter.
3. Submittal Requirements and Waiver of Claims
a. If the Contractor does not submit a Contractor change
request within the time required above, any action by the Contractor
related to such order, direction. instruction, interpretation, determination,
design error or omission, or other matter, including delays or differing site
conditions, will not be considered by the County as a change to the Project
and the Contractor waives any claim for an adjustment on the Contract
price or the Contract time.
b. The Contractor shall, at the time a Contractor change
request is submitted provide the Procurement Officer with a complete and
itemized proposal of Contract price and time adjustments. The proposal
shall also contain a detailed explanation, citing all applicable provisions in
this Contract, which supports the Contractor change request. If the
Contractor does not submit its itemized proposal within the time described
above or within such extension, which the Procurement Officer, in his/her
discretion may have granted in writing, it waives any claim for an

adjustment in the Contract price or Contract time arising out of the act or
event described in the Contract change request.
c. If a Contractor change request is denied by the
Procurement Officer, in whole or in part, any claim for an increase in the
Contract price or Contract time arising out of the act or event described in
the Contractor change request is waived unless the Contractor timely
complied with the provisions of paragraphs 2(a-d) of this Section.
XII. Warranty and Guarantee: Tests and Inspections: Correction. Removal or Acceptance
of Defective Proiect Work.
A. Warranty.
1. The Contractor warrants and guarantees to the County that all Project
work, whether supplied, furnished, installed. provided, or performed by Contractor,
a subcontractor, or supplier, will be in accordance with this Contract and will not be
defective and that all Project work shall be performed in a skillful and workmanlike
manner. Additionally, the Contractor shall warrant that all equipment which is
incorporated into the Project or any subsystem shall be new, free from liens and
defects in design, have clear title, be free from faulty materials and workmanship.
and shall conform in all aspects to the terms of this Contract, to the drawings issued
for manufacture by the Contractor, and shall be in conformance with the those
technical specifications provided in Section II (Scope of Work) of this Contract and
Contractor's Proposal. Except where longer periods of warranty are indicated for
certain items. Contractor warrants Project work, whether furnished, installed,
provided, performed or supplied by Contractor, a subcontractor or supplier. to be
free from faulty materials and workmanship and that each piece of equipment or any
part thereof incorporated into the Project or any subsystem shall conform to the
aforementioned warranty and guarantee provisions and be free from failure for a
period of not less than Two Years (2) from date of Final Payment. Landscaping
replacement shall be warranted for two (2) growing seasons.
2. With respect to all warranties, express or implied, from
subcontractors, manufacturers, or suppliers for Project work performed and
materials furnished under the Contract, the Contractor shall:
a. Obtain all warranties that would be given in normal
commercial practice. To the extent that the subcontractor's, manufacturer's,
or supplier's, standard warranty exceeds the minimum County requirements
as set forth in this Section or elsewhere in this Contract, the subcontractor's,
manufacturer's, or supplier's standard warranty shall apply.
b. Require all warranties to be executed, in writing, for the
benefit of the County, if directed by the Procurement Officer; or

c. Enforce all warranties for the benefit of the County, if directed by
the Procurement Officer.
d. Assign all warranties and guarantees in writing to the County
upon the request of the County.
B. Access to Project. The Procurement Officer and the Procurement Officer's
representatives, other representatives of the County, testing agencies and governmental
agencies with jurisdictional interests shall have access to the Project, at any time for their
observation, inspecting and testing. Contractor shall provide proper and safe conditions for
such access.
C. Tests and Inspections.
1. . The Contractor shall cooperate with material testing persons and
firms, and for required inspections, and compliance and approval tests for the work
performed by the Contractor or its subcontractor.
2. If any laws, ordinances, rules. regulations, code or order of any
public body having jurisdiction requires any Project work (or part thereof) to
specifically be inspected, tested or approved, the Contractor shall assume full
responsibility therefore, pay all costs in connection therewith and fumish the
Procurement Officer the required certificates of inspection, testing or approval. The
Contractor shall also be responsible for and shall pay all costs in connection with
any inspection or re-testing required in connection with the County's or the
Procurement Officer's acceptance of a supplier of materials or equipment proposed
to be incorporated in the Project, or of materials or equipment submitted for
approval prior to the Contractor's purchase thereof for incorporation in the Project.
The cost of all inspections, testing, re-testing and approvals in addition to the above
which are required by this Contract shall be paid by the Contractor (unless otherwise
specified). The County will conduct and pay for the conformance tests on materials
installed in-place, and the Contractor shall pay for re-testing of all failing and non-
conforming materials thereafter.
3. All inspections, tests or approvals other than those required by laws,
ordinances, rule, regulations, code, or order of any public body having jurisdiction
shall be performed by organizations acceptable to the Procurement Officer.
4. If any Project work (including the work of others) that is to be
inspected, tested or approved is covered without written concurrence of the
Procurement Officer, it must be uncovered for observation. Such uncovering and
testing when required by the Procurement Officer shall be at the Contractor's
expense.

5. Neither observations by the Procurement Officer nor inspections,
tests or approvals by others shall relieve the Contractor from the Contractor's
obligations to perform the Project in accordance with this Contract.
D. Correction or Removal of Defective Work. If required by the Procurement
Officer or the County, the Contractor shall promptly, as directed, either correct all defective
Project work, whether or not fabricated, installed or completed, or, if the Project work has
been rejected by the Procurement Officer or the County, remove it from the site and replace
it with non-defective Project work. The Contractor shall bear all direct, indirect and
consequential costs of such correction or removal (including but not limited to fees and
charges of engineers, architects, attorneys and other professionals) made necessary thereby.
E. Correction Period. If within two (2) years after the date of Final Payment
or such longer period of time as may be prescribed by laws or by the terms of any applicable
special guarantee required by the Contract Documents or by any specific provision of the
Contract Documents, any Project work is found to be defective, the Contractor shall
promptly without cost to County and in accordance with County's written instructions, either
correct such defective Project work, or, if it has been rejected by County, remove it from the
site and replace it with non-defective Project work. If the Contractor does not promptly
(within seven (7) days from receipt) comply with the terms of such instructions, or in an
emergency where delay would cause serious risk of loss or damage, the County may have
the defective Project work corrected or the rejected Project work removed and replaced, and
all direct, indirect and consequential costs of such removal and replacement (including but
not limited to fees and charges of engineers, architects, attorneys and other professionals)
will be paid by the Contractor. Contractor shall also pay for any damage to other Project
work, other property, or person, which occurred as a result of the defective Project work.
F. County May Correct Defective Work. If the Contractor fails within ten
(10) consecutive calendar days after written notice of the Procurement Officer or the County
to proceed to correct and to correct defective Project work or to remove and replace rejected
Project work as required by the Procurement Officer or the County in accordance with
paragraph D of this Section, or if the Contractor fails to perform the Project work in
accordance with the Contract Documents, or if the Contractor fails to comply with any other
provision of the Contract Documents, the County may, after seven (7) days' written notice to
the Contractor, correct and remedy any such deficiency. In exercising the rights and
remedies under this paragraph the County shall proceed expeditiously to the extent
necessary to complete corrective and remedial action. The County may exclude the
Contractor from all or part of the site, take possession of all or part of the Project, and
suspend the Contractor's services related thereto, take possession of the Contractor's tools,
appliances, construction equipment and machinery at the site and incorporate in the Project
all materials and equipment stored at the site or for which the County has paid the
Contractor but which are stored elsewhere. The Contractor shall allow the County, the
County's representatives, agents and employees such access to the site as may be necessary
to enable the County to exercise the rights and remedies under this paragraph. All direct,
indirect and consequential costs of the County in exercising such rights and remedies will be
charged against the Contractor, and a Change Order will be issued by the County

incorporating the necessary revISIons in the Contract price. Such direct, indirect and
consequential costs will include but not be limited to fees and charges of engineers,
architects, attorneys and other professionals, all court costs and all costs of repair and
replacement of work of others destroyed or damaged by correction, removal or replacement
of the Contractor's defective Project work. The Contractor shall not be allowed an extension
of the Contract time because of any delay in performance of the Project work attributable to
the exercise by the County of the County's rights and remedies hereunder.
XlII. Liquidated Damages. It is the County's intent to complete this project no later
than August 30. 2007. Liquidated damages of ($ 100.00) per calendar day shall be paid if
project is not completed by that deadline.
A. Time for Completion. It is hereby understood and mutually agreed, by and
between the Contractor and the County, that the date of beginning Project work and the time
of completion as specified herein are essential conditions of the Contract. The Contractor
agrees that said Project shall be prosecuted regularly, diligently, and at such rate of progress
as will ensure completion within the time(s) specified. It is expressly understood and agreed,
by and between the Contractor and the County, that the time(s) for completion of the Project
described herein are reasonable time(s) for the completion of the Project, taking into
consideration the average climatic conditions prevailing in the locality of the Project.
B. Time is of the Essence to the Contract. It is further agreed that time is of the
essence in completing the Project, and that the Project Work Schedule and all dates set forth
therein and where in this Contract, an additional time is allowed for the completion of the
Project, the new time limit fixed by such extension shall be of the essence of the Contract.
C. Liquidated Damages. Completion of the Project is of paramount
importance to the County. If any portion of the Project is not completed in accordance with
any time extensions granted by the County, the County will suffer damage, the extent of
which will be impractical and extremely difficult to estimate accurately. Therefore, as part
of the consideration for executing the Contract, it is hereby agreed that the Contractor shall
pay to the County the liquidated damage amounts specified in the Contract. This particular
provision shall not be construed as a penalty upon said Contractor for failing fully to
complete said Project as agreed in the Proposal and this Contract nor is it intended, but as
Liquidated Damages to compensate the County for all costs incurred as a result of such
breach of Contract.
D. Delays in Project Completion of Construction Phase. Subject to the terms of
"Excusable Delays", as contained in paragraph E of this Section, the Contractor expressly
agrees to pay the County as a reasonable estimate of just compensation for damages
contemplated with the clause, the amount set forth as liquidated damages for each
consecutive calendar day that completion is delayed in the construction of the Project.
E. Excusable Delays - Force Majeure. If, by reason of Force Majeure, any
party hereto shall be rendered unable wholly or in part to carry out its obligations under this
Contract then such party shall give notice and full particulars of such Force Majeure in

writing to the other party within a reasonable time after occurrence of the event or cause
relied upon, and the obligation of the party giving such notice, so far as it is affected by such
Force Majeure, shall be suspended during the continuance of the liability then claimed, but
for no longer period, and any such party shall remove or overcome such inability with all
reasonable dispatch. The term Force Majeure as employed herein, shall mean acts of God,
strikes, lockouts, or other industrial disturbances, acts of public enemy, orders of any kind of
the Govemment of the United States or the State of Colorado or any political subdivision,
except the County, or any civil or military authority, insurrection, riots, epidemics,
landslides, lightning, earthquakes, fires, hurricanes, storms, floods, washouts, droughts,
arrests, restraint of government and people, civil disturbances, explosions, breakage or
accidents to machinery, pipelines, or canals, or other causes not reasonably within the
control of the party claiming such inability. It is understood and agreed that the settlement of
strikes and lockouts shall be entirely within the discretion of the party having the difficulty,
and that the above requirement that any Force Majeure shall be remedied with all reasonable
dispatch shall not require the settlement of strikes and lockouts by acceding to the demands
of the opposing party or parties when such settlement is unfavorable to it in the judgment of
the party having the difficulty.
F. Cumulative Remedy. The liquidated damages referred to herein are intended
to be and are cumulative and shall be in addition to every other remedy now or hereafter
enforceable at law, in equity, by statute, or under Contract.
XIV. Tennination of Contract.
A. The County may terminate this Contract upon the occurrence of anyone or
more of the following events:
I. If the Contractor commences a voluntary case under any chapter of
the Bankruptcy Code (Title 11, United States Code), as now or hereafter in effect, or
if Contractor takes any equivalent or similar action by filing a petition or otherwise
under any other federal or state law in effect at such time relating to the bankruptcy
or insolvency;
2. If a petition is filed against Contractor under any chapter of the
Bankruptcy Code as now or hereafter in effect at the time of filing, or if a petition is
filed seeking any such equivalent or similar relief against Contractor under any other
federal or state law in effect at the time relating to bankruptcy or insolvency;
3. If the Contractor makes a general assignment for the benefit of
creditors;
4. If a trustee, receiver, custodian or agent of Contractor is appointed
under applicable law or under Contract, whose appointment or authority to take
charge of property of Contractor is for the purpose of enforcing a Lien against such
property or for the purpose of general administration of such property for the benefit
of Contractor's creditors;

5. If the Contractor persistently fails to perform the Project in
accordance with this Contract including but not limited to, failure to supply
sufficient skilled workers or suitable materials or equipment or failure to adhere to
the work schedule established in this Contract;
6. If the Contractor disregards laws, ordinances, rules, regulations, or
orders of any public body having jurisdiction;
B. Termination Prior to Expiration of Contract Term. The County has the
right to terminate this Contract, with or without cause, by giving written notice to the
Contractor of such termination and specifying the effective date thereof. Such notice
shall be given at least ten (10) days before the effective date of such termination. In such
event all finished or unfinished documents, data, studies and reports prepared by the
Contractor pursuant to this Contract shall become the County's property. Contractor
shall be entitled to receive compensation in accordance with the Contract for any
satisfactory Project work completed pursuant to the terms of this Contract prior to the
date of termination. Not withstanding the above, Contractor shall not be relieved of
liability to the County for damages sustained by the County by virtue of any breach of the
Contract by the Contractor.
XV. Independent Contractor Status.
A. The parties to this contract intend that the relationship between them
contemplated by the contract is that of independent Contractor. Contractor, and any
agent, employee, or servant of Contractor shall not be deemed to be an employee, agent,
or servant of Pitkin County.
B. Contractor is not required to offer his services exclusively to Pitkin
County under this contract. Contractor may choose to work for other individuals or
entities during the term of this contract, provided that the basic services and deliverable
products required under this contract are submitted in the manner and on the schedule
defined under this contract.
C. Contractor warrants that all work produced will conform to all applicable
industry standard of care, skill and diligence in the performance of Contractor's
obligations under this contract.
D. Contractor shall not attempt to oversee or supervise the work or actions of
any Pitkin County employee, servant or agent in the course of completing work under
this contract.
E. Contractor is not entitled to any Workers' Compensation benefits through
Pitkin County and is responsible for payment of any federal, state, FICA and other
income taxes.

F. The Contractor shall be required to complete and submit to the County, a
Form W -9 Taxpayer Identification Number Request.
XVI. Computation of Time.
A. When any period of time is referred to in this Contract by days, it will be
computed to exclude the first and include the last day of such period. If the last day of any
such period falls on a Saturday or Sunday or on a legal holiday, such day will be omitted
from the computation.
B. All times stated in this Contract are of the essence.
XVII. Records and Cost Pricing Data.
A. The Contractor shall maintain in a safe place at the site one record copy of
all Drawings, Specifications, Addenda, Written Amendments, Change Orders, Project
Directive Changes, Field Orders and written interpretations and clarifications in good
order and annotated and updated weekly to show all changes made during construction.
These record documents together with all approved samples will be available to the
Procurement Officer for reference. Upon completion of the Project, these record
documents and samples will be delivered to the Procurement Officer for the County.
B. The Contractor shall maintain all data and records pertinent to the Project
performed under this Contract, in accordance with generally accepted accounting principles,
and shall preserve and make available all data and records until the expiration of three (3)
years from the date of final payment under this Contract, or for such longer period, if any, as
is required by applicable statute or by other articles of this Contract. The County shall have
access to all such data and records for such time period to inspect, audit and make copies
thereof during normal business hours. The Contractor covenants and agrees that it shall
require that any subcontractor utilized in the performance of this Contract to permit the
authorized representatives of the County, to similarly inspect and audit all data and records
of said subcontractors relating to the performance of said subcontractors under this Contract
for the same time period.
C. If this Contract is completely or partially terminated, the records relating to
the Project terminated shall be made available for three (3) years after any resulting final
termination payment.
D. Records pertaining to appeals or to litigation or the settlement of claims
arising under or relating to the performance of this Contract shall be made available until
disposition of such appeals, litigation, or claims.

XVIII.
Miscellaneous.
A. Assignability. This Contract is not assignable by either party. Any use of
subcontractors by the Contractor for performance of this Contract must be accepted in
writing by the County.
B. Binding Arbitration. Any disputes arising out of this Contract shall be
subject to binding arbitration. The parties agree that any disputes concerning the terms
and conditions of this Contract shall be submitted and finally settled by arbitration.
Arbitration shall be conducted pursuant to the rules of the American Arbitration
Association and shall be presided over by the Pitkin County Hearing Officer appointed to
arbitrate Pitkin County Contract disputes. Costs of the arbitration shall be awarded to the
substantially prevailing party.
C. Severability. If any term, section, or other provision of this Contract shall,
for any reason, be held to be invalid or unenforceable, the invalidity or unenforceability
of such term, section, or other provision shall not affect any of the remaining provisions
of this Contract, and to this end, each term, section and provision of this Contract shall be
severable.
D. Integration and Modification. This Contract represents the entire and
integrated Contract between the County and the Contractor and supersedes all prior
negotiations, representations, or Contract, either written or oral. This Contract may be
amended only by written Contract signed by both the County and the Contractor.
E. Contract Made in Colorado. The parties agree that this Contract was made
in accordance with the laws of the State of Colorado and shall be so construed. Venue is
agreed to be exclusively in the courts of Pitkin County, Colorado.
F. Attorney's Fees. In the event that legal action is necessary to enforce any of
the provisions of this Contract including the arbitration described in this section, the
substantially prevailing party shall be entitled to its costs and reasonable attorney's fees.
G. Governmental Immunity. Contractor agrees and understands that Pitkin
County is relying on and does not waive the monetary limitations or terms or any other
rights, immunities, and protections provided by the Colorado Governmental Immunity
Act, 24-10-101. et seq.. C.R.S., as from time to time amended, or otherwise available to
Pitkin County or any of its officers, agents or employees. Further, nothing in this Contract
shall be construed or interpreted to require or provide for indemnification of the Contractor
by the County for any injury to any person or any property damage whatsoever which is
caused by the negligence or other misconduct of the County or its agent or employees.
H. Current Year Obligations. The parties acknowledge and agree that any
payments provided for hereunder or requirements for future appropriations shall
constitute only currently budgeted expenditures of Pitkin County. Pitkin County's
obligations under this Contract are subject to Pitkin County's annual right to budget and

appropriate the sums necessary to provide the services set forth herein. No provisions of
the Contract shall constitute a mandatory charge or requirement in any ensuing fiscal year
beyond the then current fiscal year of Pitkin County.

J. Waiver. No waiver by either party of any right, term or condition of this
Contract shall be deemed or construed as a waiver of any other right, term or condition,
nor shall a waiver of any breach hereof be deemed to constitute a waiver of any
subsequent breach, whether of the same or of a different provision of this Contract.
XIX. Contractor's Representations.
A. In order to induce County to enter into this Contract, Contractor makes the
following representations:
1. Contractor has familiarized himself with the nature and extent of
this Contract, Project, locality, and with all local conditions and federal, state, and
local laws, ordinances. rules and regulations that in any manner may affect cost,
progress, or performance of Project.
2. Contractor has carefully studied the site and has performed all
necessary investigations, tests, and subsurface investigations to define the latent
physical conditions of the construction site affecting cost, progress, or
performance of Project.
3. Contractor has made or caused to be made examinations,
investigations, and tests and studies of such reports and related data as it deems
necessary for the performance of Project at the Contract price, within the Contract
time, and in accordance with the other terms and conditions of this Contract; and

no additional examinations, investigations, tests, reports, or similar data are or
will be required by Contractor for such purposes.
4. Contractor has correlated the results of all such observations,
examinations, investigations, tests, reports and data with the terms and conditions
of this Contract.
5. Contractor has given Procurement Officer written notice of all
conflicts, errors, or discrepancies that it has discovered in this Contract, and the
written resolution thereof by Procurement Officer is acceptable to Contractor.
6. By executing this Contract, the Contractor represents that it has
visited the site, familiarized itself with the local conditions under which the
Project work is to be performed (including weather conditions which can be
expected), and correlated its observations with the requirements of this Contract.
7. The undersigned representative of Contractor represents that it is
an authorized representative of Contractor for the purposes of executing this
Contract and that it has full and complete authority to enter into this Contract on
behalf of Contractor.
XX. Counterparts. This Contract may be executed in multiple counterparts, each of
which shall constitute an original, but all of which shall constitute one and the same
document.
XXI. Compliance With House Bill 06-1343
A. In compliance with House Bill 06-\343, amending Title 8 of the Colorado
Revised Statutes by the addition of Article 17.5, Illegal Aliens-Public Contract for
Services, enacted by the General Assembly of the State of Colorado, the Contractor shall
not:
1. Knowingly employ or contract with an illegal alien to perform
work under this contract or;
2. Enter into a contract with a subcontractor that fails to certify to the
Contractor that the subcontractor shall not knowingly employ or contract with an
illegal alien to perform work under this contract.
B. In compliance with House Bill 06-1343 enacted by the General Assembly
of the State of Colorado:
1. The Contractor shall verify or attempt to verify through
participation in the Basic Pilot Program [created in Public Law 208, 104th
Congress, as amended and expanded in Public Law 156, 108th Congress, as
amended, that is administered by the United States Department of Homeland

Security] that the Contractor does not employ any illegal aliens and. if the
Contractor is not accepted into the Basic Pilot Program prior to entering into this
contract, the Contractor shall apply to participate in the Basic Pilot Program every
three months until the Contractor is accepted or this contract has been completed,
whichever is earlier. This provision shall not be required or effective if the Basic
Pilot Program is discontinued.
2. The Contractor shall be prohibited from using Basic Pilot Program
procedures to undertake pre-employment screening of job applicants while this
contract is being performed.
3. If the Contractor obtains actual knowledge that a subcontractor
performing work under this contract knowingly employs or contracts with an
illegal alien, the Contractor shall be required to:
a. Notify the subcontractor and the County within three days
that the Contractor has actual knowledge that the subcontractor is
employing or contracting with an illegal alien; and
b. Terminate the subcontract with the subcontractor if within
three days of receiving the notice required pursuant to subparagraph (a) of
this paragraph (3) the subcontractor does not stop employing or
contracting with the illegal aliens; except that the Contractor shall not
terminate the contract with the subcontractor if during such three days the
subcontractor provides information to establish that the subcontractor has
not knowingly employed or contracted with an illegal alien.
4. The Contractor shall comply with any reasonable request by the
Department of Labor and Employment made in the course of an investigation that
the Department of Labor and Employment is undertaking pursuant to the
authority established in Subsection (5) ofC.R.S. ~ 8-17.5-102.

A. The Prpject consists of:

B. Contract Documents were prepared for the Project by RoofT ech Consultants, Inc., 441
Wadsworth, Suite 200, Lakewood, Colorado 80226.
C. The Work consists of Roofing Replacement as follows::
1. Replace Roofing - Roof Type 1:
a. Remove the existing ballasted EPDM roofing system down to the surface of
the wood decking.
b. Set a base layer of Yz" thick DensDeck gypsum board over the wood
decking.
c. Over the gypsum substrate board, set an isocyanurate foam roof insulation
taper system with a slope of 0.25/12. Screw and plate fasten the tapered
insulation and substrate board simultaneously to the wood deck.
d. Cover the foam insulation with a layer of 1" wood fiber or Yo" Johns Manville
Invinsa Board. Set board in low rise foam insulation adhesive.
e. Fully adhere a 90 mil thick EPDM membrane over the cover insulation
board.
f. Install cured and uncured EPDM flashings as detailed.
g. Install pre-finished sheet metal flashings and counterflashings.
h. Provide the Owner with a 20 year written manufacturers warranty covering
material and labor in a leak free state at a no dollar limit.
2. Replace Roofing - Roof Type 2
a. Remove the existing lightweight concrete tile and batten system down to the

c. Install a new modified bitumen underlayment felt over the deck surface.
d. Cover the modified bitumen underlayment felt with a tacked down ply of Elk
Versashield.
e. Over the underlayment plies install an Ecostar simulated slate roofing
system.
f. Install copper snow guards at the eave edges of the roofing as shown on the
Drawings.
g. Install new pre-finished sheet metal gutters and downspouts where shown.
h. Install new a 10 watt per foot mineral insulated self limiting heat cable
system uSing the power sources located at the roof levels that power the
existing heat cable system.
i. Install pre-finished sheet metal flashings and counterfJashings as detailed.
j. Provide the Owner with a 2 year MRCA contractors warranty covering
material and labor in a leak free state.
3. Replace Roofing - Roof Type 3
a. Remove the existing lightweight concrete tile and batten system down to the
surface ofthe underlayment system.

1.4 SCOPE OF SERVICES
A. The work of this Contract, except as otherwise specified, shall include all labor,
materials, equipment and facilities necessary to produce the required result, all
transportation and services, and all materials and equipment incorporated and
intended to be incorporated in such results. The Work includes all fees, taxes, permit
costs, insurance premiums, and costs for overhead, superintendence, temporary
facilities, and other direct and indirect costs and expenses incidental to the
performance of the Work.
1.5 EXISTING CONDITIONS
A. The Contractor shall accept the area of the work in it's present condition and carefully
examine the area of the work and determine for himself all existing conditions visually
discernable and/or reasonably expected from his understanding of the Construction
Documents.
1.6 CONTRACTOR USE OF PREMISES
A. General: During the construction period the Contractor shall have restricted use of the
premises for construction operations, including use of the site. The Contractor's use of
the premises is limited by the Owner's right to perform work and where indicated on
the Plans.
B. Confine operations at site to areas within the limits of the work of this Contract.
1. Do not load structure with weight that will endanger structure.
2. Do not reasonably encumber site with materials or equipment.
3. Assume full responsibility for protection and safekeeping of products stored on
premises.
4. Move any stored products which interfere with operations of Owner.
5. Obtain and pay for use of additional storage or work areas needed for operation.
1.7 OCCUPANCY REQUIREMENTS
A. Partial Owner Occupancy: The Owner reserves the right to occupy and to place and
install equipment in completed areas of the building prior to Substantial Completion,
provided such occupancy does not interfere with completion of the Work. Such
placing of equipment and partial occupancy shall not constitute acceptance of the total
Work.
1.8 PROTECTION
A. The Contractor shall make all necessary provisions for the protection of the public and
traffic and the use of surrounding areas. He shall provide barriers and any other
safeguards as required to protect the public in accordance with the local laws. The
safeguards and protections shall be fully maintained in first-class condition during the
entire construction period, and at no time shall required protection be removed. When
required, provide all-night lights, lanterns, flares, etc. for night-time protection. All
excavations shall be completely protected at all times.
B. Protect existing trees, vegetation, landscape materials and site improvements not

1.3 DEFINITIONS
A. Unit price is an amount proposed by bidders, stated on the Bid Form, as a price per
unit of measurement for materials or services added to or deducted from the Contract
Sum by appropriate modification, if the estimated quantities of Work required by the
Contract Documents are increased or decreased.
1.4 PROCEDURES
A. Unit prices include all necessary material, plus cost for delivery, installation, insurance,
overhead, profit and applicable taxes.
B. Measurement and Payment: Refer to individual Specification Sections for work that
requires establishment of unit prices. Methods of measurement and payment for unit
prices are specified in those Sections.
C. The Owner reserves the right to reject the Contractor's measurement of work-in-place
that includes the use of established unit prices, and to have this work measured, at the
Owner's expense, by an independent surveyor acceptable to the Contractor.
D. Schedule: A "Unit Price Schedule" is included at the end of this Section. Specification
Sections referenced in the Schedule contain requirements for materials described
under each unit price.
1.5 BASE BID SCHEDULED VALUES
A. Scheduled quantities are established here for the Unit Prices to be listed. These
schedule quantities are to be part of the base bid work. The Unit Prices to be listed
shall be used for additive or deductive purposes in order to adjust the scheduled
values to the actual work installed at jobs end.
1. Include in the Base Bid the repair of 96 sf of %" thick CDX sheathing at the Roof
Type 2 area. The plywood must be fire treated. The price includes all aspects of

B. Where necessary, prepare memoranda for distribution to each party involved, outlining

3.1 GENERAL INSTALLATION PROVISIONS
A. Inspection of Conditions: Require the Installer of each major component to inspect
both the substrate and conditions under which Work is to be performed. Do not
proceed until unsatisfactory conditions have been corrected in an acceptable manner.
B. Manufacturer's Instructions: Comply with manufacturer's installation instructions and
recommendations, to the extent that those instructions and recommendations are
more explicit or stringent than requirements contained in Contract Documents.
C. Inspect materials or equipment immediately upon delivery and again prior to
installation. Reject damaged and defective items.
D. Provide attachment and connection devices and methods necessary for securing
Work. Secure Work true to line and level. Allow for expansion and building
movement.
E. Visual Effects: Provide uniform joint widths in exposed Work. Arrange joints in
exposed Work to obtain the best visual effect. Refer questionable choices to the
Architect for final decision.
F. Recheck measurements and dimensions, before starting each installation.
G. Install each component during weather conditions and Project status that will ensure
the best possible results. Isolate each part of the completed construction from
incompatible material as necessary to prevent deterioration.
H. Coordinate temporary enclosures with required inspections and tests, to minimize the
necessity of uncovering completed construction for that purpose.
3.2 GENERAL COORDINATION PROVISIONS

1.3 SUBMITTALS
A. Cutting and Patching Proposal: Submit a proposal describing procedures well in
advance of the time cutting and patching will be performed if the Owner requires
approval of these procedures before proceeding. Request approval to proceed.
Include the following information, as applicable, in the proposal:
1. Describe the extent of cutting and patching required. Show how it will be
performed and indicate why it cannot be avoided.
2. Describe anticipated results in terms of changes to existing construction. Include
changes to structural elements and operating components as well as changes in
the building's appearance and other significant visual elements.
3. List products to be used and firms or entities that will perform Work.
4. Indicate dates when cutting and patching will be performed.
5. Utilities: List utilities that cutting and patching procedures will disturb or affect.
List utilities that will be relocated and those that will be temporarily out-of-service.
Indicate how long service will be disrupted.

7. Approval by the Architect to proceed with cutting and patching does not waive
the Architect's right to later require complete removal and replacement of
unsatisfactory work.
1.4 QUALITY ASSURANCE
A. Requirements for Structural Work: Do not cut and patch structural elements in a
manner that would change their load-carrying capacity or load-deflection ratio.
1. Obtain approval of the cutting and patching proposal before cutting and patching
structural elements.
B. Operational Limitations: Do not cut and patch operating elements or related
components in a manner that would result in reducing their capacity to perform as
intended. Do not cut and patch operating elements or related components in a
manner that would result in increased maintenance or decreased pperational life or
safety.
C. Visual Requirements: Do not cut and patch construction exposed on the exterior or in
occupied spaces in a manner that would, in the Architect's opinion, reduce the
building's aesthetic qualities. Do not cut and patch constructipn in a manner that
would result in visual evidence of cutting and patching. Remove and replace
construction cut and patched in a visually unsatisfactory manner.
1.5 WARRANTY
A. Warranties: Replace, patch, and repair material and surfaces cut or damaged by
methods and with materials in such a manner as not to void any warranties required.

A. Examine surfaces to be cut and patched and conditions under which cutting and
patching is to be performed before cutting. If unsafe or unsatisfactory conditions are
encountered, take corrective action before proceeding.
1. Before proceeding, meet at the Project Site with parties involved in cutting and
patching, including mechanical and electrical trades. Review areas of potential
interference and conflict. Coordinate procedures and resolve potential conflicts
before proceeding.

3.2 PREPARATION
A. Temporary Support: Provide temporary support of work to be cut.
B. Protection: Protect construction during cutting and patching to prevent damage.
Provide protection from adverse weather conditions for portions of the Project that
might be exposed during cutting and patching operations.
C. Avoid interference with use of adjoining areas or interruption of free passage to
adjoining areas.
3.3 PERFORMANCE
A. General: Employ skilled workmen to perform cutting and patching. Proceed with
cutting and patching at the earliest feasible time and complete without delay.
1. Cut existing construction to provide for installation of other components or
performance of other construction activities and the subsequent fitting and
patching required to restore surfaces to their original condition.
B. Cutting: Cut existing construction using methods least likely to damage elements
retained or adjoining construction. Where possible, review proposed procedures with
the original Installer; comply with the original Installer's recommendations.
1. In general, where cutting, use hand or small power tools designed for sawing or
grinding, not hammering and chopping. Cut holes and slots as small as possible,
neatly to size required, and with minimum disturbance of adjacent surfaces.
Temporarily cover openings when not in use.
2. To avoid marring existing finished surfaces, cut or drill from the exposed or
finished side into concealed surfaces.
3. Cut through concrete and masonry using a cutting machine, such as a
Carborundum saw or a diamond-core drill.
4. Comply with requirements of applicable Division 2 Sections where cutting and
patching requires excavating and backfilling.
C. Patching: Patch with durable seams that are as invisible as possible. Comply with
specified tolerances.
1. Where feasible, inspect and test patched areas to demonstrate integrity of the
installation.
2. Restore exposed finishes of patched areas and extend finish restoration into
retained adjoining construction in a manner that will eliminate evidence of
patching and refinishing.
3. Where patching occurs in a smooth painted surface, extend final paint coat over
entire unbroken surface containing the patch after the area has received primer
and second coat.

SECTION 01095 - REFERENCE STANDARDS AND DEFINITIONS
PART 1 GENERAL
1.1 RELATED DOCUMENTS
A. Drawings and general provIsions of the Contract, including General and
Supplementary Conditions and other Division 1 Specification Sections, apply to this
Section.
1.2 DEFINITIONS
A. General: Basic contract definitions are included in the Conditions of the Contract.
B. "Indicated": The term "indicated" refers to graphic representations, notes, or
schedules on the Drawings, or other paragraphs or Schedules in the Specifications,
and similar requirements in the Contract Documents. Terms such as "shown," "noted,"
"scheduled," and "specified" are used to help the reader locate the reference.
Location is not limited.
C. "Directed": Terms such as "directed," "requested," "authorized," "selected,"
"approved," "required," and "permitted" mean directed by the Architect, requested by
the Architect, and similar phrases.
D. "Approved": The term "approved," when used in conjunction with the Architect's action
on the Contractor's submittals, applications, and requests, is limited to the Architect's
duties and responsibilities as stated in the Conditions of the Contract.
E. "Regulations": The term "regulations" includes laws, ordinances, statutes, and lawful
orders issued by authorities having jurisdiction, as well as rules, conventions, and
agreements within the construction industry that control performance of the Work.
F. "Furnish": The term "furnish" means supply and deliver to the Project Site, ready for
unloading, unpacking, assembly, installation, and similar operations.
G. "Install": The term "install" describes operations at the Project Site including the actual
unloading, unpacking, assembly, erecting, placing, anchoring, applying, working to
dimension, finishing, curing, protecting, cleaning, and similar operations.
H. "Provide": The term "provide" means to furnish and install, complete and ready for the
intended use.
I. "Installer": An installer is the Contractor or another entity engaged by the Contractor,
either as an employee, subcontractor, or contractor of lower tier, to perform a
particular construction activity, including installation, erection, application, or similar
operations. Installers are required to be experienced in the operations they are
engaged to perform.
1. The term "experienced," when used with the term "installer," means having a
minimum of 5 previous projects similar in size and scope to this Project, being
familiar with the special requirements indicated, and having complied with

2. Trades: Using terms such as "carpentry" does not imply that certain construction
activities must be performed by accredited or unionized individuals of a
corresponding generic name, such as "carpenter." It also does not imply that
requirements specifled apply exclusively to tradespersons of the corresponding
generic name.
J. "Project Site" is the space available to the Contractor for performing construction
activities, either exclusively or in conjunction, with pthers performing other work as part
of the Project. The extent of the Project Site is shown on the Drawings and mayor
may not be identical with the description of the land on which the Project is to be built.
K. "Testing Agencies": A testing agency is an independent entity engaged to perform
specific inspections or tests, either at the Project Site or elsewhere, and to report on
and, if required, to interpret results of those inspections or tests.
1.3 SPECIFICATION CONTENT EXPLANANTION
A. Specification Content: This Specification uses certain conventions regarding the style
of language and the intended meaning of certain terms, words, and phrases when
used in particular situations or circumstances. These conventions are explained as
follows:
1. Abbreviated Language: Language used in Specifications and other Contract
Documents is abbreviated. Words and meanings shall be interpreted as
appropriate. Words implied, but not stated, shall be interpolated as the sense
requires. Singular words will be interpreted as plural and plural words interpreted
as singular where applicable as the context of the Contract Documents indicates.
2. Streamlined Language: The Specifications generally use the imperative mood
and streamlined language. Requirements expressed in the imperative mood are
to be performed by the Contractor. At certain locations in the Text, subjective
language is used for clarity to describe responsibilities that must be fulfilled
indirectly by the Contractor or by others when so noted.
a) The words "shall be" are implied where a colon (:) is used within a sentence
or phrase.
1.4 INDUSTRY STANDARDS
A. Applicability of Standards: Except where the Contract Documents include more
stringent requirements, applicable construction industry standards have the same
force and effect as if bound or copied directly into the Contract Documents to the
exterit referenced. Such standards are made a part of the Contract Documents by
reference.
B. Publication Dates: Comply with the standards in effect as of the date of the Contract
Documents.
C. Conflicting Requirements: Where compliance with 2 or more standards is specified
and the standards establish different or conflicting requirements for minimum

D. Copies of Standards: Each entity engaged in construction on the Project is required to
be familiar with industry standards applicable to its construction activity. Copies of
applicable standards are not bound with the Contract Documents.
1. Where copies of standards are needed to perform a required construction
activity, the Contractor shall obtain copies directly from the publication source.
E. Abbreviations and Names: Trade association names and titles of general standards
are frequently abbreviated. Where such acronyms or abbreviations are used in the
Specifications or other Contract Documents, they mean the recognized name of the
trade association, standards-generating organization, authorities having jurisdiction, or
other entity applicable to the context of the text provision. Refer to Gale Research
Co.'s "Encyclopedia of Associations," available in most libraries.
F. Abbreviations and Names: Trade association names and titles of general standards
are frequently abbreviated. The following acronyms or abbreviations, as referenced in

SECTION 01200 - PROJECT MEETINGS
PART 1 GENERAL
1.1 RELATED DOCUMENTS
A. Drawings and general provIsions of the Contract, including General and
Supplementary Conditions and other Division 1 Specification Sections, apply to this
Section.
1.2 SUMMARY
A. This Section specifies administrative and procedural requirements for project
meetings, including, but not limited to, the following:
1. Preconstruction conferences.
2. Progress meetings.
B. The Contractor shall schedule, conduct and record the contents of the meetings and
distribute typed minutes to all pertinent parties within two days after the meeting.
C. Related Sections: The following Sections contain requirements that relate to this
Section:
1. Division 1 Section "Coordination" for procedures for coordinating project
meetings with other construction activities.
2. Division 1 Section "Submittals" for submitting the Contractor's Construction
Schedule.
3. See individual specification sections for requirements for preinstallation
meetings.
1.3 PRECONSTRUCT/ON CONFERENCE
A. Schedule a preconstruction conference before starting construction, at a time
cpnvenient to the Owner/Owner's Representative and the Architect, but no later than
15 days after execution of the Agreement. Hold the conference at the Project Site or
another convenient location. Conduct the meeting to review responsibilities and
personnel assignments.
B. Attendees: Authorized representatives of the Owner, Architect, and their consultants;
the Contractor and its superintendent; major subcontractors; manufacturers; suppliers;
and other concerned parties shall attend the conference. All participants at the
conference shall be familiar with the Project and authorized to conclude matters
relating to the Work.

1.4 PROGRESS MEETINGS
A. Conduct progress meetings at the Project Site at weekly intervals. Notify the
Construction Manager and the Architect of scheduled meeting dates.
B. Attendees: In addition to representatives of the Owner and the Architect, each
subcontractor, or other entity concerned with current progress or involved in planning,
coordination, or performance of future activities shall be represented at these
meetings. All participants at the conference shall be familiar with the Project and
authorized to conclude matters relating to the Work.
C. Agenda: Review and correct or approve minutes of the previous progress meeting.
Review other items of significance that could affect progress. Include topics for
discussion as appropriate to the status of the Project.
1. Contractor's Construction Schedule: Review progress since the last meeting.
Determine where each activity is in relation to the Contractor's Construction
Schedule, whether on time or ahead or behind schedule. Determine how
construction behind schedule will be expedited; secure commitments from parties
involved to do so. Discuss whether schedule revisions are required to insure that
current and subsequent activities will be completed within the Contract Time.

1.2 SUMMARY
A. All submittals shall be made in triplicate and sent directly to the Architects Office for
review. Use the Submittal Register for every submittal. Submit pertinent items that may
not be listed on the register.
B. In general, submit information and data for all new ropfing components and detailed
accessories.
C. Monthly submit a schedule indicating planned performance and actual performance in
sufficient detail to track each trade. If contractor becomes more than 3 weeks behind
the original anticipated schedule. A meeting shall be held where a plan shall be
proposed by the Contractor for bringing the work back in line with the schedule.
D. Submit all MSDS sheets prior to bringing materials on site.
E. Submit engineering reports for any platforms, scaffolding or other load bearing
accessories that may have to be erected in order to compete the work. The reports
shall be detailed enough to establish that the scaffolding and platforms can be erected
and maintained in a safe condition without jeopardizing the building or personnel.
F. Highlight items intended for use if copies of pages are submitted with more than a
single item on them.
G. Indicate materials, finishes, sizes, thicknesses, configurations, reinforcements,
fastenings, connections, supports, anchors, connections to other work, fabrication
details, erection details, accessories, rough-in drawings, schedules, etc.
H. Submit the materials list as indicated in various Divisions to the ArchitecVEngineer
prior to the delivery of materials to the job site.
I. Provide the ArchitecVEngineer with manufacturers instructions and Maintenance
Manuals as indicated in various Divisions.

B. Standards: Comply with NFPA 241 "Standard for Safeguarding Construction,
Alterations, and Demolition Operations," ANSI A10 Series standards for "Safety
Requirements for Construction and Demolition," and NECA Electrical Design Library
"Temporary Electrical Facilities."
1. Electrical Service: Comply with NEMA, NECA, and UL standards and
regulatipns for temporary electric service. Install service in compliance with
NFPA 70 "National Electric Code."
C. Inspections: Arrange for authorities having jurisdiction to inspect and test each
temporary utility before use. Obtain required certifications and permits.
1.4 PROJECT CONDITIONS
A. Temporary Utilities: Prepare a schedule indicating dates for implementation and
termination of each temporary utility. At the earliest feasible time, when acceptable to
the Owner, change over from use of temporary service to use of permanent service.
B. Conditions of Use: Keep temporary services and facilities clean and neat in
appearance. Operate in a safe and efficient manner. Relocate temporary services
and facilities as the Work progresses. Do not overload facilities or permit them to
interfere with progress. Take necessary fire-prevention measures. Do not allow
hazardous, dangerous, or unsanitary conditions, or pUblic nuisances to develop or
persist on-site.
PART 2 PRODUCTS
2.1 MATERIALS
A. General: Provide new materials. If acceptable to the Architect, the Contractor may
use undamaged, previously used materials in serviceable condition. Provide materials
suitable for use intended.
B. Lumber and Plywood: Comply with requirements in Division 6 Section "Rough
Carpentry."
C. Tarpaulins: Provide waterproof, fire-resistant, UI-Iabeled tarpaulins with flame-spread
rating of fifteen (15) or less. For temporary enclosures, provide translucent, nylon-
reinforced, laminated polyethylene or polyvinyl chloride, fire-retardant tarpaulins.
D. Water: Provide potable water approved by local health authorities.
E. Open-Mesh Fencing: Provide 0.120-inch- (3-mm-) thick, galvanized 2-inch (50-mm)
chainlink fabric fencing 6 feet (2 m) high with galvanized barbed-wire top strand and
galvanized steel pipe posts, 1-1/2 inches (38 mm) I.D. for line posts and 2-1/2 inches
(64 mm) I.D. for corner posts.
2.2 EQUIPMENT
A. Owner will provide reasonable amount of electrical power (110 volt, single phase) for
the project. Contractor must make maintain and remove at job's end all connections.
B. General: Provide new equipment. If acceptable to the Architect, the Contractor may

use undamaged, previously used equipment in serviceable condition. Provide
equipment suitable for use intended.
C. Water Hoses: Provide 3/4-inch (19-mm), heavy-duty, abrasion-resistant, flexible
rubber hoses 100 feet (30 m) long, with pressure rating greater than the maximum
pressure of the water distribution system. Provide adjustable shutoff nozzles at hose
discharge.
D. Electrical Outlets: Provide properly configured, NEMA-polarized outlets to prevent
insertion of 110- to 120-Volt plugs into higher voltage outlets. Provide receptacle
outlets equipped with ground-fault circuit interrupters, reset button, and pilot light for
connection of power tools and equipment.
E. Electrical Power Cords: Provide grounded extension cords. Use hard-service cords
where exposed to abrasion and traffic. Provide waterproof connectors to connect
separate lengths of electric cords if single lengths will not reach areas where
construction activities are in progress. Do not exceed safe length-voltage ratio.
F. Temporary Toilet Units: Provide self-contained, single-occupant toilet units of the
chemical, aerated recirculation, or combustion type. Provide units properly vented and
fully enclosed with a glass-fiber-reinforced polyester shell or similar nonabsorbent
material.
G. Fire Extinguishers: Provide hand-carried, portable, Ul-rated, Class A fire
extinguishers for temporary offices and similar spaces. In other locations, provide
hand-carried, portable, Ul-rated, Class ABC, dry-chemical extinguishers or a
combination of extinguishers of NFPA-recommended classes for the exposures.
1. Comply with NFPA 10 and FPA 241 for classification, extinguishing agent, and
size required by location and class pf fire exposure.
PART 3 EXECUTION
3.1 INSTALLATION
A. Use qualified personnel for installation of temporary facilities. locate facilities where
they will serve the Project adequately and result in minimum interference with
performance of the Work. Relocate and modify facilities as required.
B. Provide each facility ready for use when needed to avoid delay. Maintain and modify
as required. Do not remove until facilities are no longer needed or are replaced by
authorized use of completed permanent facilities.
3.2 TEMPORARY UTILITY INSTALLATION
A. General: Engage the appropriate local utility company to install temporary service or
connect to existing service. Where company provides only part of the service, provide
the remainder with matching, compatible materials and equipment. Comply with
company recommendations.

1. Arrange with company and existing users for a time when service can be
interrupted, if necessary, to make connections for temporary services.
2. Provide adequate capacity at each stage of construction.
3. Obtain easements to bring temporary utilities to the site where the Owner's
easements cannot be used for that purpose.
4. Use Charges: Cost or use charges for temporary facilities are not chargeable to
the Owner or Architect. Neither the Owner nor Architect will accept cost or use
charges as a basis of claims for Change Orders.
3.3 SUPPORT FACILITIES INSTALLATION
A. Temporary Enclosures: Provide temporary enclosures for protection of construction, in
progress and completed, from exposure, foul weather, other construction operations,
and similar activities.
1. Where heat is needed and the permanent building enclosure is not complete,
provide temporary enclosures where there is no other provision for containment
of heat. Coordinate enclosure with ventilating and material drying or curing
requirements to avoid dangerous conditions and effects.
2. Install tarpaulins securely, with incombustible wood framing and other materials.
Close openings of 25 sq. ft. (2.3 sq. m) or less with plywood or similar materials.
3. Close openings through floor or roof decks and horizontal surfaces with load-
bearing, wood-framed construction.
4. Where temporary wood or plywood enclosure exceeds 100 sq. ft. (9.2 sq. m) in
area, use Ul-Iabeled, fire-retard ant-treated material for framing and main
sheathing.
B. Temporary Lifts and Hoists: Provide facilities for hoisting materials and employees.
Truck cranes and similar devices used for hoisting materials are considered "tools and
equipment" and not temporary facilities.
C. Temporary Elevator Use: Not allowed.
D. Collection and Disposal of Waste: Collect waste from construction areas and
elsewhere daily. Comply with requirements of NFPA 241 for removal of combustible
waste material and debris. Enforce requirements strictly. Do not hold materials more
than 7 days during normal weather or 3 days when the temperature is expected to rise
above 80 deg F (27 deg C). Handle hazardous, dangerous, or unsanitary waste
materials separately from other waste by containerizing properly. Dispose of material
lawfully.
3.4 SECURITY AND PROTECTION FACILITIES INSTALLATION
A. Except for use of permanent fire protection as soon as available, do not change over
from use of temporary security and protection facilities to permanent facilities until
Substantial Completion, or longer, as requested by the Architect.

B. Barricades, Warning Signs, and Lights: Comply with standards and code
requirements for erection of structurally adequate barricades. Paint with appropriate
colors, graphics, and warning signs to inform personnel and the public of the hazard
being protected against. Where appropriate and needed, provide lighting, including
flashing red or amber lights.
C. Enclosure Fence: Before excavation begins, install an enclosure fence with lpckable
entrance gates. Locate where indicated, and if not indicated enclose the entire site or
the portion determined sufficient to accommodate construction operations. Install in a
manner that will prevent people, dogs, and other animals from easily entering the site,
except by the entrance gates.
1. Provide open-mesh, chainlink fencing as specified herein with posts set in a
compacted mixture of gravel and earth of height required by applicable regulatory
agencies, but in no case less than 6 feet.
D. Security Enclosure and Lockup: Install substantial temporary enclosure of partially
completed areas of construction. Provide locking entrances to prevent unauthorized
entrance, vandalism, theft, and similar violations pf security.
1. Storage: Where materials and equipment must be stored, and are of value or
attractive for theft, provide a secure lockup. Enforce discipline in connection with
the installation and release of material to minimize the opportunity for theft and
vandalism.
E. Environmental Protection: Provide protection, operate temporary facilities, and
conduct construction in ways and by methods that comply with environmental
regulations, and minimize the possibility that air, waterways, and subspil might be
contaminated or polluted or that pther undesirable effects might result. Avoid use of
tools and equipment that produce harmful noise. Restrict use of noise-making tools
and equipment to hours that will minimize complaints from persons or firms near the
site.
3.5 WINDSTORM LOSS PREVENTION
A. All insulation and roofing materials shall be permanently fastened to the roof deck as it
is applied.
B. All construction materials shall be adequately protected against wind damage during
storage.

SECTION 01550 - ACCESS AND SETUP
PART 1 GENERAL
1.1 DESCRIPTION
A. Work Included: This specification section covers the allowable access location and
setup procedures. Also covered are the phasing requirements for the installation of the
new roofing.
B. Related Work:
1. The contractor shall submit engineering documentation indicating that any
scaffolding or hoist equipment used on this job can operate within the project
lifting and load parameters for the equipment design.
1.2 QUALITY ASSURANCE
A. Use adequate numbers of skilled workmen whp are thoroughly trained and
experienced in the crafts and who are completely familiar with the specified
requirements and the methods needed for the proper performance of the work of this
Section.
B. Only qualified personnel may use equipment or give signals to equipment operators.
C. Operate all equipment within equipment design standards.
D. Photograph all surfaces that are to be used for storage. Photographs need to be of
sufficient clarity to indicate the condition of the storage surface and any adjacent walls,
streets or sidewalks. Provide one set of the photographs to the Owner prior to the start
of work. Contractor shall restore all affected surfaces to the same condition at job's
end.
1.3 EQUIPMENT HANDLING
A. Schedule equipment arrival with Building Staff so as not to interfere with normal facility
operations.
B. Do not block any roads or entrances without 72 hours of notification and Building Staff
approval.
C. Secure all delivered equipment and setup material against theft or vandalism.

PART 3 EXECUTION
3.1 PHASING REQUIREMENTS
A. The major phases of the project shall take place in a manner so that the roof is
finished on a daily basis and the roof is watertight. Do not phase construct any portion
of the roof without permission from Architect.

3.2 SITE ACCESS
A. Site access locations are shown on the drawings. The Contractor must stay within
these boundaries.
B. Access to the site may be restricted by Building Events. Coordinate access
requirements with the Building Staff.
C. Limited amounts of water and electricity shall be provided by the Owner.
D. Do npt block or lock building exits or entrances without permission from the Building
Staff.
E. Setup areas must be kept clean or screened off.
F. Interior access will not be allowed.
G. If access openings must be cut to install new materials, cpordinate with Building Staff.
Obtain utility locate prior to cutting into any concealed spaces.
3.3 INTERIOR STORAGE AND ACCESS
A. No interior access or storage is allowed. The one exception is for work that must be
performed from the inside such as drain installation.
3.4 COMPLIANCE
A. Do not permit materials not complying with provisions of this Section to be brought
onto or stored at the job site.
B. Promptly remove non-complying materials and replace with materials meeting the
requirements of this Section.
3.5 DISPOSAL CHUTE
A. A disposal chute must be used or a tarp that completely covers the side of the

PART 1 GENERAL
1.1 DESCRIPTION
A. Work Included: This specification section covers the phasing, coordination and
protection considerations that must be taken by the Contractor in order to protect the
client in the building.
1.2 PERSONNEL
A. Provide a single point of primary contact for the project. This person shall coordinate
and notify the Client and Owner as to concerns. Likewise and concerns from the Client
or Owner shall be relayed to this party first.
B. Provide a ppint of contact on the roof for the Client and Owner so that at emergencies
can be acted on immediately.
1.3 PHONE NUMBERS
A. Submit emergency contact phone numbers of the Primary Contact, the Roof Top
Contact and a number for emergency after hour problems.

PART 3 EXECUTION
3.1 GENERAL COORDINATION
A. A coordination meeting will be held to schedule the shutdown of any mechanical

day before any scheduled work indicating that work is planned for the next day.

PART 1 GENERAL
1.1 RELATED DOCUMENTS
A. Drawings and general provIsions of the Contract, including General and
Supplementary Conditions and other Division 1 Specification Sections, apply to this
Section.
1.2 SUMMARY
A. This Section includes administrative and procedural requirements governing the
Contractor's selection of products for use in the Project.
B. Related Sections: The following Sections contain requirements that relate to this
Section:
1. Division 1 Section "Reference Standards and Definitions" specifies the
applicability of industry standards to products specified.
2. Division 1 Section "Submittals" specifies requirements for submittal of the
Contractor's Construction Schedule and the Submittal Schedule.
1.3 DEFINITIONS
A. Definitions used in this Article are not intended to change the meaning of other terms
used in the Contract Documents, such as "specialties," "systems," "structure,"
''finishes,'' "accessories," and similar terms. Such terms are self-explanatory and have
well-recognized meanings in the construction industry.
1. "Products" are items purchased for incorppration in the Work, whether purchased
for the Project or taken from previously purchased stock. The term "product"
includes the terms "material," "equipment," "system," and terms of similar intent.
a. "Named Products" are items identified by the manufacturer's product name,
including make or model number or other designation, shown or listed in the
manufacturer's published product literature, that is current as of the date of
the Contract Documents.
2. "Materials" are products substantially shaped, cut, worked, mixed, finished,
refined or otherwise fabricated, processed, or installed to form a part of the Work.
3. "Equipment" is a product with operational parts, whether motorized or manually
operated, that requires service connections, such as wiring or piping.

1.4 SUBMITTALS
A. Product List: Use Submittal Register, Section 01340.
1.5 QUALITY ASSURANCE
A. Source Limitations: To the fullest extent possible, provide products of the same kind
from a single source.
B. Compatibility of Options: When the Contractor is given the option of selecting between
2 or more products for use on the Project, the product selected shall be compatible
with products previously selected, even if previously selected products were also
options.
1.6 PRODUCT DELIVERY, STORAGE AND HANDLING
A. Deliver, store, and handle products according to the manufacturer's recommendations,
using means and methods that will prevent damage, deterioration, and loss, including
theft.
1. Schedule delivery to minimize long-term storage at the site and to prevent
overcrowding of construction spaces.
2. Coordinate delivery with installation time to assure minimum holding time for
items that are flammable, hazardous, easily damaged, or sensitive to
deterioration, theft, and other losses.
3. Deliver products to the site in an undamaged condition in the manufacturer's
original sealed container or other packaging system, complete with labels and
instructions for handling, storing, unpacking, protecting, and installing.
4. Inspect products upon delivery to ensure compliance with the Contract
Documents and to ensure that prOducts are undamaged and properly protected.
5. Store products at the site in a manner that will facilitate inspection and
measurement of quantity or counting of units.
6. Store heavy materials away from the Project structure in a manner that will not
endanger the supporting construction.
7. Store products subject to damage by the elements above ground, under cover in
a weathertight enclosure, with ventilation adequate to prevent condensation.
Maintain temperature and humidity within range required by manufacturer's
instructions.
PART 2 PRODUCTS
2.1 PRODUCT SELECTION AND QUALITY STANDARD
A. Equivalent products will be acceptable if properly submitted as a substitution or
additional manufacturer and approved by the Architect prior to bidding, in accordance
with the Instructions to Bidders document herein.

B. A request constitutes a representation that the Contractor:
1. Has investigated proposed product and determined that it meets or exceeds the
quality level of the specified product.
2. Will provide the same warranty for the Substitution as for the specified product.
3. Will coordinate installation and make changes to other Work which may be
required for the Wprk to be complete.
C. Asbestos: No product shall contain asbestos.
D. Performance Specification Requirements: Where Specifications require compliance
with performance requirements, provide products that comply with these requirements
and are recommended by the manufacturer for the appli<;ation indicated.

products in the applications indicated. Anchor each product securely in place,

1.3 SUBSTANTIAL COMPLETION
A. Preliminary Procedures: Before requesting inspection for certification of Substantial
Completion, complete the following. List exceptions in the request.
1. In the Application for Payment that coincides with, or first follows, the date
Substantial Completion is claimed, show 100 percent completion fpr the pprtion
of the Work claimed as substantially complete.
a. Include supporting documentation for completion as indicated in these
Contract Documents and a statement showing an accounting of changes to
the Cpntract Sum.
b. If 100 percent completion cannot be shown, include a list of incomplete
items (Contractor's Punch List), the value of incomplete construction, and
reasons the Work is not complete.
2. Advise the Owner of pending insurance changeover requirements.
3. Submit specific warranties, workmanship bpnds, maintenance agreements, final
certifications, and similar documents.
4. Obtain and submit releases enabling the Owner unrestricted use of the Work and
access to services and utilities. Include occupancy permits, operating
certificates, and similar releases.

5. Submit record drawings, maintenance manuals, final project photographs,
damage or settlement surveys, properly surveys, and similar final record
information.
6. Complete final cleanup requirements, including touchup painting.
7. Touch up and otherwise repair and restore marred, exposed finishes.
B. Inspection Procedures: On receipt of a request for inspection, the Architect will either
proceed with inspection or advise the Contractor of unfilled requirements. The
Architect will prepare the Certificate of Substantial Completion following inspection or
advise the Contractor of construction that must be completed or corrected before the
certificate will be issued (Architect's Punch List).
1. The Architect will repeat inspectipn when requested and assured that the Work is
substantially complete. If a third inspection is required, cost to cover the
Architect's and Construction Manager's time and associated expenses will be
deducted from Contractor's payment.
2. Results of the completed inspection will form the basis of requirements for final
acceptance.
1.4 FINAL ACCEPTANCE
A. Preliminary Procedures: Before requesting final inspection for certification of final
acceptance and final payment, complete the following. List exceptions in the request.
1. Submit the final payment request with releases and supporting documentation
not previously submitted and accepted. Include insurance certificates for
products and completed operations where required.
2. Submit an updated final statement, accounting for final additional Changes to the
Contract Sum.
3. Submit a signed copy of the Architect's final inspection list of items to be
completed or corrected, endorsed and dated by the Architect. The signed copy
of the list shall state that each item has been completed or otherwise resolved for
acceptance and shall be endorsed and dated by the Architect.
B. Reinspection Procedure: The Architect will reinspect the Work upon receipt of notice
that the Work, including inspection list items from earlier inspections, has been
completed, except for items whose completion is delayed under circumstances
acceptable to the Architect.
1. Upon completion of reinspection, the Architect will prepare a certificate of final
acceptance. If the Work is incomplete, the Architect will advise the Contractor of
Work that is incomplete or of obligations that have not been fulfilled but are
required for final acceptance.
2. If necessary, reinspection will be repeated once, and if a subsequent visit is
required, funds associated with the Architect's and Construction Manager's
inspection will be deducted from the Contractor's payment.

1.5 RECORD DOCUMENT SUBMITTALS
A. General: Do not use record documents for construction purposes. Protect record
dpcuments from deterioration and loss in a secure, fire-resistant location. Provide
access to record documents for the Architect's reference during normal working hours.
B. Record Drawings: "Mylar" sepias of Contract Drawings. Mark the set to show the
actual installation where the installation varies substantially from the Work as originally
shown. Mark which drawing is most capable of showing conditions fully and
accurately. Where Shop Drawings are used, record a cross-reference at the
corresponding location on the Contract Drawings. Give particular attention to
concealed elements that wpuld be difficult to measure and record at a later date.
1. Contractor shall pay all reproduction costs including sepias and prints.
2. Mark new information that is important to the Owner but was not shown on
Contract Drawings or Shop Drawings.
3. Note related change-order numbers where applicable.
4. Organize record drawing sheets into manageable sets. Bind sets with durable-
paper cover sheets; print suitable titles, dates, and other identification on the
cover of each set.
C. Record Specifications: Maintain one complete copy of the Project Manual, including
addenda. Include with the Project Manual one copy of other written construction
documents, such as Change Orders and modifications issued in printed form during
construction.
1. Mark these documents to show substantial variations in actual Work performed in
comparison with the text of the Specifications and modifications.
2. Give particular attention to substitutions and selection of options and information
on concealed construction that cannot otherwise be readily discerned later by
direct observation.
3. Note related record drawing information and Product Data.
4. Upon completion of the Work, submit record Specifications to the Architect for
the Owner's records.
D. Record Product Data: Maintain one copy of each Product Data submittal. Note
related Change Orders and markup of record drawings and Specifications.
1. Mark these documents to show significant variations in actual Work performed in
comparison with information submitted. Include variations in products delivered
to the site and from the manufacturer's installation instructions and
recommendations.
2. Give particular attention to concealed products and portions of the Work that
cannot otherwise be readily discerned later by direct observation.

3.1 CLOSEOUT PROCEDURES
A. Operation and Maintenance Instructions: Arrange for each Installer of equipment that
requires regular maintenance to meet with the Owner's personnel to provide instruction
in proper operation and maintenance. Provide instruction by manufacturer's
representatives if installers are not experienced in operation and maintenance
procedures.
3.2 FINAL CLEANING
A. General: The General Conditions require general cleaning during construction.
Regular site cleaning is included in Division 1 Section "Cpnstruction Facilities and
Temporary Controls."
B. Cleaning: Employ experienced workers or professional cleaners fpr final cleaning.
Clean each surface or unit to the condition expected in a normal, commercial building
cleaning and maintenance program. Comply with manufacturer's instructions.
1. Complete the following cleaning operations before requesting inspection for
certification of Substantial Completion.
a. Remove labels that are not permanent labels.
b. Vacuum clean carpeted surfaces and similar soft surfaces and mop and/or
wax as required all hard surface flooring.
c. Clean transparent materials, including mirrors and glass in doors and
windows. Remove glazing compounds and other substances that are
noticeable vision-obscuring materials. Replace chipped or broken glass and
other damaged transparent materials.
d. Clean exposed exterior and interior hard-surfaced finishes to a dust-free
condition, free of stains, films, and similar foreign substances. Restore

clean. Vacuum carpeted surfaces.
e. Wipe surfaces of mechanical and electrical equipment. Remove excess
lubrication and other substances. Clean plumbing fixtures to a sanitary
condition. Clean light fixtures and lamps.
f. Clean the site, including landscape development areas, of rubbish, litter, and
other foreign substances. Sweep paved areas broom clean; remove stains,
spills, and other foreign deposits. Rake grounds that are neither paved nor
planted to a smooth, even-textured surface.
C. Removal of Protection: Remove temporary protection and facilities installed for
protection of the Work during construction.
D. Compliance: Comply with regulations of authorities having jurisdiction and safety
standards for cleaning. Do not burn waste materials. Do not bury debris or excess
materials on the Owner's property. Dp not discharge volatile, harmful, or dangerous
materials into drainage systems. Remove waste materials from the site and dispose of
lawfully.
1. Where extra materials of value remain after completion of associated Work, they
become the Owner's property. Dispose of these materials as directed by the
Owner.

B. Special warranties are written warranties required by or incorporated in the Contract
Documents, either to extend time limits provided by standard warranties or to provide
greater rights for the Owner.

1.4 WARRANTY REQUIREMENTS
A. Related Damages and Losses: When correcting failed or damaged warranted
construction, remove and replace construction that has been damaged as a result of
such failure or must be removed and replaced to provide access for correction of
warranted construction.
B. Reinstatement of Warranty: When Work covered by a warranty has failed and been
corrected by replacement or rebuilding, reinstate the warranty by written endorsement.
The reinstated warranty shall be equal to the original warranty with an equitable
adjustment for depreciation.
1.5 SUBMITTALS
A. Submit written warranties to the Architect prior to the date certified for Substantial
Completion. If the Architect's Certificate of Substantial Completion designates a
commencement date for warranties other than the date of Substantial Completion for
the Work, or a designated portion of the Work, submit written warranties upon request

SECTION 02070 - SELECTIVE DEMOLITION
PART 1 GENERAL
1.1 DESCRIPTION
A. Work included: Demolish and rempve frpm the site those items so indicated on the
Drawings and specified herein.
B. The Work speCified herein applies to the roof replacement project at the Pitkin County
Health & Human Service Building. The major demolition work items are as follows:
1. Replace Roofing Roof Deck Type 1, 2 & 3:
a. Remove down to the substrate and dispose of the rppfing and sheet metal
flashings not designated to remain.
b. Remove existing wood batten strips on Roof Deck 2.
c. Remove and dispose of any items not designated to remain so as to
facilitate with the installation of the new roofing system.
d. Lift and reset mechanical equipment or other items as necessary to install
the new roofing system.
2. General:
a. During the work on the ropf, cpllect material as it is removed and dispose of.
Take caution that wind does npt spread material.
b. Make sure demolished materials do not plug roof drains.
c. Make sure wind dpes not broadcast adhesives and asphalt.

PART 3 EXECUTION
3.1 SURFACE CONDITIONS
A. General:
1. Prior to start of demolition, carefully study the Drawings and these Specifications.
a. In company with the Architect/Engineer and Owner, visit the site and verify
the extent of demolition to be performed under this Contract.
B. Using only the means and equipment approved for this purpose by the governmental
agencies having jurisdiction, demolish and cpmpletely remove from the jobsite the
existing constructipn designated to be removed.
C. Shut off, cap, and otherwise protect existing public utility lines in accordance with the
requirements of the publiC agency or utility having jurisdiction.
D. Demolished material shall be considered to be property of the Contractor and shall be

SECTION 06150 - ROUGH CARPENTRY
PART 1 GENERAL
1.1 DESCRIPTION
A. Work Included: Provide wood, nails, bolts, screws, framing anchors and other rough
hardware, and other items needed and perform rough carpentry for the construction
shown on the Drawings, as specified herein, and as needed for the complete and
proper installation.
B. Related Work: Documents affecting work in this Section include, but are not
necessarily limited to, General Conditipns, Supplementary Conditions, and Sections in
Division 1 of these Specifications.
C. The work is primarily associated with the installation of new wood nailers and curbs. All
wood shall be rot (AWPA C9 for plywpod and AWPA C31 for sized lumber) and fire
preservative treated (Non-Com).
1.2 QUALITY ASSURANCE
A. Use adequate numbers of skilled workmen who are thoroughly trained and
experienced in the crafts and who are completely familiar with the specified
requirements and the methods needed for the proper performance of the work of this
Section.
B. Codes and Standards: In addition to complying with the pertinent codes and
regulations of governmental agencies having jurisdiction unless otherwise specifically
directed or permitted by the Architect comply with:
1. "Product Use Manual" of the Western Wood Products Association for the
selection and use of products included in that manual.
2. "Plywood Specification and Grade Guide" of the American Plywood Association.
1.3 PRODUCT HANDLING
A. Comply with pertinent provisions of Section 01300.
B. Deliver the materials to the job site, in a safe manner, out of the way of traffic, and
shored up off the ground surface.
C. Identify framing lumber as to grades, and store each grade separately from other
grades.
D. Protect materials with adequate waterproof wrapping.
E. Use extreme care in off loading of lumber to prevent damage, splitting, and breaking of
materials.

2.1 GRADE STAMPS
A. Identify framing lumber by the stamp of the Western Pine Inspection Bureau, or such

2.2 MATERIALS

2. Plywood Sheathing: Structural II, CDX, exterior; or standard sheathing with

made a part of all the construction tp take place at the project.
4. Steel Items: Comply with ASTM A7 or ASTM A36. Use galvanized steel in
exterior locations.
5. Machines Bolts: Comply with ASTM A307.
6. Lag Bolts: Comply with Fed Spec FF-B-561.
7. Nails: Use common except as otherwise noted. Comply with Fed Spec FF-N-1.
Use galvanized at exterior locations.
2.3 OTHER MATERIALS
A. Provide other materials, not specifically described but required for a complete and
proper installation, as selected by the Contractor subject to the approval of the
Architect.
PART 3 EXECUTION
3.1 SURFACE CONDITIONS
A. Examine the areas and conditions under which work of this Section will be performed.

3.2 DELIVERIES
A. Stockpile materials sufficiently in advance of need to assure their availability in a timely
manner for this work.
B. Make as many trips to the job site as are needed to deliver materials of this Section in
a timely manner to ensure orderly progress of the Work.
3.3 COMPLIANCE
A. Do not permit materials not complying with provisions of this Section to be brought
onto or stored at the job site.
B. Promptly remove non-complying materials and replace with materials meeting the
requirements of this Section.
3.4 WORKMANSHIP
A. Produce joints which are tight, true, and well nailed, with members assembled in
accordance with the Drawings and with pertinent codes and regulations.
B. Carefully select members. Select individual pieces so that knots and obvious defects
will not interfere with placing bolts or proper nailing, and will allow making of proper
connections. Cut out and discard defects which render a piece unable to serve its
intended function. Lumber may be rejected by the Architect, whether or not it has
been installed, for excessive warp, twist, bow, crook, mildew, fungus, or mold, as well
as for improper cutting and fitting.
C. Do not shim any component.
3.5 GENERAL FRAMING
A. In addition to framing operation normal to the fabrication and erection as indicated on
the Drawings, install wood blocking and backing required for the work of other trades.
B. Set horizontal and sloped members with crown up.
C. Do not notch, cut, or bore members for pipes, ducts, or conduits or for other reasons
except as shown on the Drawings or as specifically approved in advance by the
Architect.
D. Make bearings full unless otherwise indicated on the Drawings.
E. Finish bearing surfaces on which structural members are to rest so as to give sure and
even support.
F. Where framing members slope, cut or notch the ends as required to give uniform
bearing surface.
3.6 BLOCKING AND BRIDGING
A. Install blocking as required to support items of finish and to cut off concealed draft
openings, both vertical and horizontal, between ceiling and floor areas.

3.7 ALIGNMENT
A. Nailing:
1. Use only common wire nails or spikes, except where otherwise specifically noted

2. Provide penetration into the piece receiving the point of not less than 1/2 the
length of the nail or spike, provided, however, that 16d nails may be used to

SECTION 07110 - SINGLE-PLY ROOFING
PART 1 GENERAL
1.1 DESCRIPTION: Furnish the labor, administration, materials and equipment to integrate the
work into the overall building system so as to provide a leak free, EPDM (Ethylene
Propylene Diene Monomer) elastomeric roof system. The system is an assembly of
components including the insulation, roofing membrane, metal flashings, and all related
parts necessary to complete the assembly.
1.2 Replace the existing roofing in the Roof Type 1 and 3 areas with new fully adhered EPDM
roofing systems.
1.3 APPLICATOR'S QUALIFICATIONS
A. Prior to the Notice of Award, the Contractor shall submit evidence that his company is
an approved roofer for the membrane material manufacturer providing the membrane
and has five years continuous successful experience in applying EPDM roofing
systems.
1.4 QUALITY ASSURANCE
A. A roofing consultant has been engaged to provide part time inspection of materials and
workmanship. The Contractor shall provide a minimum of one weeks notice to the
Architect/Engineer prior to the start of rpofing operations so that such services can be
scheduled.
B. Except as modified and supplemented herein, follow the published requirements and
written recommendations of the EPDM membrane and other material manufacturers.
Concerning methods of application industry standards apply pnly when this contract
does not address the matter. Industry Standards shall be pre-c/efined in the "NRCA
(National Roofing Contractors Association) Manual of Roofing and Waterproofing".
1.5 SUBMITTALS
A. When submitting manufacturers literature, highlight all items pertaining to this project.
See Division 1 for other items.
B. Submit to the Architect/Engineer the items listed in the Submittal Register found in
Division 1, and any other pertinent items not listed but necessary to complete the
construction.
C. Submit current manufacturers literature fpr all items shown above. Also submit
literature for any other items which may have a direct bearing on the quality of the
finished roofing.
D. Provide certification that materials meet the ASTM and Federal Specifications.
1.6 MATERIAL STORAGE AND HANDLING
A. Where applicable, the Contractor shall store material in accordance with the material
manufacturer's recommendation as to temperature.

B. All insulation and water sensitive products shall be protected from the elements at all
times. Such materials are to be stored in an enclosure or securely covered with a
waterproof tarp; the plastic wrappers on the insulation products shall not be used as a
means of weather protection.
C. All materials shall be labeled for ready identification. Labels shall include the name of
the manufacturer and product description.
D. The Contractor shall store only that material on the roof that can be used in one day.
Material stored on the roof shall be scattered so as not to apply a concentrated load to
the roofing system (greater than 20 pst). No materials shall be stored on new roofing
unless a protective layer of plywood with a foam insulation base is used.
E. The Contractor shall use extreme care when transporting materials to the roof surface.
Damaged materials shall not be installed and must be removed from the job site.
F. The Contractor shall provide all required storage enclosures and safeguards.
G. Materials shall be delivered in their original, unopened containers, clearly labeled. No
materials shall be stored below 40 degrees F. Should any materials be stored below
this temperature, they may not be installed until they are restored to a temperature
greater than this.
H. No materials shall be stored on surfaces with slopes greater than Yo" per foot.
I. Extreme caution must be used to properly secure the materials from wind.
1.7 ENVIRONMENTAL REQUIREMENTS
A. Roofing materials shall not be installed in rain or snow. Roofing materials shall not be
applied when there is heavy dew or frost on the roofing area. Application will not be
allowed when the forecasted daily high temperature is less than 50 degrees or the
wind speed is greater than 15 MPH.
B. Do not heat the solvent based materials with an open flame in order to bring to a
proper application temperature. Store materials in a heated location overnight if
necessary.
C. Provide drum heaters to properly maintain adhesive materials.
1.8 PROTECTION
A. Adjacent surfaces shall be protected from stain and disfigurement during the
demolition and application of roofing materials.
B. The Contractor shall keep the building interior protected from the elements at all times.
Representatives from the Contractor shall be available in one hours notice should an
emergency occur.
1.9 DEFECTS
A. Conditions which may be detrimental to the completion or performance of the specified
work shall be reported in writing to the Architect/Engineer prior to commencing such

PART 3 EXECUTION
3.1 GENERAL
A. Deliver all materials to the site in a dry condition with labels intact. Either enclose
materials in a trailer or cover with a waterproof tarpaulin to protect from the weather
and moisture.
B. For materials delivery in quantity to the site, obtain and submit a certification that the
materials meet the required specification.
C. Work so that each area of the membrane is completed the same day it is begun. This
includes all base flashings.
D. Two, thirty-gallon per minute puddle type pumps must be available on the job in case
water must be removed from the roof surface on an emergency basis.
E. The workers will not have access to the interior of the building unless it is related to

3.2 OPERATIONAL PROCEDURES
A. Install tempprary tie-ins and water cut-offs at the end pf each workday. Remove all
temporary tie-ins at the beginning of each workday.
B. Except for expedient temporary work, do not roof during inclement weather as defined
in the General Section of the Specification. Remove all temporary work prior to
installing permanent components and materials.
C. Confine equipment, storage of materials, debris, operations and movement of workers
within the limits established for access at the pre-construction conference.
D. Protect the building, all contents, and surrounding areas from damage, and building
occupants from injury during the work. Do not affect the normal conduct of operations
of the personnel in the building. Repairs must be made to all damage caused by lack
of such protection to the Owner's satisfaction. If they determine that the repairs are
beyond the Contractor's ability, then they will have the repairs performed by others and
may charge the Contractor for these repairs.
E. Remove daily all debris from the demolition and installation of the roof.
F. When wheeled or other traffic over the partially or fully completed roofing is
unavoidable, use adequate plywood protection for the membrane.
G. Provide fifteen pound fire extinguishers at the point of application of any solvent based
materials. The extinguishers should be Type A, B, C. No open flames shall be
allowed around any of the solvent based products.
3.3 DEMOLITION
A. Remove the existing coating system as detailed in Section 02070.
B. If conditions are uncovered that would be detrimental to the application of the specified
work, immediately notify the representative of the Owner.
3.4 INSULATION INSTALLATION
A. Cut the insulation to fit snugly around penetrations and at the perimeters. No
insulation gaps of over 1/4" shall be allowed. If gaps greater than this are created,
then they shall be eliminated using trimmed pieces of isocyanurate insulation glued in
place.
B. Insulation boards shall be fully adhered with the 4' dimension staggered if possible.
C. Follow additional applicable requirements of the roof insulation manufacturer and
membrane manufacturer. No wet insulation shall be included in the final construction.
3.5 MEMBRANE INSTALLATION
A. Except as modified and supplemented herein, apply membrane to meet the
requirements and recommendations of the membrane manufacturer.

B. Surfaces which have been contaminated by bitumen or other products which are not
compatible with the membrane, flashings, or adhesives shall be cleaned prior to the
application of any roofing materials.
C. Lift all mechanical unit and other roof top items as necessary to facilitate the proper
installation of the membrane and flashings. Unit must be reset and brought back to
proper functioning condition as soon as possible after the application of the roofing
system. HVAC and other mechanical units require 96 hours of written notice from the
Contractor to the Owner before approval can be given for this type of work.
D. Over the new insulation system, unroll the EPDM sheet without stretching. Allow
sheet to relax for 1/2 hour pripr to seaming operations.
E. Work with largest sheets possible.
F. Use seam tape at all field formed rubber to rubber membrane seams unless indicated
otherwise by manufacturer.
G. After waiting at least two hours, but prior to leaving the job for the day, the Contractor
shall apply lap sealant as recommended by the manufacturer.
3.6 FLASHING INSTALLATION
A. Clean all surfaces to be flashed prior to the application of any new materials.
B. Bond the specified flashing materials to the substrate in such a manner as to avoid
loose spots, sags, and wrinkles. Flash all items in the configuration shown on the
Drawings.
3.7 SEALANT
A. Clean the substrate as best possible so no contaminants such as bitumen and dust
remain.
B. If required, prime the surface with the primer recommended by the manufacturer.
Also, use sealant backing if required by manufacturer.

PART 1 GENERAL
1.1 DESCRIPTION
A. Furnish and install Synthetic Slate - Class A Tile Roofing System as specified in the
Contract Documents and roof plan.
B. Furnish and install this Synthetic Slate - Class A Tile Roof System in strict accordance
with specifications and drawings approved by EcoStar.
C. New Simulated Slate Tile shall be installed over the Roof Type 2 areas.
1.2 QUALITY ASSURANCE
A. To qualify for an EcoStar Gold Star Warranty, an authorized EcoStar Gold Star
Applicatpr must install system.
B. There shall be no deviation made from this specification without written approval from
EcoStar prior to the start of the roofing project.
C. For an EcoStar Gold Star Warranty, upon completion of the installation, an inspection
must be conducted by a Technical Representative of EcoStar to ascertain that the
roofing system has been installed according to EcoStar's most current published
specifications and details. This inspection is not intended to be a Final Inspection for
the benefit of the Owner, but for the benefit of EcoStar to determine whether a
warranty shall be issued.
D. It is the authorized Gold Star roofing applicator's responsibility tp adhere to all
applicable building codes (local and national) and to have or acquire the appropriate
licenses and permits for the roofing system installation requirements and limitations in
their local areas applicable at the time of the bid.

PART 3 EXECUTION
3.1 SUBSTRATE PREPARATION
A. Remove all existing roofing components, wood battens and loose underlayment felt
prior to setting new underlayment.
3.2 INSTALLATION
A. Flashing & Sheet Metal - Install sheet metal and flashing metal in all valleys and
where required on projections furnish as detailed.
B. Where required, install metal starter strip at all eaves and roof edges. Furnish metal
as detailed.
C. Underlayment.
1. Set new underlayment plies in a shingle fassion with 3" side laps.
D. Synthetic Slate - Class A Tile Installation
1. After installing underlayment and before installing the Synthetic Slate - Class A
Tiles, clean the surface of debris and dirt.
2. Slate shall be blended between pallets before they are installed on the roof.
3. Beginning at the eave, install a layer of Synthetic Slate - Class A tiles gapped a
minimum of 3/8" between tiles and any projections, with two roofing fasteners per
tile (in location shown on tiles). This layer of tiles will become the starter row.
Install another layer of tiles in the same manner as the first with the exception of
the secpnd layer having a Yo tile offset to the first layer.
4. Continue installing tiles per the chosen exposure.
5. Care must be taken to place tiles so color variations are evenly distributed over
the entire roof area. Tiles between bundles and pallets must be shuffled to
insure even distribution of color variations. "Patchy" or "Blotching" in appearance
is not acceptable and the EcoStar Authorized Gold Star applicator will be
required to correct. It is recommended that work not begin until all EcoStar
materials have been delivered to the job site.
6. It is the responsibility of the Gold Star Authorized Applicator to insure that all
Synthetic Slate - Class A Tiles are bent back in a downward curve prior to
installation. Do not install tiles with an upward curve.
7. With an open valley design leave a minimum of 2" on each side of the center of
the valley exposed and uncovered by the roof tiles. A V-Style or W-Style Valley
metal may be used.
8. Minimum Fastening - No less than 2 EcoStar Fasteners per tile shall be used
with a minimum length of 1-1/2".
9. CAUTION: When using a pneumatic nailer care should be taken to insure that

nails are not over driven causing the tiles to curl upward. If tiles have been
installed with over- driven nails causing the ends of the tile to curve upward, tiles
will never lay flat. Over-driven tiles must be removed and re-nailed properly.
10. Install EcoStar Attic Guard ridge vent system per the manufacturer's application
instructions, and then place the Synthetic Slate - Universal Hip/Ridge Tile over
the ridge vent. A minimum 2.5" stainless steel, hand-driven EcoStar fastener
should be used on a ventilated hip/ridge to fasten the hiplridge tile to the deck. A
minimum 2" stainless steel, hand-driven EcoStar fastener should be used on an
unventilated hip/ridge to fasten the hip/ridge tile to the deck. Place fasteners in
the location marked on the tile. Synthetic Slate - Universal Hip/Ridge Tile must
be installed with 6" exposure.
11. Synthetic Slate - Class A Tiles may not be installed if the tiles have been stored
in temperatures lower than 450 If tiles have been stored in temperatures below
450 F., tiles must be brought back to an ambient material temperature of 450 F.
As the temperature rises Synthetic Slate - Class A will expand beyond the
designed installation pattern if the product is installed while cold or frozen.
12. Do not install tiles directly adjacent to each other. A minimum gap of 3/8" must
be maintained between installed tiles.
13. After the initial row of tiles has been installed, it is recommended that a chalk line
be placed parallel to the roof edge and running perpendicular to the first row of
tiles. This chalk line will insure that the tiles stay true and plumb to the roof edge
throughout installation.
14. Care must be taken to minimize foot traffic over completed areas of the roof.
Synthetic Slate - Class A tiles will show mud and dirt and cause appearance
problems. The removal of dirt and debris is the responsibility of the applicator.
15. Synthetic Slate - Class A Tiles can be slippery when wet, caution should be
exhibited with early morning dew and after rain. EcoStar suggests the use of toe
boards and OSHA approved harnesses and safety equipment at all time.
16. Upon completion of the roof system installation, inspect and remove all debris
from roof, sweep clean and wash with a mild, non-bleaching detergent.

SECTION 07600 - SHEET METAL FLASHING AND TRIM
PART 1 GENERAL
1.1 DESCRIPTION
A. Wprk included: Provide flashings and sheet metal not specifically described in other
Sections pf these Specifications but required to prevent penetratipn of water through
the exterior shell ofthe building.
B. This Section covers sheet metal accessories needed for the project but are not sold by
the roof system manufacturer.
C. Related work: Documents affecting work of this Section include, but are not
necessarily limited to, General Conditions, Supplementary Conditions, and Sections in
Division 1 of these Specifications.
1.2 QUALITY ASSURANCE
A. Use adequate numbers of skilled workmen who are thoroughly trained and
experienced in the necessary crafts and who are completely familiar with the specified
requirements and the methods needed for proper performance of the Work of this
Section.
B. In addition to complying with pertinent codes and regulations, comply with pertinent
recommendations contained in current edition of "Architectural Sheet Metal Manual"
pUblished by the Sheet Metal and Air Conditioning Contractprs National Association
(SMACNA).
C. Standard commercial items may be used for flashing, trim, reglets, and similar
purposes provided such items meet or exceed the quality standards specified.
1.3 SUBMITTALS
A. When submitting manufacturer's literature, highlight all items pertaining to this project.
B. Submit to the Roofing Consultant the manufacturer's latest pUblished materials and
samples along with any other items necessary for construction.
C. Submit current manufacturer's literature for all items proposed to be prpvided under
this Section.
D. Provide certification that materials meet the state ASTM and Federal specifications.
E. Shop Drawings in sufficient detail to show fabrication, installation, anchorage, and
interface of the work of this Section with the work of adjacent trades.
F. Manufacturer's recommended installation procedures which, when approved by the
Roofing Consultant, will become the basis for accepting or rejecting actual installation
procedures used on the Work.

1.4 PRODUCT HANDLING
A. Comply with pertinent sections of Division 7.
PART 2 PRODUCTS
2.1 MATERIALS AND GAGES
A. Where sheet metal is required, and no material or gage is indicated on the Drawings,
provide the highest quality and gage commensurate with the referenced standards.
2.2 GALVANIZED IRON
A. Provide sheet metal or sheet iron of a standard brand of open-hearth copper-bearing
steel, copper-molybdenum iron, or pure iron sheets.
B. Zinc coating:
1. Where galvanizing is required, provide zinc coating by hot-dip galvanize to all
surfaces.
C. Weight:
1. Provide not less than 1-1/4 oz. per sq. ft., nor more than 1-1/2 oz. per sq. ft., to
surfaces required to be galvanized.
2. Comply with ASTM A93.
2.3 NAilS, RIVETS AND FASTENERS
A. Use only soft iron rivets having rust-resistive coating, galvanized nails, and cadmium
plated screws and washers in connection with galvanized iron and steel.
2.4 ALUMINUM
A. Where aluminum is shown, use flat stock of 6063-T5 alloy in thicknesses indicated.
Use appropriate fasteners so as not to create galvanic action.
2.5 FLUX
A. Where flux is required, use raw muriatic acid.
2.6 SOLDER
A. Where solder is required, comply with ASTM B32.
2.7 SCREWS
A. Provide new stainless steel screw fasteners at wall panels where existing screws are
to be removed for installation of new flashings and counterflashings. Screw shall be of
same type and size and shall integral washer flanges with neoprene washers.

type of material as that to be fastened. Do not use screws smaller than #10.
2.8 OTHER MATERIALS
A. Provide other materials, not specifically described but required for a complete and
proper installation, as selected by the Contractor subject to the approval of the Roofing
Consultant.
PART 3 EXECUTION
3.1 SURFACE CONDITIONS
A. Examine the areas and conditions under which work of this Section will be performed.
Correct conditions detrimental to timely and proper completion of the Work. Do not
proceed until unsatisfactory conditions are corrected.
3.2 WORKMANSHIP
A. General:
1. Form sheet metal accurately and to the dimensions and shapes required,
finishing molded and broken surfaces with true, sharp, and straight lines and
angles and, where intercepting other members, coping to an accurate fit and
soldering securely.
2. Unless otherwise specifically permitted by Architect, turn exposed edges back
with 1/2" hem.
3. Form, fabricate, and install sheet metal to adequately provide for expansion and
contraction in the finished Work.
B. Weatherproofing:
1. Finish watertight and weathertight where so required.
2. Make lock seam work flat and true to line, sweating full of solder.
3. Make lock seams and lap seams, when soldered, at least 1/2" wide.
4. Where lap seams are not soldered, lap according to pitch, but in no case less
than 3".
5. Make flat and lap seams in the direction of flow.
C. Joints:
1. Provide 3" splice joint at perimeter trim metal and at counterflashings. Set lap in 2
beads of sealant. Secure with )1," splice into hem and two pop rivets of same type
of metal as flashing material.

2. Join other parts with rivets or sheet metal screws where necessary for strength
and stiffness.
3. Provide suitable watertight expansion joints for runs of more than 40'-0", except
where closer spacing is indicated on the Drawings or required for proper
installation.
D. Fastening:
1. For fastening into brick or concrete use soft metal jacketed pre-drilled drive-pins,
1/4" in diameter.
3.3 EMBEDMENT
A. Embed metal in connection with roofs in a solid bed of sealant, using materials and
methods which may be described in sections of Division 7.
3.4 TESTS
A. Upon request of the Roofing Consultant, demonstrate by hose or standing water that
the flashing and sheet metal are completely watertight.

A. Installer Qualifications: An experienced installer who has specialized in installing joint
sealants similar in material, design, and extent to those indicated for this Project and
whose work has resulted in joint-sealant installations with a record of successful in-
service performance.
1.3 SUBMITTALS
A. Submit in accordance with Section 01300, SUBMITTALS.
B. Manufacturer's installation instructions for each product used.
C. Cured samples of exposed sealants for each color where required to match adjacent
material.

1.4 PROJECT CONDITIONS

2.2 COLOR:
A. Sealants used with exposed masonry shall match color of mortar joints.

2.3 JOINT SEALANT BACKING:
A. General: Provide sealant backings of material and type that are nonstaining; are
compatible with joint substrates, sealants, primers, and other joint fillers; and are
approved for applications indicated by sealant manufacturer based on field experience
and laboratory testing.
B. Cylindrical Sealant Backings: ASTM C1330, of type indicated below and of size and
density to control sealant depth and otherwise contribute to producing optimum sealant
performance:
1. Type C: Closed-cell material with a surface skin.
2.4 PRIMER:

3.1 INSPECTION:
A. Inspect substrate surface for bond breaker contamination and unsound materials at
adherent faces of sealant.
B. Coordinate for repair and resolution of unsound substrate materials.
C. Inspect for uniform joint widths and that dimensions are within tolerance established by
sealant manufacturer.
3.2 PREPARATIONS:
A. Prepare joints in accordance with manufacturer's instructions and SWRI.
B. Clean surfaces of joint to receive caulking or sealants leaving joint dry to the touch,
free from frost, moisture, grease, oil, wax, lacquer paint, or other foreign matter that
would tend to destroy or impair adhesion.
1. Clean porous joint substrate surfaces by brushing, grinding, blast cleaning,
mechanical abrading, or a combination of these methods to produce a clean,
sound substrate capable of developing optimum bond with joint sealants.
2. Remove loose particles remaining from above cleaning operations by vacuuming
or blowing out joints with oil-free compressed air. Porous joint surfaces include
the following:
a. Concrete.
b. Masonry.
c. Unglazed surfaces of ceramic tile.
3. Remove laitance and form-release agents from concrete.
4. Clean nonporous surfaces with chemical cleaners or other means that do not
stain, harm substrates, or leave residues capable of interfering with adhesion of
joint sealants.

d. Glazed surfaces of ceramic tile.
C. Do not cut or damage joint edges.

caulking, or sealing compounds.
1. Do not leave gaps between ends of sealant backings.
2. Do not stretch, twist, puncture, or tear sealant backings.
3. Remove absorbent sealant backings that have become wet before sealant
application and replace them with dry materials.
E. Apply primer to sides of joints wherever required by compound manufacturer's printer
instructions.
1. Apply primer prior to installation of back-up rod or bond breaker tape.
2. Use brush or other approved means that will reach all parts of joints.
F. Take all necessary steps to prevent three sided adhesion of sealants.
3.3 SEALANT DEPTHS AND GEOMETRY:
A. At widths up to 6 mm (1/4 inch), sealant depth equal to width.
B. At widths over 6 mm (1/4 inch), sealant depth 1/2 of width up to 13 mm (1/2 inch)
maximum depth at center of joint with sealant thickness at center of joint approximately
1/2 of depth at adhesion surface.
3.4 INSTALLATION:
A. General:
1. Apply sealants and caulking only when ambient temperature is between 5
degrees C and 38 degrees C (40 and 100 degrees F).
2. Do not use polysulfide base sealants where sealant may be exposed to fumes
from bituminous materials, or where water vapor in continuous contact with
cementitious materials may be present.
3. Do not use sealant type listed by manufacture as not suitable for use in locations
specified.
4. Apply caulking and sealing compound in accordance with manufacturer's printer
instructions.
5. Avoid dropping or smearing compound on adjacent surfaces.
6. Fill joints solidly with compound and finish compound smooth.
7. Tool joints to concave surface unless shown or specified otherwise.
8. Finish paving or floor joints flush unless joint is otherwise detailed.
9. Apply compounds with nozzle size to fit joint width.

SECTION 16000 - ELECTRICAL
PART 1 GENERAL
1.1 DESCRIPTION
A. Provide the labor, material, administration and equipment to install electrical items so
as to provide a properly functioning system.
B. The work shall be installed as part of new roof installation at Pitkin County Health and
Human Services Building.
1. The contractor shall provide 10 watt per foot heat cable with self regulating
temperature control specifically designed for roofing applications.
2. Cable shall be powered from existing junction boxes located on wall at the
various roof levels.
1.2 SECTION INCLUDES
A. Cable.
B. Boxes and Fittings.
C. Conduit.
1.3 REGULATORY REQUIREMENTS
A. Perform all work and provide materials in accordance with the National Electrical
Code, National Electrical Safety Code and applicable local codes, regulations and
ordinances.
B. Where required by applicable codes, materials and equipment shall be listed by
Underwriters' Laboratories or other testing organizations acceptable to the governing
authority.
C. Arrange for and obtain all necessary permits, inspections and approvals required by
the authorities having jurisdiction over the work.
1.4 PROJECT CONDITIONS
A. Existing project conditions indicated on Drawings are based on casual field
observation.
1.5 COORDINATION
A. Electrical work shall be done to conform with the construction schedule and progress
of other trades. Electrical apparatus on all equipment shall be handled, set in place,
connected, checked out, serviced and placed in readiness for proper operation.
B. Conform to requirements of Section 1009-Continuity of Plant Operations and
coordinate with requirements of Section 15500-Refrigeration Piping.

2.1 HEAT CABLE
A. Plastic jacketed 10 watt per foot heat cable that is self regulating in temperature.
B. Cable shall be 240 volt.
C. Termination pieces and other accessories to complete the cable installation as shown.
2.2 CABLE
A. 600 Volt power cable, THHN/THWN, stranded or solid copper conductor to match
existing size and type.
2.3 BOXES & FITTINGS
A. Galvanized or cadmium plated, threaded, malleable iron; Appleton.
B. Boxes and fittings for exterior use shall be weatherproof type.
2.4 CONDUIT
A. Rigid Steel Conduit.
1. Heavy wall, hot dipped galvanized, and shall conform to FS WW-C-581 and
ANSI C80.1 and manufactured in accordance with UL6.
B. Uquidtight Flexible metal Conduit.
1. Hot dipped galvanized steel covered with moisture proof and flame resistant
polyvinyl chloride jacket.
2. No conduit shall be smaller than 3/4 inch.
C. Junction Boxes.
1. Enclosures outdoors shall be provided with neoprene gaskets on hinged doors or
removable covers. Box sizes and metal thickness shall comply with National
Electrical Code.
2. Use existing junction boxes if they are in good condition. Provide new if the
existing are in poor condition or are not re-usable for any reason.
PART 3 EXECUTION
3.1 GENERAL
A. The procedures described in this section shall be used in performing electrical work.
All work outlined in this section and on the Drawings shall be done in a workmanlike
manner, conforming to the best recognized practices to achieve a neat and functional
installation.

on the Drawings to provide a complete and finished job.
C. Set all equipment securely, level and plumb.
3.2 CABLE INSTALLATION
A. Protect Cable from cutting or puncturing of jacket, contamination by oil or grease, or
damage of any kind. Avoid kinking of conductors.
B. Terminate stranded conductor cable by lugs, cup washers or pressure type
connectors, do not wrap around screw type connectors.
C. Splice stranded conductor with crimp type connectors. Do not use twist-on wire
connectors on stranded cable.
D. Splice cables only at readily accessible locations.
E. Make cable terminations as recommended by the manufacturer for the particular cable
and service conditions.
F. F. Do not pull cable tight against bushings no press heavily against enclosures.
G. G. Make splices only at junction or outlet boxes or in fittings approved for this
purpose. Spices shall not be made in conduits or in sealing type fittings.
H. H. Cable extensions from splices shall be the same color as existing cable.
3.3 CONDUIT INSTALLATION
A. Install rigid galvanized steel conduit except as otherwise noted.
B. Liquidtight flexible metal conduit shall be installed for final connections to motors and
other rotating or vibrating equipment subject to vibration.
C. Liquidtight flexible metal conduit shall be installed with water-tight connectors and in
minimum lengths without sharp bends.
D. Install separate equipment bonding jumper around flexible metal conduit where an
equipment grounding conductor has not been installed. The jumper shall be installed
inside the conduit.
E. Taper thread rigid steel conduit connections. Ream free of burrs and terminate with
conduit bushings.
F. Install exposed conduit parallel to structural members and surfaces.
G. Two or more conduits in the same general routing shall be parallel with symmetrical
bends. .
H. Support conduit rigidly with galvanized hardware and framing materials including nuts
and bolts.
I. Securely fasten conduit connections to sheet metal enclosures with Meyers "Scru-tite"
hubs.

K. Install secondary supporting members and extend supporting structures where
required for conduit installation.
L. Cut all conduit square with a tool designed for the cutting of conduit. Ream cut ends of
conduit to provide a smooth unobstructed surface free from burrs or sharp edges.
M. Thread all conduit such that there is no less than 5 full threads are engaged by
couplings or fittings. Avoid excessive threading.
N. Thread conduit with appropriate die tools and cutting oils. Use only die tools in good
condition.
O. The use of running threads will not be permitted.
P. Keep number of conduit joints to a minimum.
Q. Make all conduit bends with an approved bending machine or hickey. The use of a
pipe tool, vise, or heating for bending will not be permitted. Conduit crushed or
deformed in any way shall nor be installed.
R. All conduit fittings shall be accessible from ground, ladders or platforms for
maintenance.

GENERAL INFORMATION TO PROPOSERS
I. INTRODUCTION
Pitkin County will accept proposals from interested parties for the Pitkin
County Health & Human Services Building Roof Replacement, 405 Castle Creek
Road, Aspen, Colorado 81611.
Pre-Proposal Meeting and site visit will be held at 10:30 am. MST on
April 2. 2007. The meeting will be held at the Health & Human Services
Building, located at 405 Castle Creek Road, Aspen Colorado. This meeting is not
mandatory but proposers are encouraged to attend.
II. SCOPE OF WORK
A. SPECIFICATIONS AND DRAWINGS
Proposers will be required to submit a proposal based on the attached
specifications and drawings. Only proposals with a complete proposal form, no
prices left blank, will be considered.

B. BONDS
All construction for projects in excess of $50,000 must submit a performance
bond for at least fifty percent (50%) of the Contract value.
C. CONTRACT TIME AND LIQUIDATED DAMAGES
It is the County's intent to complete this project within 90 days from Notice to
Proceed. Liquidated damages of $100.00 per calendar day will be accrued if
project is not completed by that deadline.
D. ADDITIONAL INFORMA TION
It is the Contractors responsibility to provide all safety equipment necessary and
to perform all work in a safe and workman-like manner. Pitkin County reserves
the right to enter the construction site for periodic checks of safe working
environments.

Please note that the County does not intend to waive landfill-tipping fees. For the
purposes of administration, one Contract will be awarded for the entire project.
III. SELECTION PROCESS
The County is required by the terms of the Pitkin County Procurement
Code to conduct a competitive selection process to select a Contractor for the
above-described proposal. This process shall be through formal proposals
submitted in response to this Request for Proposals. Pitkin County Code provides
equal opportunity for minority and women business enterprises (MBEIWBE).
A. Submittals
I. Proposer shall submit Three (3) copies of their proposals for this project as
outlined in the Request for Proposals and Scope of Services, or an alternately
developed plan as developed by Proposer in response to and in accordance with
this Request for Proposals and Information to Proposers attached hereto.
The format for such proposals shall be as follows:
a. The proposal must contain name, address, and daytime phone number(s)
for person(s) to whom additional selection process requests should be
communicated;
b. Describe the proposed approach (basic description of how Proposer will
proceed with this project), timetable for the project, and proposed
method of compensation for services rendered;
c. A statement of Qualifications of the Proposer;
d. References;
e. A completed Proposal Form;
f. List of all subcontractors;
g. Requested bonding.
h. Warrantees for materials and workmanship including all manufactures
warrantees.
2. Proposer may be required to supply additional information upon request, or to
make additional submissions under secondary selection criteria, if necessary.

Any interpretation or correction of the proposed documents will be made only by
addendum, duly issued, and a copy of such addendum will be mailed or delivered to all
that are known to have received a set of RFP documents; on or before April 9, 2007.
Pitkin County is not responsible for any other explanations or interpretations of the
documents.
4. All proposals must be in a sealed envelope and clearly marked in the lower left
hand comer: "Proposals for Health & Human Services Building Roof
Replacement". All proposals must be received by April 12,2007, 10:00 A.M.
MST to 76 Service Center Road, Aspen, Colorado 81611, at which time they will
be opened and read in name only. The County will not accept facsimile (faxed)
proposals unless such a proposal is delivered as follows:
If a proposal or part of a proposal is to be delivered to the above address via a
facsimile transmission (fax machine), it will be the responsibility of the Proposer
to provide personnel to insure that the fax transmission is delivered in the required
sealed envelope directly to the Procurement Officer by or before the date and time
of proposal opening. The Procurement Officer or other staff members will not be
responsible for insuring this timely delivery. In the event of such fax
transmission, the Proposer will be additionally responsible for providing an
original, signed copy of the document transmitted to the Office of the
Procurement Officer no later than two (2) working days after the date of
transmission, and for the production of the required set of three (3) copies.
5. During the Request for Proposal selection process, all proposals shall remain
confidential. The entire selection process (procurement) file shall be available to
the public (which includes all Proposers) after an agreement is approved by the
County, except those items for which confidentiality has been requested in writing
by the Proposer, and providing that the County Attorney has reviewed and
determined this to be the properly confidential under the State Open Records Act
and other relevant statutes and regulations.

Selection of the "short-listed" Proposers to be interviewed and/or the

the contract will be considered. This will include the prior experience 30%

2. Communications between Proposer and any member of the selection
committee during the selection process except when and in the manner
expressly authorized by the Request for Proposals, is prohibited.
Violation of this restriction is grounds for disqualification from the

E. Contract
Upon selection of a top-ranked Proposer, negotiations will commence
immediately for a Contract with terms to be consistent with this Request for Proposals
and the information included herewith.
INSTRUCTIONS TO PROPOSERS
FOR PITKIN COUNTY CONTRACTS
For the Project Entitled: Health & Human Services Roof Replacement
Date of Proposal Opening: 10:00 AM Local Time. April 12. 2007
1. A. A "Proposal" is a responsive, conforming, unconditional, complete, legible
and properly executed offer on the Pitkin County Proposal Form to do the
work called for in the Request for Proposals ("RFP").
b. Proposals must be submitted in sealed envelopes or electronically in PDF
format and submitted at the time and place designated in the RFP. Proposal
envelopes and electronic submissions must be clearly marked on the front of
the envelope or in the electronic submission as a "sealed proposal" with the
project name and the name, contact person, mailing address and telephone
number of the Proposer. For both paper and electronic submissions, the
County reserves the right to request verification of any original or electronic
signature at any time before issuing a Notice of Award.
c. It shall be the responsibility of the Proposer to ensure that the Proposal is in
proper form and in the County's possession by or before the scheduled time
and date of public Proposal opening. Proposals will not be accepted after the
scheduled time and date of opening. Any Proposals received late will be
returned to the Proposer unopened, if possible. In the event that it is

impossible to determine who the late Proposer is unless the envelope is
opened, the envelope will be opened, the address determined, and the
envelope and Proposal returned immediately to the Proposer.
d. If specified in the Request for Proposals, parties who request packages of
proposal documents will be required to pay a fee for the document package.
All parties who request packages must provide the name of the potential
Proposer, along with the name of a contact person, address, telephone
number, fax number and email address for the purpose of dissemination of
Addenda or additional proposal information.
e. If a mistake is made or discovered at or after the public opening, the County
reserves the right to determine which party made the mistake and whether the
mistake is material and, after these determinations, the County, in its sole
discretion, shall make the decision whether to accept or reject the Proposal.
No advantage shall be taken by either party of manifest clerical errors or
omissions in the Proposal documents or the Request for Proposals (and plans
and specifications). All Proposers are required to notify the County imme-
diately of any errors of omissions that may be encountered. (See 2.a. and
2.c., below).
f. The signer of the Proposal must initial any alteration or erasure. If provided
on the required Proposal Form, the proposal price of each item must be stated
in numerals and words; in case of a conflict, the words will control. In case
of conflict between the indicated sum of any addition of figures and the
correct sum, the correct sum will control.
g. No reimbursement will be made by the County for any costs incurred in the
preparation of a statement of qualifications, Proposals, or attendance at a site
inspection, pre-bid conference or interviews.
h. No person, firm, corporation or other entity shall be allowed to make, file or
be interested in more than one Proposal for the same work, unless alternate
proposals are called for. A person, firm, corporation or other entity who has
submitted a sub proposal to Proposer, or who has quoted prices on materials
to a Proposer, is not hereby disqualified from submitting a sub proposal or
quoting prices to other Proposers.

If any person contemplating submitting a Proposal is in doubt as to the true
meaning of any part of the Drawings, Specifications or other Proposal or
Contract Documents, or finds discrepancies, errors, ambiguities,
inconsistencies, incompleteness or omissions in the Drawings or
Specifications or the proposal process, he/she must submit to the
Procurement Officer a written request for an amplification, clarification,
explanation, interpretation or correction thereof. Failure to do so shall

other Proposal or Contract Documents as is, and (2) a waiver by the Proposer
of any and all claims arising, or that might arise, out of such discrepancies,
errors, ambiguities, inconsistencies, incompleteness or omissions.
b. Proposers may propose substitute materials or techniques if such substitution
is equal to or better than the materials or techniques described in the RFP and
if the substitution has been submitted in writing at least ten (10) days prior to
the public Proposal opening. The burden of proof of equality or superior
quality is on the Proposer. If accepted as equal by the County in its
discretion, the substitute will be designated as an alternative on a formal
addendum distributed to all Proposers at least three (3) days prior to the
deadline for Proposal submission.
c. Any amplification, clarification, explanation, interpretation or correction of
the documents will be made only by written Addendum duly issued and a
copy of the Addendum will be mailed or delivered to each person receiving a
set of the Proposal Documents. Delivery, as used in these Instructions, shall
include electronic delivery through e-mail, facsimile, web-posting or other
electronic means. Neither the Owner nor the Procurement Officer will be
responsible for any information, representations, explanations or interpre-
tations of the Contract Documents not in written addenda.
d. The County reserves the right to call a pre-proposal conference; if called and
conducted, a summary of the pre-proposal conference will be mailed or
electronically delivered to all parties receiving a set of Proposal documents.
e. On request, the County will provide each Proposer access to the site to
conduct, at Proposer's sole cost, such inspections, tests and investigations as
each Proposer deems necessary for submission of a Proposal. No infor-
mation provided by County representatives at such a site inspection shall be
deemed a waiver of the requirements of2.a. and 2.c., above.
f. Any Addenda issued during the time of the Proposal process, or forming a
part ofthe Proposal Documents, shall be covered in the Proposal, and shall be
considered a part of the RFP. Receipt of each Addendum shall be
acknowledged in the Proposal.
g. If specified in the RFP, a request for qualifications may precede the RFP process.

Each Proposal, if required by the Proposal Documents, shall be accompanied
by a certified check or bid bond in a form acceptable to the County Attorney,
in an amount specified, payable without condition to the County as a
guarantee that the Proposer, if awarded the Contract, will promptly execute
the Agreement in accordance with the Proposal, and will furnish, if required
by the Proposal, good and sufficient bonds for the faithful performance ofthe
Contract and for the payment to all persons supplying labor and material for

the work (see 10.a., below). The Proposal guaranties of all parties except the
three highest scoring Proposals will be returned promptly after the opening of
Proposals. After execution of the Contract and issuance of a Notice to
Proceed, the remaining two Proposers' guaranties will be returned.
b. Proposer also, if required by the Proposal Documents, will fully complete and
submit with the Proposal a Pitkin County Qualification Statement, or an
updated Statement if one is already on file. Pitkin County reserves the right
to pre-qualify Proposers based on said qualification statements.
c. Proposer also must submit with the Proposal a list of subcontractors,
independent contractors and suppliers to be employed under the Contract. If
the County has a reasonable objection to any such subcontractor, independent
contractor or supplier, it shall notify the Proposer and the Proposer may then:
(a) withdraw the Proposal; or (b) substitute an acceptable contractor or
supplier. If required by the Contract Documents, subcontractors, independent
contractors and/or suppliers may be required to submit a Contractor's
Qualification Statement.
d. Proposals by corporations must be executed in the corporate name by the
president or a vice-president (or other corporate officer accompanied by
evidence of authority to sign) and the corporate seal must be affixed and
attested by the secretary or an assistant secretary. The corporate address and
state of incorporation shall be shown below the signature.
e. Proposals by partnerships or limited liability companies ("LLC") must be
executed in the partnership or LLC name and signed by a partner, authorized
LLC officer, whose title must appear under the signature and the official
address of the partnership or LLC must be shown below the signature. The
state in which the entity was formed and whose law governs the entity shall
be shown below the signature.
f. All names must be typed or printed below the signature.

Proposer acknowledges that this proposal is solicited and submitted subject to
the requirements of the "Pitkin County Procurement Code," (Ordinance #026-
2005, as amended by Ordinance #03-2006 (copies available on the Pitkin
County website at htto://www.asoenoitkin.com/odfs/deots 178/orocurement
code.odf or upon request for a nominal charge). As such, the Proposer agrees
to comply with all applicable requirements of said Procurement Code relating
to proposing, contract drafting, contract administration and ethics. The
requirements of the Procurement Code are incorporated herein by this refer-
ence.
b. The Proposer shall immediately notify the County Manager in writing of any
violation of said Code by the County's employees or agents, which violation

is known or should have been known by Proposer, and failure to so notify the
County of violations within five (5) days of knowledge of such violations
shall disqualify the Proposer from award of the Contract being proposed and
shall be deemed as a waiver of any action or defense that the Proposer may
have against the County by reason of such violation of the Procurement
Code.
c. The submission of a Proposal shall be conclusive evidence and legal
admission that the Proposer: (1) has no questions, complaints or objections in
connection with the Proposal process and/or documents, subject to any
requests made by Proposer for amplification, clarification, explanation, inter-
pretation or correction pursuant to Paragraph 2.a. and 2.c., above; (2) has no
questions, complaints or objections as to the completeness, sufficiency, scope
or detail of the Proposal Documents; and (3) has full knowledge of the scope,
nature, quality and quantity of work to be performed, the detailed require-
ments of the Proposal Documents including any and all contract documents,
the plans and specifications, the site and conditions under which the work is
to be performed, the Pitkin County Procurement Code and applicable Colo-
rado law.
a.
All Proposals will be opened and read in public by name of Proposer only.
No Proposals may be withdrawn after the beginning of the public opening.
The County, in its sole discretion, may delay a Proposal opening for no
longer than two (2) business days if weather or other circumstances beyond
control of Proposers results in delay in receipt of Proposals. Proposals may
be withdrawn at any time prior to the beginning of the public opening or
modified by a document executed and delivered in a form substantially
similar to the Proposal Form prior to opening.
b. All Proposals submitted must be valid for a minimum period of sixty (60)
days after the date of the Proposal opening. During this time, Proposers are
investigated, and Proposals are evaluated.
a.
Proposals will be awarded to the highest scoring Proposer complying with the
terms, conditions, guidelines, selection criteria, plans and specifications
presented in the Request For Proposals.. All rights are reserved by the
County to determine, in the County's sole reasonable discretion, whether the
Proposal meets the needs or a purpose intended and is within the project
budget.
b. Although price may be a major consideration in the selection of a Proposal,
the County does not award on price alone. The County may also consider the
quality of product as judged by the County; past experience with Proposers,
subcontractors, independent contractors, products or suppliers; qualifications
of the Proposers and/or subcontractors, independent contractors or suppliers;

services offered; warranties; maintenance considerations; long-range costs;
delivery; and similar considerations, all as specified in detail in the RFP.
c. The County reserves the absolute right to conduct such investigations as it
deems necessary to assist in the evaluation of any Proposal and to establish
the experience, responsibility, reliability, references, reputation, business
ethics, history, qualifications and financial ability of the Proposers and
proposed subcontractors, independent contractors and suppliers. The purpose
of such investigation is to satisfy the County that the Proposer has the
experience, resources and commercial reputation necessary to perform the
work and support any warranties in accordance with the Contract Documents
in the prescribed manner and time.
d. The County, at its sole discretion, may require the apparent successful
Proposer to demonstrate, at a place and time designated by the County, that
the Proposal meets the performance criteria specified, or to otherwise provide
documented proof from independent reliable sources acceptable to the
County that said performance criteria will be met prior to final acceptance of
the Proposal. The burden of proof of such a demonstration is on the
Proposer. In the event that the apparent successful Proposer fails to
demonstrate or provide acceptable proof of meeting required performance
criteria, that proposal will be rejected and the next eligible Proposer in the
selection ranking will be invited to participate in the same process until a
proposal meeting performance criteria is found within the ranking of eligible
Proposers. The County reserves the rights to reject any or all Proposals or to
otherwise accept the Proposal which in the County's sole discretion is in the
best interest ofthe County.
e. Pitkin County reserves the right, if it deems such action to be in the best
interests of the County, to reject any and all Proposals or to waive any
irregularities or informalities therein. Any incomplete, conc1usory, false or
misleading information provided by Proposer shall be grounds for rejection
of the proposal. If proposals are rejected, the County further reserves the
right to investigate and accept the next best proposal in order of ranking or to
reject all proposals and re-solicit for additional proposals.
f. Any questions or disputes involving the documents or procedures not covered
by these Instructions or other Proposal Documents shall be resolved by the
Procurement Officer on the basis of fairness, custom in the industry,
maximization of competition and best interests and convenience of the
County.
7. Issuance of Notice of Award, execution of Contract Documents and issuance of a
Notice to Proceed shall be as specified in the Contract Documents.

8. Contracts will be executed on standard Pitkin County Contract documents and/or
by separate agreement with the Proposer. Copies of any applicable standard forms
are included with the Proposal Documents. The County reserves the right to nego-
tiate with the Proposer for contract terms not specified in the Proposing
Documents. Any changes from the Pitkin County standard form contract may result
in a delay in the issuance of a Notice to Proceed in order to obtain any necessary
County Attorney review of changes from the standard form. Proposer agrees that
any such delays shall not be grounds for either additional compensation or an
extension oftime to complete the work that is the subject of the Proposal.
9. ]f the contract awarded as a result of a Proposal extends beyond the calendar year,
nothing herein shall be construed as an obligation by the County beyond any
amounts that may be, from time to time, appropriated by the County on an annual
basis. ]t is understood that payment under any Contract is conditional upon annual
or supplemental statutory appropriation of funds by said governing body and that
before providing services, the Proposer, if he/she so requests, will be advised as to
the status of funds appropriated for services or materials and shall not be obligated
to provide services or materials for which funds have not been appropriated.

ADDENDUM #84-2007
Health & Human Services Roof Replacement
The Following items have been altered or clarified from the Request for Proposal
1. It is the County's intent to complete this project within 90 days from Notice to Proceed.
This was stated in Part II. Sec. C in the RFP and was contradicted by Part III. Sec. B - Time
Schedule of 60 days to Completion of Project from Notice to Proceed. The County will
grant 90 days.
2. Proposers are strongly encouraged to carefully read the section(s) in the Project Manual
pertaining to the specification regarding Gutters, Down Spouts, Snow Guards, and Heat tape
including all electrical wiring requirements.
3. The color of the roofmg tiles will be determined during contracting. Once selected and
ordered, the manufacturer advises a 6 week lead time for delivery.
4. Proposers should note that Roof Type 4 is existing and is N.I.C. (not in contract) and
requires no changes. Great precaution shall be taken by the successful contractor to
maintain the integrity of this roof throughout this project.
5. Proposers should be aware that the building shall remain occupied throughout the project
and will need to make provisions to allow for safe access to the building entrances for all
tenants and visitors. Also be aware that additional renovation projects will be under
construction concurrently with this project.
6. Proposers should be aware that space adjacent to the building is limited for tear off. Staging
will need to be co-ordinate between the Successful Contractor and the County's Project
Manager and the other contractors who will be on site during construction. Please see the
drawing on page 2 of this document showing the illustration of possible locations, adjacent
to the building, of a dumpster for tear off. If the successful contractor elects to us either
location, appropriate safety fencing will be required and walkways and driveways
maintained.
7. This Addendum will serve as the County's final interpretation or correction of the proposed
documents and will be duly issued, and a copy of this addendum will be mailed or delivered
to all that are known to have received a set of RFP documents; on or before April 6, 2007
instead of April 9, 2007 as previously stated.
