APPROVING TAE GRANTING OF A WATER LIlVE EASEMENT ACROSS
PITKIN RESERVE LOT 8

RECITALS
1, An existing City of Aspen 16-inch diameter water supply line to the Red
Mountain storage tank runs through the Pitkin Reserve Lot 8. A 20-foot wide existing
easement for tius line is asymmetrically dedicated and recorded undet reception nuxnber
151172. The existing water line crossing is encumbered by said asymmetrical iine
easement that has to be adjusted to clear this technical difficulty in order to promote
proper line operation and maintenance.
2. Under the current Ciry of Aspen water standards, it is required that all line
easements be centered on disiribufion lines; and therefoie, this ordinance has been
prepazed to ratify this Yectmical problem.
3. Said ratification is accomplished by a simple easement swap o£
approximately equal area and as described in the new legal descriprion for vacation ofthe
current easement and dedication of the new easement by Pitkin County.
NOW THEREFORE, BE IT ORDAINED, by the Boazd of Couniy
Convnissioners of Pitkin County, Co]orado as follows:
1. BOCC approves the conveyance of a 143 squaze foot easement, contingent upon
the City approving the vacation of the said portion of the existing easement for an
existing underground water line. No alterations to the Pitkin Reserve Lot 8 will be needed
nor will alterafions be done. A minor line adjustment was performed withiu the existing
easement to facilitate connection of a replacement section ofwaterline in Lot 8.
2. The Chair is auYhorized to execute such an underground urility easement
swap for a water line following approval of the form of those documents by the County
Attomey and Open Space D'uector.

Easement Aqreement
THIS AGREEMENT is made and entered into this ~ day of ~lu

WHEREAS, Grantor is the record owner of certain rea{ property (the -
"Property") situated in the Citv of Aspen, Pitkin Countv, Colorado; and,
WHEREAS, granted easement is legally described in Exhibit B, Sheet 2
of 2, incorporated herein by reference; and,
WHEREAS. Grantee desires to vacate a smail portion of an existing
water transmission line easement within Grantor's property as shown in
Exhibit B, Sheet 1of 2, incorporated herein by reference; and,
WHEREAS, Grantee desires to obtain a small new easement addition to
the existing remaining easement within the subject property, and as
shown in the same Exhibit B, Sheet 1 of 2, incorporated herein by
reference, to Construct Oaerate Maintain Replace or Re-construct a16-
inch diameter transmission Water Line, which may require moving
material, equipment and personnel to gain access to keep said utility line
in perpetuity; and,
WHEREAS, the parties wish to set forth the terms under which the
Grantee may obtain a permanent Utility easement over the property to
construct and allow use of said improvements.
NOW, THEREFORE, for and consideration of the mutual covenants,
agreements, representations and warranties herein contained, the parties
hereto agree as follows:
1. Grantees' vacate a portion of the existing utility easement as
depicted in Exhibit B, Sheet 1 of 2 specifically retained and reserved by
Grantor, the right, privilege and easement to access and use the
proposed easement area over the Grantor's land.
2. Grantor hereby grants and conveys to Grantees, subject to
the terms and conditions hereinafter set forth and the rights herein
specifically retained and reserved by Grantor, the right, privilege and
easement to access and use the proposed new easement area over the
Grantor's land as depicted in Exhibit B, Sheet 1 of 2.
3. This easement agreement, as described in Exhibit B, Sheet
1 of 2 and attached hereto and made a part hereto by this reference,
shall run with the property in perpetuity.
4. The easement granted herein shall have no effect, either
present or future, on the subject property, and all building setbacks shall
continue to be measured from the exterior boundaries of the subject
property.
5. Grantor shall not place or construct structures, and shall not
plant trees or bushes within the easement area which will restrict the
Grantees' ability to perform excavation and all needed access ways to
maintain the perpetuity of the new transmission Water Line.
6. Grantees' use of the easement and access agreement shall
be operated in such a manner as to avoid damage to or destruction of
Grantor's property or vegetation on the property.
7. Grantees' covenant to maintain, repair, replace or
reconstruct the Water Line at Grantee's sole cost and expense during the
existence of the Easement.
8. The Easement described in this Agreement shall run with
the land, and shall be for the benefit and use of Grantees, their heirs,
successors and assigns, and shall be binding upon and inure to the
benefit of the parties hereto, their heirs, successors and assigns.
9. Grantees, upon written notice to Grantor shall have the right
to make reasonable use of the Easement for the sole purpose of
maintaining, repairing, replacing, or reconstructing the Water Line.
Grantees agree to indemnify and hold harmless the Grantor, its agents,
employees, and guests from and against any liability, claims, and
demands, on account of injury, loss or damage, including, without
limitation, claims arising from bodily injury, personal injury, sickness,
disease, death, property loss or damage, or any other loss of any kind
whatsoever which arises out of or is in any manner connected with
Grantees' use of the Easement or Water Line pursuant to this Agreement.
10. Grantor reserves the right and privilege to use the
Easement for all purposes except for those purposes or uses that might
interfere with or be inconsistent with the purposes and uses of the
Easement granted to Grantees herein.
11. In the event that any dispute arises with regard to the
terms and conditions of this Agreement, or if either party breaches the
terms and conditions of this Agreement, the prevailing party in such
dispute shall be entitled to recover from the defaulting party reasonable
attorney's fees and costs incurred as a result thereof.
12. This Agreement constitutes the entire agreement and
understanding between the parties and supersedes any prior written
agreement or understanding relating to the subject matter of this
Agreement.
13. This Agreement may be modified or amended only by a
duly authorized written instrument executed by the parties hereto.
