APPROVING THE AMENDMENT OF A NORDIC TRAIL EASEMENT ON
STILLWATER RANCH
ORDINANCE #07-Q3D
RECITALS
1. The County entered into a Restated Winter Trail Easement Agreement ("Trail
Easement") with Fabiene Benedict on August 10, 1993, recorded on August 11,
1993 under Reception #359889.
2. The Trail Easement traverses Stillwater Ranch Parcels 1, 2 and 3, as shown on the
First Amended Plat of Stillwater Ranch Parcels, recorded at Plat Book 33, Page
34. Roll International Corporation, Inc. (Roll) now owns both parcels 2 and 3.
3. The 1993 Winter Trail Easement Agreement provides for amendment with the
consent of both parties.
4. It is proposed to realign a portion of the Trail Easement affecting the Roll
property, as represented and described in the attached trail description and map, to
relocate it out of an avalanche prone area, and to accommodate the installation of
a pond on the Roll property.
5. The Aspen Snowmass Nordic Council desires to see the Trail Easement amended
to improve the safety and the trail experience for skiers.
6. Roll consents to the proposed Trail Easement Amendment.
NOW THEREFORE, BE IT ORDAINED, by the Board of County
Commissioners of Pitkin County, Colorado as follows:
1. The Board approves the amendment of the Restated Winter Trail
Easement Agreement for the nordic trail on Stillwater Ranch, as represented by the
attached description and map.
2. The Chair is authorized to execute an Amendment to Restated Winter
Trail Easement following approval of the form of those documents by the County
Attorney's office.

AMENDMENT TO RESTATED WINTER TR.AIL EASEMENT AGREEMENT
THIS AMENDMENT TO RESTATED WINTFR TRAIL EASEMENT AGREEMENT
(this "Amendment") is made as of this ~' g{`~ay of Ndv~~ ~r , 2007, by THE BOARD
OF COUNTY COMMISSIONERS OF PITKIN COLTNTY, COLORADO, as the governing
body of Pitkin County, Colorado (the "County"), and ROLL INTERNATIONAL
CORPORATION, INC., a Delaware corporation ("Roll").
RECITALS
A. The County and Fabienne Benedict entered to that certain Winter Trail Easement
Agreement (Restated), dated August 10, 1993 and recorded in the real property records of Pitkin
County, Colorado on August 11, 1993 under Reception No. 359889 (the "Easement
Agreement").
B. The Easement Agreement creates a winter trail easement (the "Easement") across
Stillwater Ranch Paxcels 1, 2 and 3, Pitkin County, Colorado, as shown and described on the
First Amended Plat of Stillwater Ranch Parceis recorded December 2, 1993, in Plat Book 33 at
Page 34 of the real property records of Pitkin County, Colorado (the "Plat").
C. Roll is now the owner of Parcel2 and Paxcel3, Stillwater Ranch, as shown and
described on the Plat (the "Roll Property").
D. Pursuant to the terms of the Easement Agreement, the County may amend the
Easement Agreement with the consent of the owner of the Roll Property.
E. The County desires to amend, with the consent of Roll, the Easement Agreement
in order to relocate a portion of the Easement that lies within the Roll Property.
AGREEMENT
NOW THEREFORE, for a good and valuable consideration, the receipt and sufficiency
of which are hereby acknowledged, the Owners, for themselves and their respective successors
and assigns, agree as follows:
1, Amendment to Easement A~reement. The Easement Agreement is hereby
amended to provide as follows:
(a) Roll grants, transfers and conveys to County, its successors and assigns, a
perpetual non-exclusive easement over that portion of the property described on
Exhibit A to this Amendment (the "Replacement Easement Segment"), in replacement of
that portion of the Easement, as described in the Easement Agreement, which lies
between the "Point of Beginning" and "Terminus" described on Exhibit A to this
Amendment (the "Replaced Easement Segment").

(b) The Replacement Easement Segment will be deemed part of the
Easement, and, as such, will be subject to all of the terms and conditions of the Easement
Agreement that relate to the Easement. The Replaced Easement Segment will no longer
be deemed part of the Easement, and all of Roll's, the County's, and their respective
successors' and assigns', rights and obligations under the Easement Agreement with
respect to the Replaced Easement Segment are hereby terminated.
(c) For purposes of illustration, the Point of Beginning, Ternunus and
Replacement Easement Segment are depicted on Exhibit B hereto.
2. Effect. As modified by this Amendment, the Easement Agreement remains in
full force and effect.
3. Counterparts. This Amendment may be executed in multiple counterparts, each
of which will be deemed an original.
