The subsurface conditions encountered in the_exploratory borings drilled at the site consist of between 2 and 4 feet of loose to medaum stiff sand and silt overlying relatively dense silty sandy gravels with cobbles and boulders. Groundwater was not encountered in the borings at the time of drilling. The site appears suitable for residential construction. As discussed in this report, there are some geologic constraints which should be considered in the project design. The proposed buildings can be founded on spread footings placed on the natural subsoils and designed for an allowable bearing pressure of 2,000 psf to 4,000 psf. The report which follows describes our investigation, summarizes our findings, and presents our recommendations suitable. for planning and preliminary design. The project site is shown on Fig. 1. The purpose of the study was to evaluate the geologic and subsurface conditions and their potential impact on the project. The study was conducted in accordance with our proposal for geotechnical engineering services to The Stevens Group, Inc., dated November 20, 1996. A field exploration program consisting of a site reconnaissance, exploratory borings and percolation testing was conducted to obtain information on the site and subsurface conditions. Samples obtained during the field exploration were tested in the laboratory to determine compressibility and other engineering characteristics of the on-site soils. The results of the field exploration and laboratory testing were analyzed to develop recommendations for project planning and preliminary design. This report summazizes the data obtained during this study and presents our conclusions and recommendations based on the proposed development and the conditions identified. PROPOSED DEVELOPMENT The proposed development was preliminary at the time of our study. The development will generally consist of 5 duplex residences in the azea of Borings 2 and 3 and a single family residence in the area of Boring 1 as shown on Fig. S. We understand that the residences will typically be 2 stories of wood frame construction above a crawlspace. The development will be serviced by individual septic tanks and a common effluent septic disposal system. If development plans change significantly from those described, we should be notified to reevaluate the recommendations presented in this report. -2- SITE CONDITIONS The site was vacant and covered with about 12 inches of snow at the time of our field work. The terrain in the proposed building area is relatively flat with a slight slope down to the west and about 6 to 8 feet of elevation difference.. A steep south facing hillside encroaches the northern portion of the property (see Fig.l). The slope is generally covered with rock talus formed from the underlying sandstone formation. The site is elevated up to about 10 feet above Upper River Road located on the southwestern side. of the property. Inactive irrigation ditches are present at the toe of the northern slope and in the south and east portion of the property. Vegetation consists primarily of grass and weeds in the irrigated field where the development is proposed and scattered to frequent juniper trees on the. steep slope to the north. A cut made along the uphill side of River Road along the southern boundary of the property exposed a gravel terrace deposit with hard crystalline rocks up to about 18 inches in size. GEOLOGIC SETTING The proposed development is located on a gravel terrace at the base of a colluvial talus slope. Near surface bedrock in the. area is the Dakota Formation which outcrops on the northern hillside. The gravel terrace materials consist of rounded to subrounded aggregate to boulder size in a silty sand matrix. The Dakota Formation consists of light gray and tan sandstone. The bedding orientation of the Dakota in the azea of the subject site dips about 30° down to the south-southwest (Freeman, 1972). The formation is cut by several faults in the Castle'Creek fault zone to the north and. east of the. site.. The faults are not considered active (Kirkham and Rogers, 1981). The hillside on the north side of the property is mapped as having potential rockfall hazazds (Fox and Associates, 1974). H-P GEOTECH -3- GEOLOGIC HAZARDS ASSESSMENT The proposed development area does not appear to be impacted by potential geologic - hazards that would make development infeasible, but several conditions need to be considered in the design. Theses consists of: (1) hydrocompressive soils, (2) rockfall hazard, and (3) surface runoff from off.-site sources.. We recommend the geologic conditions be addressed as follows: 1) The hydrocompessive potential of the upper soil should be mitigated by the foundation design as discussed below in "Foundations". 2) The potential rockfall hazard could impact the buildings proposed in the field area of the property. Mitigation methods such as providing a runout azea and catching berm appear feasible to reduce the. potential impact. We should review the site plan to evaluate the need for rockfall mitigation. 3) Positive grading should be provided around. and through the project as discussed below in "Surface Drainage". FIELD EXPLORATION The field exploration for the project was conducted on December 26, 1996. Three exploratory borings were drilled in the proposed building areas and a profile boring was drilled in the septic disposal area at the. locations shown. on Fig. 1 to evaluate the subsurface conditions. The borings were advanced with 4-inch diameter continuous flight augers powered by atruck-mounted Longyeaz BK-51HD drill rig. The borings were logged by a representative of Hepworth-Pawlak Geotechnical, Inc. Samples of the subsoils were taken with 1 3/8-inch and, 2-inch LD. spoon samplers. The samplers were driven into the subsoils at various depths with blows from a 140-pound hammer. falling 30 inches.. This. test is similar to the. standard penetration test described by ASTM Method D-1586. The penetration resistance values aze an indication of the relative density or consistency of the subsoils. Depths at which the samples were taken and the penetration resistance values are shown on the Logs of Exploratory Borings, Fig. 2. The samples were returned to our laboratory for review by the project engineer and testing. H-P GEOTECH ,~ _ -a- SUBSURFACE CONDITIONS Graphic logs of the subsurface conditions encountered at the site are shown on Fig. 2. The subsoils below a thin topsoil layer consist of about 2 to 4 feet of sand and silt overlying relatively dense, silty sandy gravel containing cobbles and boulders. Drilling in the dense gravel with auger equipment was difficult due to the cobbles and boulders and drilling refusal was encountered in the deposit. Laboratory testing performed on samples obtained. from the borings included natural moisture content and density and gradation analyses. Results of consolidation testing performed on relatively undisturbed drive samples, presented on Fig. 4, indicate the upper sand and. silt soils have. low to moderate compressibility under conditions of loading and wetting. The samples had low collapse potential (settlement under constant load) when wetted... Results of gradation analyses performed on small diameter drive samples (minus 1 ~h-inch fraction) of the natural, coarse granular subsoils. are shown on Fig. 5. The laboratory testing is summarized in Table L No free water was encountered in the borings at the time of drilling or when checked the. following day and the subsoils were slightly moist. PRELIMINARY DESIGN RECOMMENDATIONS The conclusions and recommendations presented below are based on the. proposed development, subsurface conditions encountered in the exploratory borings and our experience in the area. The recommendations are suitable for planning and preliminary design. FOUNDATIONS Conventional spread footings appear suitable for foundation support at the site. Foundation bearing con itd .ton could vary depending on the specific location of the building on the property. Based on the nature of the proposed construction spread footings bearing on the natural subsoils should be suitable at the building sites. We expect the footin s can be sized for an allowable bearing pressure in the range of 2,000 a._ psf to 4,000 psf. Foundation walls should be designed to span local anomalies an o resist lateral earth loadings when acting. as retaining structures. Below grade areas and retaining walls should be protected from wetting and hydrostatic loading by use of an H'-PGEOTECH €~'"° -s- underdrain system. The footings should have a minimum depth of 42 inches for frost protection. _._.___._ FLOOR SLABS Slab-on-grade construction should be feasible for bearing on the natural soils. The upper sand and. silt soils are compressible and there could be some post construction slab movement. To reduce the effects of some differential movement, floor: slabs should be separated from all bearing walls and columns with expansion joints. Floor slab control joints should be used to reduce damage due to shrinkage cracking. A minimum 4-inch thick layer of free-draining gravel should underlie basement level slabs to facilitate drainage. Structural fill below slabs should be properly placed and compacted. UNDERDRAIN SYSTEM Although free water was not encountered in the exploratory borings, it has been our experience in the area that local perched groundwater can develop during times of heavy precipitation or seasonal runoff. An undetdzain system should be provided to protect below grade construction, such as retaining walls, crawlspace and basement areas from wetting and hydrostatic pressure buildup. The drains should consist of drainpipe surrounded above the invert level with free-draining granular material. The drain should be placed at each level of excavation and at least 1 foot below lowest adjacent finish grade and sloped at a minimum 1% to a suitable gravity outlet. Drywells based in the underlying gravels should be feasible for disposal of subsurface drainage. SURFACE DRAINAGE The grading plan for the development should consider runoff from uphill off-site areas through the project and at individual sites. Water should not be allowed to pond next to building foundations and pavements. To limit infiltration into the bearing soils next to buildings, exterior backfill should be well compacted and have a positive slope away from the building for a distance of 10 feet. Roof downspouts and drains should discharge well beyond the limits of all backfill. H-P GEOTECH ~~ -6- PERCOLATION TESTING Percolation tests. were conducted on December 27, 1996 to evaluate the feasibility of an i~ltration septic disposal system at the site. One profile boring and 3 percolation holes were drilled at locations as shown on Fig. 1. The tesrholes were drilled with 6-inch diameter auger and were soaked with water one day prior to testing. The soils exposed in the percolation holes are similar to those exposed in the. Profile Boring shown on Fig. 2 and consisted of 2 feet of sand and silt overlying relatively dense silty sandy gravel. The percolation test rates varied from 11 to 40 minutes per inch.: The shallower test holes based in the upper sand and silt had slower rates of 27 and 40 and the deeper tests hole based in the lower sandy gravel had the faster rate of 11. The test results are shown on Table II. Based on the test results and the materials encountered, the site is suitable fora conventional. infiltration septic disposal system. Additional percolation test should be constructed at the selected disposal area and design depth. LIMITATIONS This report has been prepared according to generally accepted geotechnical engineering principles and practices in this. area at this time.. We make no warranty either expressed or implied. The conclusions and recommendations submitted. in this report are based upon the data obtained from the field reconnaissance, review of published geologic reports, the exploratory borings located as shown on Fig. 1, the assumed type of construction and our experience in the azea. Excavation equipment will be transported to the site via semi trucks. Approximately 2 semi trucks will deliver large equipment (326 track hoe) and 2 semi trucks will retrieve equipment. A tandem dump truck with trailer will transport small equipment (426 backhoe) and require approximately 4 trips in and 4 trips out of the site. No earth material will be brought to the site or hauled from the site. In addition, the Declarant agrees that this Agreement shall constitute a resale agreement setting forth the maximum resale price for which the Property maybe sold ("Maximum Resale Pride") end the terms ahd provisions controlling the resale of the Property. Firially, by this Agreement, Declaraht restricts the Property against use and occupancyinconsistenttyith this Agreement: WHEREAS, "Qualified Buyers" are the ASD and/or any natural persons meeting the income, residency antl all :other qualifications set forth ih the Aspen/Pitkin Cd~nty Housing Authority Affdrdable Housing Guidelines (hereinafter"the Affordable Housing Guidelines"), or its substitute, as adopted by the APCHA, or its successor, and in effect at the time of the closing df the sale to the Qualified Buyer, and who must represent and agree pursuant to this Agreement to occupy the Property as their sole place of residence (unless the. Qualified Buyer is the ASD), not to engage in any business activity on the Property, other then that permitted in that zone district or by applicable ordinance, ahd not to sell or otherwise transfer the Property for use in a trade or business, WHEREAS, an "Owner" is a person or persons who is/are a Qualified Buyer who acquires an ownership interest in the Property ih compliance with the terms and provisions of this Agreement; it being understood that such person or persons shall be deemed an "Owner" hereunder only. during the period of his, her or their ownership interest in the Property and shall be obligated hereunder for the full and complete performance and observance of all covenants, conditions and restrictions contained herein during such period. WHEREAS, the project shall consist of one. (1)free-market unit and ten (10) Category 4 units (five two-bedroom and five three-bedroom), with the pricing stmicture to remain as represented by the applicant at the January 14, 1998 meeting of the APCHA Board. The applicant is committed to sell the two-bedroom units for $140,000 and the three-bedroom units for $160,000. Three of the two-bedroom units will have basements so the sale price will increase to $160,000, and four o7 the three-bedroom units will have basements so the sales price will increase to $180,000. Should the ASD retaim owners ip of a unit, once the tans r~'f" eceives a Certificate of Occupancy, the date will be established whereas these units cah begin appreciation as stated in paragraphs 6 and 7 of this Agreement. Should the units be rented, the maximum rental rates will hot exceed $1,684 per month for the two-bedroom units or $1,794 per month for the three- bedroom units. The rental rate may be increased or decreased as stipulated in the Aspen/Pitkin County 1998 Affordable Housing Guidelines, and astheyare amended from time to time. The tenant dfany of ttie units must qualify through the APCHA prior to occupancy and must be supplied with at least asix-month lease. WHEREAS, a "Unit" is any of the units 1 through 10 which comprise the property. NOW, THEREFORE, for value received, the receipt and sufficiency of which is hereby acknowledged, Declarant hereby represents, covenants and agrees as follows: The use and occupancy of the Property shall henceforth be limited exclusively to housing for natural persons who meet the definition of Qualified Buyers and their families. 2. An Owner, in connection with the purchase of this Property or Unit, must: a) occupy any Unit within this Properly as his or her sole place of residence during thetime that "such unif is owned, unless the Owner is ASD; b) not engage in any business activity on or in such Unit, other then permitted in that zone district or by applicable ordinance; c) sell or otherwise transfer such Unit only in accordance with this Agreement and the Affdrda6le Housing Guidelines; d) riot sell or otherwise transfer such Unit for use in a trade or business; e) not permit any use or occupancy of such Unif ezcepf in compliance with this Agreement; and f) except for ASD, continue to be employed as required by the applicable APCHA Guidelines. 3. Breach of Agreement: a. It shall be a breach of this Agreement for Owner to default in payments or other obligations due or to be performed under a promissory note secured by a first deed of trust encumbering the Property or a Unit. Owner must notify the ASD, in writing, of any notification received from a lender, or its assigns, of past due payments or default in payment or other obligations due or to be performed under a promissory note secured by a first deed of trust, as described herein, within five calendar days of Owner's notification from lender, or its assigns, of said default or past due payments. b. Upon notification from Owner, as provided above, or other notice df such default, the ASD mayoffer loan counseling ordistressed loan services to the Owner, ifany of these services are available, and is entitled td require the Owner to sellthe Property or a Unit to avoid the commencement of any foreclosure proceeding against the Property or a Unit. In the event that the ASD determines that sale of the Property or a Unit is necessary, Owner shall immediately execute and deliver a standard general warranty deed conveying the Property or Unit to the ASD, or its designee, in exchange for the payment to, or for the benefit of, Owner a purchase price computed under the formula set forth in this agreement. Should the ASD request any additional assistance from the APCHA other' then qualification df a new Owner, an amount equal to one percent (1%) of the estimated value of the Property or Unit shall be paid to the APCHA for its assistance. West Ranch Subdivision Page 2 ~' c. Upon receipt of notice as provided in paragraphs 3a and b, the ASD shall have the right, in it's sole discretion, to cure the default or any portion thereof. In such event, the Owner shall be personally liable td the ASD for past due payments made by the ASD together with interest thereon at the rate pecified in the promissory note secured by the first deed of trust, plus one percent (1%), and all actual expenses of the ASD incurced in curing the default. The Owner shall be requiretl`by the ASD to execute a promissory note secured by deed of trust encumbering the Property in favor of the ASD for the amounts expended by the ASD as specked herein, including future advances made for such purposes. The Owner may cure the default and satisfy it's obligation to the ASD under this subparagraph atany time prior to execution of a contract for sale, upon such reasonable terms as specked by the ASD. Otherwise, Owner's indebtedness td the ASD shall tie satisfied from the Owner's proceeds at closing. 4. This Agreement shall constitute covenants running with the Property, as a burden thereon, for the benefit of, and shall be specifically enforceable by the APCHA, the ASD, ttie Board of County Commissioners (the "County"), and their respective successors and assigns, as applicable, by any appropriate legal action including but not limited to specific performance, injunction, reversion, or eviction of non-complying owners and/or occupants. 5. In the event that an Owner desires to sell the Property or Unit, the Owrier shall so advisetheASD in writing, and the ASD, or its designee, shall have the right of first refusal to purchase the Property or Unit from the Owner not more then ninety (90) days from the date df receiptbfsuch notice, at the purchase price established by this Agreement. If the ASD waives its right of first refusal, the Owner shall enter into a Listing Contract with APCHA to sell the unif through the lottery system and as stated in the AspenlPitkin County Affordable Housing Guidelines. If a unit is sold to a qualified employee other then the ASD or an employee of the ASD, that Owner has the right td retain ownership of the unit as long as the owneris a qualified employee, or retires es stipulated in the Guidelines, and as the Guidelines are amended from time to time. MAXIMUM RESALE PRICE 6. in no event shall. the Property or a Unit be sold for an amount ("Maximum Resale Price") in excess of the lesser of: a. $'-_, plus an increase of three percent (3%) of such price per year from the date of purchase to the date of Owner's notice of intent to sell (prorated at the rate of .25 percent for each whole month for any pan of a year); or b. an amount (based upon the Consumer Price Index, All Items, U.S. City Average, Urban Wage Earners and Clerical Workers (Revised), published by"the U.S. Department of Labor, Bureau of Labor Statistics) calculated as folldwsi the Owner's purchase price divided by the Consumer Price Index published at tfie time of Owner's purchase stated on the Settlement Statement, multiplied by the Consumer Price Index current at the date of intent to sell. In nd event shall the multiplier beless than one (1 ). For purposes of this Agreement, "date of intent to sell" shall be the date of execution of a listing contract when required by this agreement, or'rf a listing contract is not otherwise necessary, the date shall be determined to be the date upon which a requirement for the Owner to sell is first applicable, 'Owner's purchase peke, recorded on a separate Memorandum of Acceptance for each individcal unit. West Ranch S°btlivision Page 3 NOTHING HEREIN SHALL BE CONSTRUED TO CONSTITUTE A REPRESENTATION OR GUARANTEEBY THE APCHA OR THE CITYTHAT ON`RESALE THE OWNER SHALL OBTAIN THE MAXIMUM RESALE PRICE. 7. Determining Maximum Resale Price: a. For the purpose of determining the Maximum Resale Price in accordance with this Section, the Owner may add to the amount specified in Paragraph 8 above, the cost of Permitted Capital Improvements (as defined ih Exhibit "B") in a total amount not to exceed $ 2_, which is ten percent (10%) of the initial listed purchase price set forth ih paragraph 6a atiove. In calculating such amount, only those Permitted Capital Improvements'identified in Exhibit "B" hereto shall quai'rfy for inclusion. All such Permittetl Capital Improvements installed or constructed over the life of the unit shall qualify. However, the allgwance permitted by this subsection is a fixed amount, which shall be calculated on a cumulativebasis applicable to the owner and all subsequent purchasers, and shall not exceed the maximum dollar amount set forth in this subsection 7a. b. Permitted Capital Improvements shall not include any changes or additions to the Property made by the Owner during construction or thereafter, except in accordance with Paragraph 7a above. Permitted Capital.Improvemerits shall not be included in 'the APCHA's listed purchase price, even if made or installed during original construction. c. In order to qualify as Permitted Capital Improvements, the Owner must furnish to the APCHA the following information with respect to the improvements which the Owner seeks to include in the calculation of Maximum Resale Pricei 1) Original or duplicate receipts to verify the actual costs expended by the Owner for the Permitted Capital Improvements; 2) Owner's affidavit verifying that the receipts are valid and correct receipts tendered at the time of purchase; and 3) True and correct copies of any building permit or certificate of occupancy required to be issued by the Aspen/Pitkih County Building Department with respect to the Permitted Capital Improvements. d. For the purpose of determining the Maximum Resale Price in accordance with this Section, the Owner may also add to the amounts specified in Paragraphs 6 and 7a, the cost of any permanent improvements constructed or installed as a result of any requirement imposed by any governmental agency, provided that written certification is provided to the APCHA of both the applicable requiremenfahd the information requiredby Paragraph 7c, 1) - 3). e. In calculating the costs under Paragraphs 7a and 7d, sweat equity shall be added under the following conditions: 1) Information regarding the actual physical labor by the owner based on 80% of the average amount of TWO bids for the work approved by the Housing Office. X109 of the Initial sales price; to be recortledin a separate Memorandum of Acceptance for each unit. West Ranch Subdivision Page 4 2) That the work needs to be done under supervision of a qualified certified tradesperson for the work that was done by the owner.. 8. All disputes between the Owner and the administrative staff df the APCHA shall tie heard in accordance with the grievance procedures set forth in the Affordable Housing Guidelines. 9. Owner shall not permit any prospective buyer to assume any or all of the Owner's customary closing costs nor accept any other consideration which would cause ah increase in'the'purchase price above the bid price sd as to induce the Owner to sell to such prospective buyeE 10. In the event that the ASD employee who is an Owner shall predecease his or her domestic partner who is a surviving joint tenant, then the ASD, or its designee, shall have Ehe right of first refusal to purchase the Property or Unit from said surviving joint tenant at the purchase price established by this Agreement. a. If the ASD exercises its right of first refusal within ninety (90} days after the date of the ASD employee's death, the surviving joint tenant shall, within 365 days (one year) from the date of said death, execute and deliver a general warranty dead conveying the Property br Unit to the ASD, or its designee, in exchange for the payment to, or for the benefit of, the grantor of the purchase price computed under the formula set forth ih this Agreement. The time period for executing and delivering a general warranty deed shall be extended by the ASD Board for a reasonable period of time upon a showing'of a hardship: b. If the ASD waives its right of first refusal, the surviving joint tenant shall enter into a Listing Contract with APCHA to sell the Unit through the lottery system and as stated in the Guidelines. If the Unit is then sold to a Qualfed Buyer other than the ASD or an employee of the ASD, that Owner has the right td retain ownership of the Unitas long as said Owner is a qualified employee, or retires as .stipulated in the Guidelines, and complies with the Guidelines, as amended from time to time. Notwithstandingthe above, the ASD shall retain its right of first refusal to purchase the Unit whenever said Owner subsequently attempts 40 sell, or otherwise transfer, his or her interest in the Unit. c. In the event that title to the Property or a Unit otherwise vests by descent in individuals and/or entities who are not both OualifiedBUyers and employees of the ASD (hereinafter "Non-Qualified Transferee(s)"), the Property or said Unit shall immediately be listed for sale (subject to the ASD's right of first refusal) as provided in Paragraph 5 above. ASPEN. SCHOOL DISTRICT AND REAL PROPERTY OWNERSHIP RESTR/CTIOK 11. Owner agrees that, in the event Owner retires or otherwise ceases to be a full-time employee of the ASD (other then by death as addressed in Paragraph 10 above), thenthe ASD, orits designee, shall have the right of first refusal to purchase the Property or Unit from Owner of the purchase price established by this Agreement. a. If the ASD exercises its right of first refusal within ninety (90) days after the date Owner retires or otherwise ceases to be a full-time employee, Owrter shall, within 365 days (one year) from the date of the termination of his or her full-time employment with the ASD, for whatever reason, execute and deliver a general warranty deed conveying the Property or Unit to the ASD, or its designee, in exctiahge for the payment to, or for the benefit of, the Owner of the purchase price computed under the formula set forth in this Agreement. If the Owner has retired from the ASD, in accordance with the Guidelines, and the ASD waives its right of first refusal, then the Owner may continue to reside in the Unit solong as he or she continues to be qualified under the Guidelines. Notwithstanding the above, the ASD shall retain its right of first refusal to purchase the Uriit whenever said retired Owner attempts to sell, or otherwise transfer, his or her interest in the Unit. c. If the Owner has not retired from the ASD, in accordance with the Guidelines, and the ASD waives its right of first refusal, then the Owner shag enter into a Listing Contract with APCHA to sell the Unit through the lottery system and as stated in the Guidelines. If the Unit is then sold to a Qualfied Buyer other than the ASD oFan employee of the ASD, that Owner has the right to retain ownership of the Unit as long as said Owher is a qualfied employee, or retires as stipulated in the Guidelines, and complies with the Guidelines, as amended from time to time. Notwithstanding the above, the ASD shall retain its -right of first Pefusal to purchase the Unit whenever said Owner subsequently attempts to sell, or o4Fierwise Transfer, his or her interest in the Unit: OWNER RESIDENCE AND EMPLOYMENT 12. The Property and all Units shall be and is/are to be utilized only as the sole and exclusive place of residence of an Owner. 13. In the event Owner changes domicile or ceases to utilize the Property or Unitas his sole and exclusive place of residence, or ceases to be a full-time employee in accordance with the applicable APCHA Guidelines, the Property or Unit will tie offered fof sale (subject fo the ASD's`right of first refusal to purchase) pursuant to the provisions of Paragraph 5 of this Agreement. Owner shall be deemed to have changed Owner's domicile oy becoming a resident elsewhere or accepting perms- Went employment outside Pitkin County, or residing on the Property or Unit for fewer than nine (g) months per calendar year without the express written approval of the APCHA, or by ceasing to be a full-time employee. Where theprovisions'of this Paragraph 13 apply, the APCHA may require fhe Owner to rent the Properly or Unit in accordance with the provisions of Paragraph 15, below. 14. If at any time the Owner of the Property or Unit also owns any interest alone or in conjunction with others in any developed residential property or dwelling Lnit(s) located'in Eagle, Gafield, Gunnison or Pitkin Counties, Owner agrees to immediately list said other property or unit for sale and to sell Owner's interest in such property at a sales price comparable to like units orproperties in the area in which the property or dwelling unit(s) are located. In the event said other property or unit has not been sold by Owner within one hundred twenty (120) days of its listing, then Owner hereby agrees to immediately list this Property or Unit for sale pursuant to the provisions of Paragraph 5 of this Agreement. It is understood and agreed between the parties hereto that, in the case of an Owner whose business is the construction and sale of residential properties or the purchase and resale of such properties, the properties which constitute inventory in such an Owner's business shall not constitute "other developed residential `property" or "dwelling unit(s)" as those terms are used in this Paragraph 14. RENTAL 15. Owner may not, except with prior written approval of the ASD and the APCHA, and subject to APCHA's conditions of approval, rent the Property or Unit for any period of time. Prior to occupancy, any tenant must be approved by the Homeowner's Association, if applicable, and the APCHA in accordance with the income, occupancy and all other qualifications established by the APCHA in its Affordable Housing Guidelines. The ASD and/or fhe APCF~A shall not~approve'any renfat if~such rental is being made by Owner to utilize the Property or Unit as an income producing asset, except West Ranch Subtlivision Page 6 , as provided below, and shall not approve a lease with a rental term in excess of twelve (12) months. A signed copy of the lease must be provided to the APCHA prior to occupancy by any tenant. Any such lease approved by the APCHA shall show the length of the lease and the monthly rent. The monthly rent cannot exceed the Owner's costs, which include the monthly expenses for the cost of principal and interest payments, taxes, property insurance, condominium or homeowners assessments, utilities remaining in owner's name; plus an additional twenty dollars ($20) and a reasonable (refundable) security deposit. The requirements of this paragraph shall not preclude the Owner from sharing occupancy of the Property or Unit with non-owners on a rental basis provided Owner continues to meet the obligations contained in this Agreement, including Paragraph 12: 16. IN NO EVENT SHALL THE OWNER CREATE AN ADDITIONAL DWELLING UNIT, AS DEFINED IN THE PITKIN COUNTY OR CITY OF ASPEN LANO USE CODES; IN OR ON THE PROPERTY. 17. NOTHING HEREIN SHALL BE CONSTRUED TO REQUIRE THE APCHA TO PROTECTOR INDEMNIFY THE OWNER AGAINST ANY LOSSES ATTRIBUTABLE "TO THE RENTAL, INCLUDING (NOT BY WAY OF LIMITPTION) NON-PAYMENT OF RENT ORDAMAGE'TO THE PREMISES; NOR TO REQUIRE THE APCHA TO OBTAIN A QUALIFIED TENANT FOR THE OWNER IN THE EVENT THAT NONE IS FOUND BY THE OWNER. BREACH 18. In the event that the ASD or the APCHA has reasonable cause to believe the Owner is violating the provisions of this Agreement, the APCHA, by it's authorized representative; may inspect the Properly or Unit between the hours of 8:00 a.m. and 5:00 p.m.; Monday through Friday, after providing the Owner with no less than 24 hours' written notice. 19. The ASD or the APCHA, in the event a violation of this Agreement is discovered, shall send a notice of violation to the Owner detailing the nature of the violation and allowing the Owner fifteen (15) days to cure. Said notice shall state that the Owner may request a hearing before the ASD Board and the APCHA Board of Directors within. fifteen (15) days to determine the merits of the 211egations. If no hearing is requested and the violation is not cured within the fifteen (15) day period, the Owner shall be considered in violation of this Agreement. If a hearing is held before the ASD or the APCHA; the decision of the ASD Board or APCHA based on the record of such hearing shall be final for the purpose of determining if a violation has occurred. REMEDIES 20. There is hereby reserved to the parties hereto any and all remedies provided by law for breach of this Agreement or any of its terms. In the event the parties resort to litigation with respect to any or all provisions of this Agreement, the prevailing party shall be entitled to recover damages and costs, including reasonable attorneys' fees. 21. In the event the Property or Unit is sold and/or conveyed without compliance herewitti, such sale and/or conveyance shall be wholly null and void and shall confer no title whatsoever upon the purported buyer. Each and every conveyance of the Property or Unit, for all purposes, shall be deemed to include and incorporate by this reference, the covenants herein contained, even without reference therein to this Agreement. 22. In the event that the Owner fails to cure any breach, the ASD may resort to any and all available legal action, including, but not limited to; specific performance of this Agreement or a mandatory Wesi Ranch Subtlivision Page injunction requiring sale of the Property or Unit by Owner as specified in Paragraphs 3, 11, 13, and 14. The costs of such sale shall be taxed against the proceeds of the sale with the balance heir g paid to the Owner. 23. In the event of a breach of any of the terms or conditions contained herein. by the Owner, his heirs, successors or assigns, the ASD's initial listed purchase price of the Property or Unit asset forth ih Paragraph 6a of this Agreement shall, upon the date of such breach as determihed by the ASD or the APCHA, automatically cease to increase as set out in Paragraph 6 of this Agreement; and shall remain fixed until the date of cure of said breach. GENERAL PROVISIONS 24. Notices. Ahy notice, consent or approval which is required to be given hereunder shall be given by mailing the same, certified mail, return receipt requested, properly addressed and with postage fully prepaid, to any address provided herein or to any subsequent mailing address of the party as long as prior written notice of the change of address has been giveh to the other parties to this Agreement. Whenever possible, each provision of this Agreement and any other related document shall be interpreted in such a manner as to be valid under applicable law; but if any provisioh of any of the foregoing shall be invalid or prohibited under said applicable law, such pro4isions shall be ineffective to the extent of such invalidity or prohibitioh without invalidating tte remaining provisions of such document. 27. Choice of Law. This. Agreement and each and every related document is to be governed and coristrued in accordance with the laws of the State of Colorado. 28. Successors. Except as otherwise provided herein, the provisions and covenants contained herein shall inure to ahd qe binding upon the heirs, successors and assigns of the parties. 29. Section Headinas. No claim of waiver, consent or acquiescence with respect to any provision ofthis Agreement shall be valid. against any party hereto except on the basis of a written instrument executed by the parties to this Agreement. However, the party for whose behefd a condition is inserted herein shall have the unilateral right to waive such condition. 31. Gender and Number. Whenever the context so requires herein, the neuter gender shall incude any or all genders and vice versa and the use of the singular shall include the plural and vice versa. 32. Personal Liability. Owner agrees that he or she shall be personally liable for any of the transactions contemplated herein. 33. Further Actions. The parties to this Agreement agree to execute such further documents and take such further actions a5 may be reasonably required to carry out the provisions and intent of this Agreement or any agreement or document relating hereto or entered into in connection herewith. 34. Modfications. The parties to this. Agreement agree that any mod cations of this Agreement shall be effective only when made by writings signed by tioth parties ahd recorded with the Clerk and Recorder of Pitkin County, Colorado. Notwithstanding the foregoing, the APCHA reserves the right to amend this Agreement unilaterally where deemed necessary to effectuate the purpose and intent of this Agreement, and where such unilateral action does not materially impair the Owner's rights under this Agreement. 35. Owner and Successors. The term "Owner" shall mean the person or persons who shall acquire an ownership interest in the Property or Unit in compliance with the terms and provisions of this Agreement; it being understood that such person or persons shall be deemed an "Owner" hereunder only during the period of his, her or their ownership interest in the'Propeity or UnR and shall 6e obligated hereunder for'the full and complete`performarice and observance of all covenants,. conditions and restrictions containedtereih during such period. 36.
